2025中外合作经营合同范本及英文版FOREIGNANDCHINESEJOINTVENTUREAGREEMENT中外合作经营合同ContractingPartiesPartyA:(hereinafterreferredtoas"PartyA")Address:法定代表人(LegalRepresentative):PartyB:(hereinafterreferredtoas"PartyB")Address:LegalRepresentative:DateofExecution:PlaceofExecution:ContractNo.:1.总则Article1:GeneralProvisions1.1ThisContractisenteredintobyandbetweenPartyAandPartyBinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChinagoverningforeign-investedenterprises,withtheaimofestablishingajointventure(the"Company")tocarryoutbusinessoperationsinthefieldsof(specificfieldorindustry).1.2TheactivitiesoftheCompanyshallcomplywithChineselaws,regulations,andpolicies,andshallbesubjecttothejurisdictionofthePeople'sRepublicofChina.1.3TheCompanyshallbealegallyindependententitywiththecapacitytoenterintocontracts,ownproperties,andassumeliabilitiesinaccordancewiththelaw.2.合作经营的宗旨、目标和范围Article2:Objectives,Purposes,andScopeofOperations2.1ThepurposeofestablishingtheCompanyisto(statethepurposeofthe合作经营,e.g.,topromotetechnologicaladvancement,economicdevelopment,etc.).2.2ThebusinessscopeoftheCompanyshallbelimitedto:(i);(ii);(iii);and(iv).2.3ThespecificbusinessactivitiesoftheCompanyshallbedeterminedbytheBoardofDirectorsinaccordancewiththeapprovedbusinessscope.3.投资总额、注册资本Article3:TotalInvestmentandRegisteredCapital3.1ThetotalinvestmentoftheCompanyshallamounttoRMB(hereinafterreferredtoasthe"TotalInvestment").3.2TheregisteredcapitaloftheCompany(hereinafterreferredtoasthe"Capital")shallamounttoRMB,whichconstitutes%oftheTotalInvestment.3.3TheCapitalshallbecontributedbyPartyAandPartyBasfollows:(i)PartyAshallcontributeRMB,representing%oftheCapital;and(ii)PartyBshallcontributeRMB,representing%oftheCapital.3.4Thecontributionsofthepartiesshallbemadeinaccordancewiththefollowingschedule:(i)WithindaysaftertheapprovaloftheCompanybytherelevantauthorities,PartyAshallcontributeRMB;and(ii)Withindaysafterthesameapproval,PartyBshallcontributeRMB.3.5AnychangestotheCapitalorthebusinessscopeshallrequirethepriorapprovaloftherelevantauthorities.4.出资方式和期限Article4:FormandTimingofContributions4.1Thecontributionsofthepartiesshallbemadeinthefollowingforms:(i)PartyA:;and(ii)PartyB:.4.2ThecontributionsshallbepaidinfullwithindaysoftheestablishmentoftheCompany,exceptforin-kindcontributions,whichshallbevaluedandtransferredinaccordancewiththelawsandregulationsofthePeople'sRepublicofChina.4.3Anydelayinthepaymentofcontributionsshallbesubjecttoapenaltyof%permonthontheoutstandingamount.5.合作期限Article5:TermofCooperation5.1Theinitialtermofcooperationshallbeyears,commencingfromthedateofissuanceofthebusinesslicensebytherelevantauthorities.5.2Upontheexpirationoftheinitialterm,thecooperationmaybeextendedforanadditionalyearsuponmutualagreementandapprovalbytherelevantauthorities.5.3IntheeventthateitherPartydesirestoterminatethecooperationbeforetheexpirationoftheterm,writtennoticemustbegiventotheotherPartyatleastdaysinadvance,andajointliquidationshallbeconductedinaccordancewiththelaw.6.合作双方的权利与义务Article6:RightsandObligationsoftheContractingParties6.1RightsofPartyA:(i)Toparticipateinthemanagementanddecision-makingprocessesoftheCompany;(ii)Toreceivedividendsinproportiontoitscontribution;and(iii)ToinspectthefinancialrecordsoftheCompany.6.2ObligationsofPartyA:(i)TocomplywiththetermsofthisContractandtherelevantlawsandregulations;(ii)Tocontributeitscapitalinfullandontime;and(iii)ToprovidenecessaryassistanceandsupporttotheCompanyasagreed.6.3RightsofPartyB:(i)Toparticipateinthemanagementanddecision-makingprocessesoftheCompany;(ii)Toreceivedividendsinproportiontoitscontribution;and(iii)ToinspectthefinancialrecordsoftheCompany.6.4ObligationsofPartyB:(i)TocomplywiththetermsofthisContractandtherelevantlawsandregulations;(ii)Tocontributeitscapitalinfullandontime;and(iii)ToprovidenecessaryassistanceandsupporttotheCompanyasagreed.7.组织机构Article7:OrganizationalStructure7.1TheCompanyshallestablishaBoardofDirectors(hereinafterreferredtoasthe"Board")asitshighestorganofpower.7.2TheBoardshallconsistofdirectors,withPartyAappointingdirectorsandPartyBappointingdirectors.7.3TheBoardshallhavethefollowingpowers:(i)TodeliberateandapprovetheCompany’sannualbudgetandfinalaccounts;(ii)TodecideontheCompany’sbusinessplanandinvestmentprojects;and(iii)Toappointorremovesenior管理人员(seniormanagement).7.4TheBoardshallconvenemeetingsatleastonceeverymonths,andshallmakedecisionsbyamajorityvote,unlessotherwiseprovidedbylaworthisContract.7.5TheBoardshallappointan董事长(chairman)anda总经理(generalmanager),whoshallberesponsiblefortheday-to-daymanagementoftheCompany.8.财务和利润分配Article8:FinanceandDistributionofProfits8.1TheCompanyshallestablishafinancialdepartmentinaccordancewiththelawsandregulationsofthePeople'sRepublicofChina,andshallmaintainasystemofaccountingandreportingconsistentwithinternationalpractices.8.2ThefiscalyearoftheCompanyshallbefromJanuary__toDecember__ofeachcalendaryear.8.3ProfitsoftheCompanyshallbedistributedasfollows:(i)First,tocoveranylossesfrompreviousyears;(ii)Second,towithdrawareservefundof%;and(iii)Third,theremainingprofitsshallbedistributedbetweenthepartiesinproportiontotheirrespectivecontributions.8.4Anychangestotheprofitdistributionratioshallrequirethewrittenconsentofbothparties.9.投资转让Article9:TransferofInvestment9.1NeitherPartymaytransferalloranypartofitsinvestmentintheCompanywithoutthepriorwrittenconsentoftheotherPartyandtheapprovaloftherelevantauthorities.9.2Intheeventofatransfer,thetransferringPartyshallnotifytheotherPartyinwritingatleastdaysinadvance,andtheotherPartyshallhavetherightoffirstrefusal.9.3AnyviolationofthisArticleshallrenderthetransfer无效(invalid),andthetransferringPartyshallbeliableforanyresultingdamages.10.税务、外汇Article10:TaxesandForeignExchange10.1TheCompanyshallcomplywithallapplicabletaxes,duties,andregulationsinthePeople'sRepublicofChina.10.2TheCompany’sforeignexchangetransactionsshallbeconductedthroughdesignatedbanksinaccordancewiththelawsandregulationsofthePeople'sRepublicofChina.10.3AnytaxincentivesorbenefitsgrantedtotheCompanybythegovernmentshallbesharedproportionallybytheparties.11.终止和清算Article11:TerminationandLiquidation11.1TheCompanymaybedissolvedunderthefollowingcircumstances:(i)Uponthemutualagreementoftheparties;(ii)Upontheoccurrenceofanyforcemajeureeventmakingitimpossibletocontinueoperations;(iii)IntheeventofabreachofthisContractbyeitherParty,whichremainsuncuredafterareasonableperiodofnotice;or(iv)UpontherevocationoftheCompany'sbusinesslicenseforanyreason.11.2Intheeventofdissolution,theCompanyshallbeliquidatedinaccordancewiththelaw,andtheproceedsofliquidationshallbedistributedasfollows:(i)First,topayalldebtsandliabilitiesoftheCompany;(ii)Second,todistributetheremainingassetsinproportiontotheparties’contributions.12.违约责任Article12:LiabilityforBreachofContract12.1AnybreachofthisContractbyeitherPartyshallmakethebreachingPartyliableforanydirectdamagessufferedbytheotherParty.12.2Incaseofamaterialbreach,theaggrievedPartyshallhavetherighttosuspendtheperformanceofitsobligationsandtoseekcompensationfordamages.12.3Ifthebreachremainsuncuredwithindaysafterreceiptofwrittennotice,theaggrievedPartymayterminatethisContract.13.不可抗力Article13:ForceMajeure13.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoforcemajeure,includingbutnotlimitedtoactsofGod,war,riots,orgovernmentactions.13.2TheaffectedPartyshallnotifytheotherPartyoftheoccurrenceofforcemajeurewithindays,andprovideevidencethereofwhererequired.13.3Iftheforcemajeurecontinuesformorethandays,thepartiesmayagreetoterminatethisContract.14.争议的解决Article14:DisputeResolution14.1AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好协商(friendlynegotiation).14.2Ifthedisputescannotberesolvedthroughnegotiation,theyshallbesubmittedtoarbitrationattheArbitrationCom
