2025工程承包合同中英文对照2025EngineeringContractingAgreement(BilingualVersion)ContractNo.:DateofSigning:PlaceofSigning:**ThisEngineeringContractingAgreement("Agreement")isenteredintoonthisdayof2025,byandbetween:PartyA:NameofPartyA:Address:ContactInformation:PartyB:NameofPartyB:Address:ContactInformation:RECITALS:WHEREAS,PartyAintendstoengagePartyBtocarryouttheengineeringworksasdescribedinthisAgreement;ANDWHEREAS,PartyBacceptstheengagementandagreestoperformtheservicesinaccordancewiththetermsandconditionsoutlinedherein;NOW,THEREFORE,thePartiesheretoagreeasfollows:1.SCOPEOFWORKS1.1DescriptionofWorks:PartyBshallprovideengineeringservicesfortheprojectlocatedat("ProjectSite"),includingbutnotlimitedtothedesign,engineering,construction,andcommissioningof.Theexactscopeofworksshallbedetailedintheattached"WorksDescription"("AppendixA").1.2ProjectSchedule:Theworksshallbecompletedinaccordancewiththetimelinesetforthinthe"ProjectSchedule"("AppendixB").PartyBshallensuretimelyprogressandnotifyPartyAofanyanticipateddelayspromptly.1.3QualityStandards:Allworksshallcomplywithapplicablelaws,regulations,andindustrystandards.PartyBshallusematerialsandequipmentofhighqualityandensurethesafety,efficiency,andreliabilityofthecompletedworks.2.RESPONSIBILITIESOFTHEPARTIES2.1ResponsibilitiesofPartyA:(a)ProvidePartyBwithallnecessaryinformation,documents,andresourcestofacilitatetheexecutionoftheworks;(b)Approvedesigns,drawings,andvariationsinwriting;(c)EnsuretimelypaymentofamountsdueunderthisAgreement.2.2ResponsibilitiesofPartyB:(a)PerformtheengineeringworksinaccordancewiththetermsofthisAgreement;(b)Provideskilledandqualifiedpersonnelfortheexecutionoftheworks;(c)MaintainproperdocumentationofallworksandmakeitavailabletoPartyAuponrequest;(d)Complywithallapplicablelaws,regulations,andsafetystandards.3.COMPENSATIONANDPAYMENT3.1Compensation:PartyBshallbecompensatedinaccordancewiththe"FeeSchedule"("AppendixC")attachedhereto.Thetotalcompensationfortheworksshallbe(hereinafterreferredtoasthe"TotalFee").3.2PaymentSchedule:%oftheTotalFeeuponsigningthisAgreement;%oftheTotalFeeupontheissuanceoftheInterimPaymentCertificate;Theremaining%oftheTotalFeeuponsuccessfulcompletionandacceptanceoftheworks.3.3InvoiceandPaymentTerms:PartyBshallsubmitdetailedinvoicestoPartyAonamonthlybasis.Allpaymentsshallbemadewithindaysfromthedateofreceiptofavalidinvoice.3.4LatePaymentPenalties:IntheeventthatPartyAfailstomakepaymentwithinthestipulatedperiod,PartyBshallbeentitledtoalatepaymentpenaltyofperday,calculatedontheoverdueamount.4.ACCEPTANCEANDCOMPLETION4.1CompletionCriteria:TheworksshallbedeemedcompletedwhentheymeetthestandardsoutlinedinAppendixAandhavebeenapprovedbyPartyA.4.2FinalInspection:Afinalinspectionoftheworksshallbeconducteddaysafterthecompletionoftheworks.Ifanydefectsordeficienciesareidentifiedduringtheinspection,PartyBshallremedythematitsownexpensewithindays.4.3Warranty:PartyBshallprovideawarrantyfortheworksforaperiodof(fromthedateofacceptance),coveringdefectsarisingfromworkmanship,materials,anddesign.5.INSURANCE5.1ProjectInsurance:PartyBshallobtainallnecessaryinsurancepolicies,includingbutnotlimitedtopublicliabilityinsuranceandworkers'compensationinsurance,withcoverageamountssufficienttoprotecttheinterestsofbothParties.5.2InsuranceCosts:ThecostsassociatedwiththeinsuranceshallbebornebyPartyB.5.3NoticeofClaims:AnyclaimsundertheinsuranceshallbepromptlynotifiedtoPartyAandPartyB,withcopiesprovidedtotherelevantinsurancecompany.6.AMENDMENTSANDVARIATIONS6.1Amendments:AnyamendmentstothisAgreementshallbemadeinwritingandsignedbybothParties.6.2VariationstoWorks:PartyAmay,fromtimetotime,issueinstructionstovarytheworks(Variations).PartyBshallcomplywithsuchinstructions,andtheadditionalorreducedcostsresultingfromtheVariationsshallbesettledmutuallyuponagreement.7.LIABILITYANDWARRANTIES7.1Liability:NeitherPartyshallbeliabletotheotherforanyindirect,incidental,orconsequentiallossesarisingoutoforinconnectionwiththisAgreement.7.2Warranties:PartyBwarrantsthatithasthenecessaryexpertise,qualifications,andauthorizationtoperformtheworksunderthisAgreement.8.INTELLECTUALPROPERTY8.1OwnershipofIntellectualProperty:Allintellectualpropertyrightsinthedesigns,drawings,reports,andothermaterialscreatedbyPartyBduringtheperformanceoftheworksshallbelongtoPartyA.8.2UseofIntellectualProperty:PartyBshallnotusetheintellectualpropertycreatedunderthisAgreementforanypurposeotherthanintheperformanceofitsobligationshereunder.9.CONFIDENTIALITY9.1ObligationofConfidentiality:BothPartiesagreetokeepallinformationexchangedunderthisAgreementconfidentialandnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.10.FORCEMAJEURE10.1DefinitionofForceMajeure:AnyeventbeyondthereasonablecontrolofeitherParty,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentactions,shallbeconsideredaForceMajeureevent.10.2RelieffromObligations:IfeitherPartyispreventedorhinderedfromfulfillingitsobligationsduetoaForceMajeureevent,theaffectedPartyshallpromptlynotifytheotherPartyandmakereasonableeffortstomitigatetheeffectso
