6.Warranties
6.1TheSupplierwarrantsthattheProductshallbefreefromdefectsinmaterialsandworkmanshipandshallconformtothespecificationsandqualitystandardsprovidedbytheBuyer.
6.2ThewarrantyperiodfortheProductshallbe[WarrantyPeriod].
7.LimitationofLiability
7.1Innoeventshalleitherpartybeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.
7.2ThetotalliabilityofeitherpartyforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedthetotalamountpaidbytheBuyertotheSupplierunderthisAgreement.
8.GoverningLawandDisputeResolution
8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry].
8.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtof[GoverningLawCountry]forresolution.
9.Confidentiality
9.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothembytheotherpartyinconnectionwiththisAgreement,includingbutnotlimitedtotechnicalspecifications,businessplans,andfinancialinformation.
9.2TheconfidentialityobligationsunderthissectionshallsurvivetheterminationorexpirationofthisAgreement.
10.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
11.AmendmentsandModifications

5.1TheBuyerhastherighttoinspectandapprovetheThirdParty'sservicesorcomponentsatanytimeduringtheproductionprocess.
5.2TheBuyershallprovidetheSupplierwithallnecessaryinformation,materials,andtechnicalspecificationsrequiredfortheproductionoftheProduct.
5.3TheBuyershallpaytheSuppliertheagreedpricefortheProductandanyadditionalcostsincurredbytheSupplierduetotheinvolvementoftheThirdParty.
6.ThirdParty'sRightsandObligations
6.1TheThirdPartyshallprovidetheSupplierwiththerequiredservicesorcomponentsinatimelyandefficientmanner.
6.2TheThirdPartyshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligations.

b.TheSupplierortheThirdPartybecomesinsolventorissubjecttobankruptcyproceedings.
10.2Intheeventoftermination,theBuyershallbeentitledtoallremediesavailableatlaworequity,includingbutnotlimitedto,therighttorecoveranylossesincurred.
11.GoverningLawandDisputeResolution
11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawCountry].

6.Manufacturer'sObligations
6.1TheManufacturershallprovidetheDistributorwiththeProductinatimelymanner,subjecttotheagreedproductionschedule.
6.2TheManufacturershallsupporttheDistributorandtheThirdPartywithtechnicalassistance,producttraining,andmarketingmaterials.
6.3TheManufacturershallprovidetheDistributorwithaccesstoanyupdatesorimprovementstotheProduct.
7.PriceandPaymentTerms
7.1TheDistributorshallpaytheManufacturertheagreedpricefortheProduct,subjecttothecurrency[Currency].

11.GoverningLawandDisputeResolution
