１．３．各方均表明自己是按中国法律或＿＿＿＿＿国法律正当成立有效法人,含有缔结本合资协议并推行本协议义务所需全部法人权限。第三章合资企业成立第二条根据中国合资企业法和其它相关法律和法规,协议双方同意在中国境内＿＿＿＿＿省＿＿＿＿＿市建立合资企业。第三条合资企业汉字名称为＿＿＿＿＿＿＿合资企业英文名称为＿＿＿＿＿＿＿

１１．１．甲方:现金＿＿＿＿＿元机械设备＿＿＿＿＿元厂房＿＿＿＿＿元工地使用费＿＿＿＿＿元工业产权＿＿＿＿＿元其它＿＿＿＿＿元共＿＿＿＿＿元

１１．２．乙方:现金＿＿＿＿＿元机械设备＿＿＿＿＿元工业产权＿＿＿＿＿元其它＿＿＿＿＿元共＿＿＿＿＿元第十二条合资企业注册资本由甲、乙方按其出资百分比分＿＿＿＿＿期缴付,每期缴付数额以下:（略）第十三条贷款总投资和注册资本之间差额向银行贷款。可首先考虑向合资企业所在中国银行或其它渠道借贷。甲、乙方按在合资企业注册资本百分比各自负责贷款担保。

假如合资企业董事会认为,除了第十一条要求双方投资额和上述贷款外,合资企业经营需要流动资金和其它资金,双方应按各自在合资企业注册资本百分比为上述借款作担保。

假如不能按上述方法取得借款,董事会将按协议双方各自在合资企业中资本百分比向合同双方另外征集资金。除非协议双方另以书面形式明确表示同意,任何一方都没有义务再增加注册资本成为第三方借贷给合资企业款项作担保。不过,假如合资企业经营、利润情况良好,协议双方标准上同意再合适增加注册资本,即按经营发展情况和稳妥股本筹措原则使用积累贮备基金。第十四条资本转让除非得到另一方同意并经审批机关同意,协议任何一方都不得将其认缴资本股份全部或部份转让给第三方。假如一方将其认缴资本股份全部或部分转让给第三方,则另一方含有优先受让权利,受让条件不得苛刻于转让给第三方条件。另一方特此表示,假如自己不行使优先受让权,即为同意上述转让。第十五条抵押和担保未经董事会一致同意,任何一方都不得将其认缴资本股份全部或部分用作抵押,也不得用作担保。第六章合资双方责任第十六条甲、乙方应各自负责完成以下各项事宜:

１６．１甲方责任（依据具体情况写,关键有:）

——按第五章要求出资并帮助安排资金筹措;

——办理为设置合资企业向中国相关主管部门申请同意、登记注册、领取营业执照等事宜;

——向土地主管部门办理申请取得土地使用权手续;

——帮助合资企业组织合资企业厂房和其它工程设施设计、施工;

——帮助办理乙方作为出资而提供机械设备进口报关手续和在中国境内运输;

——帮助合资企业联络落实水、电、交通等基础设施;

——帮助合资企业申请全部可能享受关税和税务减免以及其它利益或优惠待遇;

——帮助合资企业招聘中方管理人员、技术人员、工人和所需其她人员;

——帮助外籍工作人员办理所需入境签证、工作许可证和旅行手续等;

——负责办理合资企业委托其它事宜。

１６．２乙方责任:

——按第五章要求出资并帮助安排资金筹措;

——办理合资企业委托在中国境外选购机械设备、材料等相关事宜;

——提供需要设备安装、调试以及试生产技术人员、生产和检验技术人员;

——培训合资企业技术人员和工人;

——如乙方同时又是技术转让方,则应负责合资企业在要求期限内按设计能力稳定地生产合格产品;

——负责办理合资企业委托其它事宜。第七章技术转让第十七条许可与技术引进协议合资企业和＿＿企业“许可与技术引进协议”应与本协议同时草签。第八章商标使用及产品销售第十八条合资企业和＿＿企业就使用＿＿企业商标签署“商标使用许可协议”,全部同商标相关事宜均应根据“商标使用许可协议”要求办理。或合资企业产品使用商标为＿＿＿＿＿＿＿＿。第十九条合资企业产品,在中国境内外市场上销售,外销部分占＿＿＿＿＿％,内销部分占＿＿＿＿＿％。第二十条合资企业内销产品可由中国物资部门、商业部门包销或代销,或由中国外贸企业包销占＿＿＿＿＿％。第二十一条产品可由下述渠道向国外销售:由合资企业直接向中国境外销售占＿＿＿＿＿％。由合资企业与中国外贸企业签订销售协议,委托其代销,或由中国外贸企业包销占＿＿＿＿＿％。由合资企业委托乙方销售占＿＿＿＿＿％。第九章董事会第二十二条合资企业注册登记之日,为合资企业董事会成立之日。第二十三条董事会由＿＿＿＿＿名董事组成,其中甲方委派＿＿＿＿＿名,乙方委派＿＿＿＿＿名。董事长由甲方委派,副董事长由乙方委派。董事、董事长和副董事长任期４年,经委派方继续委派能够连任。第二十四条董事会是合资企业最高权力机构,决定合资企业一切重大事宜:

１．修改合资企业章程;

２．终止或解散合资企业;

３．与其它经济组织合并;

４．合资企业注册资本增加;

５．采纳、更改或终止集体劳动协议、职职员资制度和集体福利计划等;

６．分红;

７．同意年度财务报表,……（略）第二十五条董事会全部决议均需全体董事多数表决方能经过,但第二十四条＿＿＿＿＿款所列事项需全体董事一致同意后方能经过。第二十六条董事长是合资企业法定代表。假如董事长不能行使其职责,应书面授权副董事长代理。第二十七条董事会会议每年最少召开一次,由董事长召集并主持会议。经三分之一以上董事提议,董事长可召开董事会临时会议。会议纪要归合资企业存档。任何一名董事如不能出席会议,应以书面委托形式指定一名代理出席会议和行使表决权。假如董事既不出席会议也不委托她人参与会议,应视作弃权。第十章经营管理机构第二十八条合资企业设经营管理机构,负责企业日常经营管理工作。经营管理机构设总经理一人,由＿＿＿＿＿方推荐,副总经理＿＿＿＿＿人,由甲方推荐＿＿＿＿＿人,乙方推荐＿＿＿＿＿人。总经理、副总经理由董事会聘用,任期＿＿＿＿＿年。第二十九条总经理职责是实施董事会会议各项决议,组织领导合资企业日常经营管理工作。副总经理帮助总经理工作。第三十条总经理、副总经理有营私舞弊或严重渎职,经董事会会议决议可随时撤换。第十一章设备材料采购第三十一条合资企业生产中所需要相关设备、仪器等物资,其采购权归合资企业。第三十二条合资企业所需原材料、燃料、零部件、运输工具等,在条件相同情况下,尽先在中国购置。第十二章劳动管理第三十三条合资企业职员招聘、处罚、解聘、协议期限、工资、劳动保险、生活福利等事宜,根据《中国劳动法》和《中国中外合资经营企业劳动管理要求》及其实施措施,经董事会研究制订方案,由合资企业和合资企业工会组织集体或部分地签订劳动协议。劳动协议签订后,报当地劳动管理部门立案。第三十四条外籍职员相关劳动事务具体要求见附件。第十三章工会第三十五条工会任务为:（略）

——保护法律要求职员民主权利和物质利益;

——帮助合资企业安排和合理使用福利基金;

——参与调解职员与合资企业之间发生争议;等。第三十六条工会代表有权就职员奖励、处罚、解聘、工资、福利、劳动保护和劳动保险等问题同经营管理机构协商。第三十七条依据中国法律和法规相关要求,合资企业应每个月依法拨交按企业全部职工实际工资总额＿＿＿＿＿％作为工会经费。第十四章税务、财务和审计第三十八条合资企业应按相关中国法律和法规要求支付各类税款。第三十九条合资企业职员应按中国税法支付个人所得税。第四十条合资企业根据《中国合资经营企业法》要求提取贮备基金、企业发展基金和职员福利基金,每年提取百分比由董事会依据企业经营情况讨论决定。第四十一条合资企业会计年度与公历年相同,从每年１月１日起至１２月３１日止,一切记帐凭证、单据、报表、帐簿,用汉字或双方同意一个外文书写。第四十二条合资企业财务帐册应每年一次由一个在中国注册会计事务所进行审计,费用由合资企业负担。协议各方有权各自负担费用自行指定审计师审计合资企业帐目。第四十三条每一营业年度头三个月,由总经理组织编制上一年度资产负债表,损益计算书和利润分配方案,提交董事会会议审查。第十五章保险第四十四条合资企业在经营期内为保护企业不因各类灾难而受损失,应向中国人民保险企业投保。保险险别,投保价值和期限等应由董事会作出决定。发生保险费由合资企业负担。第十六章合资企业期限及正常终止第四十五条合资企业期限为＿＿＿＿＿年。合资企业成立日期为合资企业营业执照签发之日。经一方提议,董事会会议一致经过,能够在合资期满６个月前向原审批机构申请延长合资期限。第四十六条合资期满或提前终止合资,应按可适使用方法律和企业章程所要求相关条款进行清算。第十七章协议修改、变更和终止第四十七条对协议及其附件所作任何修改,须经协议双方在书面协议上签字并经原审批机构同意后方能生效。第四十八条因为不可抗力,致使协议无法推行,或是因为合资企业连年亏损,无力继续经营,经董事会一致经过,并报原审批机构同意,能够提前终止协议。第四十九条因为一方不推行协议、章程要求义务,或严重违反协议、章程要求,造成合资企业无法经营或无法达成协议要求经营目,视作违约方片面终止协议,对方除有权向违约方索赔外,并有权按协议要求报原审批机构同意终止协议。第十八章违约责任第五十条假如任何一方未立刻缴纳第十二条要求注册资本金额,则每拖欠一个月该方即应支付相当于出资额＿＿＿＿＿％违约赔偿金。如逾期３个月仍未提交,除累计支付出资额＿＿＿＿＿％作为违约金外,守约一方有权按本协议第四十九条要求终止协议,并要求违约方赔偿损失。第五十一条因为一方违约,造成本协议及其附件不能推行或不能完全推行时,由违约方负担违约责任;如属双方违约,依据实际情况,由双方分别负担各自应负违约责任。第十九章不可抗力第五十二条因为地震、台风、水灾、火灾、战争以及其它不能预见且对其发生和后果不能预防或避免不可抗力,致使直接影响协议推行或者不能按约定条件推行时,遇有上述不可抗力一方,应立刻电报通知对方,并应在１５天内,提供不可抗力详情及协议不能推行,或者部分不能推行,或者需要延期推行理由有效证实文件,此项证实文件应由不可抗力发生地域公证机构出具。按其对推行协议影响程度,由双方协商决定是否解除协议,或者部分免去推行协议责任,或者延期推行协议。第二十章适使用方法律第五十三条本协议签订、效力、解释、推行受中国法律管辖。在某一具体问题上假如没有业已颁布中国法律可适用,则可参考国际通例办理。第二十一章争议处理第五十四条凡因实施本协议所发生或与本协议相关一切争议,双方应经过友好协商处理,假如协商不能处理,应提交北京中国国际贸易促进委员会对外经济贸易仲裁委员会依据该会仲裁程序暂行规则进行仲裁。或,应提交＿＿国＿＿地＿＿仲裁机构依据该仲裁机构仲裁程序进行仲裁。或,仲裁在被诉人所在国进行。仲裁裁决是终局,对双方都有约束力。第五十五条在仲裁过程中,除双方有争议正在进行仲裁部分外,本协议应继续推行。第二十二章协议文字第五十六条本协议用汉字和＿＿＿＿＿文写成,两种文字含有相同效力。上述两种文本如有不符,以汉字本为准。第二十三章协议生效及其它第五十七条根据本协议要求各项标准签订以下隶属协议文件,包含:技术转让协议、销售协议……,均为本协议组成部分。第五十八条本协议及其附件,自中国审批机构同意之日起生效。第五十九条双方发送通知,如用电报、电传时、凡包含各方权利、义务,应随之以书面信件通知。协议中所列双方法定地址为收件地址。第六十条本协议于＿＿＿＿＿年＿＿＿＿＿月＿＿＿＿＿日由双方指定授权代表在中国＿＿＿＿＿签署。中国＿＿企业代表＿＿国＿＿企业代表THECONTRACTFORSINO-FOREIGNEQUITYJOINTVENTURE

Article12

Article13

PartyAandPartyBshallberespectivelyresponsibleforthefollowingmatters:

ResponsibilitiesofPartyA:Handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthejointventurecompanyfromrelevantdepartmentsinchargeofChina;Processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;Organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthejointventurecompany;Providingcash,machineryandequipmentandpremises...inaccordancewiththeprovisionsofArticle11;AssistingPartyBtoprocessimportcustomsdeclarationforthemachineryandequipmentcontributedbyPartyBasinvestmentandarrangingthetransportationwithintheChineseterritory;Assistingthejointventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;Assistingthejointventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;AssistingthejointventureinrecruitingChinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;Assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;Responsibleforhandlingothermattersentrustedbythejointventurecompany.

ResponsibilitiesofPartyB:Providingcash,machineryandequipment,industrialproperty...inaccordancewiththeprovisionsofArticle11,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoaChineseport;Handlingthemattersentrustedbythejointventurecompany,suchasselectingandpurchasingmachineryandequipmentoutsideChina,etc.;Providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;Trainingthetechnicalpersonnelandworkersofthejointventurecompany;IncasePartyBisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthejointventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;Responsibleforothermattersentrustedbythejointventurecompany.

BothPartyAandPartyBagreethatatechnologytransferagreementshallbesignedbetweenthejointventurecompanyandPartyB(orathirdparty)soastoobtainadvancedproductiontechnologyneededforrealizingtheproductionandoperationpurposeandtheproductionscalespecifiedinChapter4ofthecontract,includingproductdesign,manufacturingtechnology,meansoftesting,materialsprescription,standardofqualityandthetrainingofpersonneletc.

Article16

PartyBoffersthefollowingguaranteesonthetransferoftechnology:

1.PartyBguaranteesthattheoveralltechnologysuchasthedesigning,manufacturingtechnology,technologicalprocess,testsandinspectionofproducts(Note:Thenameoftheproductsshallbewritten)providedtothejointventurecompanymustbeintegrated,preciseandreliable.Itistomeettherequirementofthejointventuresoperationpurpose,andbeabletoobtainthestandardofproductionqualityandproductioncapacityspecifiedinthecontract;

2.PartyBguaranteesthatthetechnologyspecifiedinthiscontractandthetechnologytransferagreementshallbefullytransferredtothejointventurecompany,andpledgesthattheprovidedtechnologyshouldbetrulyadvancedamongthesametypeoftechnologyproducedbyPartyB,themodel,specificationandqualityoftheequipmentareexcellentanditistomeettherequirementoftechnologicaloperationandpracticalusage;

3.PartyBshallworkoutadetailedlistoftheprovidedtechnologyandtechnologicalserviceatvariousstagesasspecifiedinthetechnologytransferagreementtobeanappendixtothecontract,andguaranteeitsperformance;

4.Thedrawings,technologicalconditionsandotherdetailedinformationarepartofthetransferredtechnologyandshallbeprovidedontime;

5.Duringthetermofthetechnologytransferagreement,PartyBshallprovidethejointventurecompanywithanyimprovementsinthetechnologyandtheimprovedinformationandtechnologicalmaterialsintime,andshallnotchargeseparatefees;

6.PartyBshallguaranteethatthetechnicalpersonnelandtheworkersinthejointventurecompanycanmasterallthetechnologytransferredwithintheperiodspecifiedinthetechnologytransferagreement.

Article17

IncasePartyBfailstoprovideequipmentandtechnologyinaccordancewiththeprovisionsofthiscontractandthetechnologytransferagreementorincaseanydeceivingorconcealingactionsarefound,PartyBshallberesponsibleforcompensatingthedirectlossestothejointventurecompany.

Article18

Thetechnologytransferfeeshallbepaidinroyalties.Theroyaltyrateshallbe___________%ofthenetsalesvalueoftheproducts.ThetermforroyaltypaymentisthesameasthetermforthetechnologytransferagreementspecifiedinArticle19ofthiscontract.

Article19

ThetermforthetechnologytransferagreementsignedbythejointventurecompanyandPartyBis___________years.Aftertheexpirationofthetechnologytransferagreement,thejointventurecompanyshallhavetherighttouse,researchanddeveloptheimportedtechnologycontinuously.

Productsmaybesoldonoverseasmarketsthroughthefollowingchannels:Thejointventurecompanymaydirectlysellitsproductsontheinternationalmarket,accountingfor___________%.ThejointventurecompanymaysignsalescontractswithChineseforeigntradecompanies,entrustingthemtobethesalesagenciesorexclusivesalesagencies,accountingfor__________%.ThejointventurecompanymayentrustPartyBtosellitsproducts,accountingfor______________%.

ThejointventuresproductstobesoldinChinamaybehandledbytheChinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythejointventurecompanydirectly.

InordertoprovidemaintenanceservicetotheproductssoldbothinChinaorabroad,thejointventurecompanymaysetupsalesbranchesformaintenanceservicebothinChinaorabroadsubjecttotheapprovaloftherelevantChinesedepartment.

Thedateofregistrationofthejointventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthejointventurecompany.

Article26

Theboardofdirectorsiscomposedof__________directors,ofwhich___________shallbeappointedbyPartyA,_________byPartyB.ThechairmanoftheboardshallbeappointedbyPartyA,anditsvice-chairmanbyPartyB.Thetermofofficeforthedirectors,chairmanandvice-chairmanisfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.

Article27

Thehighestauthorityofthejointventurecompanyshallbeitsboardofdirectors.Itshalldecideallmajorissues(Note:ThemaincontentsshallbelistedinthelightofArticle36oftheImplementingRegulationsfortheJointVentureLaw)concerningthejointventurecompany.Unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.Asforothermatters,approvalbymajorityorasimplemajorityshallberequired.

Article28

Thechairmanoftheboardisthelegalrepresentativeofthejointventurecompany.Shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.

Article29

Theboardofdirectorsshallconveneatleastonemeetingeveryyear.Themeetingshallbecalledandpresidedoverbythechairmanoftheboard.Thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectors.Minutesofthemeetingsshallbeplacedonfile.Chapter10BusinessManagementOffice

Thejointventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.Themanagementofficeshallhaveageneralmanager,appointedbyParty_______,_______deputygeneralmanagers,_______byParty______;_______byParty________.Thegeneralmanageranddeputygeneralmanagerswhosetermsofofficeis________yearsshallbeappointedbytheboardofdirectors.

Article31

Theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthejointventurecompany.Thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.Severaldepartmentmanagersmaybeappointedbythemanagementoffice,theyshallberesponsiblefortheworkinvariousdepartmentsrespectively,handlethemattershandedoverbythegeneralmanageranddeputygeneralmanagersandshallberesponsibletothem.

Incaseofgraftorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytime.Chapter11PurchaseofEquipmentArticle33

Initspurchaseofrequiredrawmaterials,fuel,parts,meansoftransportationandarticlesforofficeuse,etc.,thejointventurecompanyshallgivefirstprioritytopurchaseinChinawhereconditionsarethesame.

IncasethejointventurecompanyentrustsPartyBtopurchaseequipmentontheoverseasmarket,personsappointedbythePartyAshallbeinvitedtotakepartinthepurchasing.Chapter12PreparationandConstruction

Article35

Duringtheperiodofpreparationandconstruction,apreparationandconstructionofficeshallbesetupundertheboardofdirectors.Thepreparationandconstructionofficeshallconsistof_________persons,amongwhich________personswillbefromPartyA,_______personsfromPartyB.ThepreparationandconstructionofficeshallhaveonemanagerrecommendedbyParty_________,andonedeputymanagerbyParty________.Themanageranddeputymanagershallbeappointedbytheboardofdirectors.

Thepreparationandconstructionofficeisresponsibleforthefollowingconcreteworks:examiningthedesignsoftheproject,signingtheprojectconstructioncontract,organizingthepurchaseandinspectionofrelatedequipment,materials,etc.,workingoutthegeneralscheduleofprojectconstruction,compilingtheexpenditureplans,controllingprojectfinancialpaymentsandfinalaccountsoftheproject,drawingupmanagerialmethodsandkeepingandfilingdocuments,drawings,filesandmaterials,etc.,duringtheconstructionperiodoftheproject.

Article37

AtechnicalgroupwithseveraltechnicalpersonnelappointedbyPartyAandPartyBshallbeorganized.Thegroup,undertheleadershipofthepreparationandconstructionoffice,isinchargeoftheexamination,supervision,inspection,testing,checkingandaccepting,andperformancecheckingoftheprojectdesign,thequalityoftheproject,theequipmentandmaterialsandtheimportedtechnology.Article38

Afterapprovalbybothparties,theestablishment,remunerationandtheexpensesofthestaffofthepreparationandconstructionofficeshallbecoveredintheprojectbudget.Article39Afterhavingcompletedtheprojectandfinishedtheturningoverprocedures,thepreparationandconstructionofficeshallbedissolvedupontheapprovaloftheboardofdirectors.Chapter13LaborManagementArticle40

Laborcontractcoveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthejointventurecompanyshallbedrawnupbetweenthejointventurecompanyandthetradeunionofthejointventurecompanyasawhole,ortheindividualemployeesinthejointventurecompanyasawholeorindividualemployeesinaccordancewiththeRegulationsofthePeoplesRepublicofChinaonLaborManagementinJointVenturesUsingChineseandForeignInvestmentanditsImplementingRules.Thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.

Article41

Theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.Chapter14Taxes,FinanceandAuditArticle42

ThejointventurecompanyshallpaytaxesinaccordancewiththeprovisionsofChineselawsandotherrelativeregulations.

Article43

StaffmembersandworkersofthejointventurecompanyshallpayindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeoplesRepublicofChina.

Article44

Allocationsforreservefunds,expansionfundsofthejointventurecompanyandwelfarefundsandbonusesforstaffandworkersshallbesetasideinaccordancewiththeprovisionsoftheJointVentureLaw.Theannualproportionofallocationsshallbedecidedbytheboardofdirectorsaccordingtothebusinesssituationofthejointventurecompany.

Article45

ThefiscalyearofthejointventurecompanyshallbefromJanuary1toDecember31.Allvouchers,receipts,statisticstatementsandreportsshallbewritteninChinese.

(Note:Aforeignlanguagecanbeusedconcurrentlywithmutualconsent).

Article46

FinancialcheckingandexaminationofthejointventurecompanyshallbeconductedbyanauditorregisteredinChinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.IncasePartyBconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,PartyAshallgiveitsconsent.AlltheexpensesthereofshallbebornebyPartyB.

Article47

Inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyearsbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsforexaminationandapproval.Chapter15DurationoftheJointVentureArticle48
