ThisConfidentialityAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[CompanyName1],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA"),and[CompanyName2],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").

I.Recitals

A.PartyAandPartyBrecognizethatinthecourseoftheirbusinessrelationship,theymayhaveaccesstocertainconfidentialinformationofeachother.

B.Eachpartydesirestoprotecttheconfidentialityofsuchinformationandtoestablishthetermsandconditionsfortheuseanddisclosureofsuchconfidentialinformation.

II.DefinitionofConfidentialInformation

1."ConfidentialInformation"shallmeananyandallinformationdisclosedbyoneparty(the"DisclosingParty")totheotherparty(the"ReceivingParty")inconnectionwiththisAgreement,whetherinwriting,oral,electronic,orotherform,andwhichismarkedasconfidentialorwhich,underthecircumstances,shouldreasonablybeconsideredconfidential.ConfidentialInformationshallinclude,butnotbelimitedto:

Businesssecrets,suchasformulas,processes,methods,techniques,knowhow,andcustomerlists;

Financialinformation,includingbudgets,financialstatements,andinvestmentstrategies;

Marketingandsalesinformation,suchaspricingstrategies,marketingplans,andcustomerdemographics;

Technicalinformation,includingdesigns,prototypes,algorithms,andsoftwarecode;

Proprietaryinformation,suchastrademarks,patents,andcopyrights;

AnyotherinformationthatisnotgenerallyknowntothepublicandthatprovidesapetitiveadvantagetotheDisclosingParty.

2.ConfidentialInformationshallnotincludeinformationthat:

IsorbespubliclyavailablethroughnofaultoftheReceivingParty;

IsalreadyknowntotheReceivingPartypriortothedisclosurebytheDisclosingParty;

IsindependentlydevelopedbytheReceivingPartywithoutreferencetotheConfidentialInformation;

Isrequiredtobedisclosedbylaworbyacourtorder,providedthattheReceivingPartygivestheDisclosingPartypriorwrittennoticeofsuchrequirementandmakesreasonableeffortstoobtainconfidentialtreatmentofsuchinformation.

III.ObligationsoftheReceivingParty

1.TheReceivingPartyshallkeeptheConfidentialInformationconfidentialandshallnotdisclose,use,orpermittheuseoftheConfidentialInformationforanypurposeotherthanaspermittedbythisAgreement.

2.TheReceivingPartyshalltakereasonableprecautionstoprotecttheconfidentialityoftheConfidentialInformation,whichshallbeatleastasprotectiveastheprecautionstheReceivingPartytakestoprotectitsownconfidentialinformationofasimilarnature.

3.TheReceivingPartyshalllimitaccesstotheConfidentialInformationtoitsemployees,agents,andcontractorswhohaveaneedtoknowsuchinformationforthepurposeofperformingtheirdutiesunderthisAgreementandwhohavebeeninformedoftheconfidentialnatureoftheinformationandareboundbyconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.

4.TheReceivingPartyshallnotcopyorreproducetheConfidentialInformationexceptasnecessaryforthepurposeofperformingitsobligationsunderthisAgreement,andanysuchcopiesorreproductionsshallbemarkedasconfidentialandshallbesubjecttothesameconfidentialityobligationsastheoriginalConfidentialInformation.

5.IftheReceivingPartyisrequestedorrequiredbylaworbyacourtordertodiscloseanyConfidentialInformation,theReceivingPartyshallgivetheDisclosingPartypriorwrittennoticeofsuchrequestorrequirementandshallcooperatewiththeDisclosingPartytoobtainconfidentialtreatmentofsuchinformationortocontestthedisclosure.

IV.PermittedUsesofConfidentialInformation

1.TheReceivingPartymayusetheConfidentialInformationonlyforthepurposeofevaluatingandpursuingapotentialbusinessrelationshiporforthepurposeofperformingitsobligationsunderthisAgreement.

2.TheReceivingPartymaydisclosetheConfidentialInformationtoitsemployees,agents,andcontractorswhohaveaneedtoknowsuchinformationforthepurposeofperformingtheirdutiesunderthisAgreementandwhohavebeeninformedoftheconfidentialnatureoftheinformationandareboundbyconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.

3.TheReceivingPartymaydisclosetheConfidentialInformationtolegalcounsel,accountants,andotherprofessionaladvisorswhoareassistingtheReceivingPartyinconnectionwiththisAgreementandwhohavebeeninformedoftheconfidentialnatureoftheinformationandareboundbyconfidentialityobligationsatleastasrestrictiveasthosecontainedinthisAgreement.

4.TheReceivingPartymaydisclosetheConfidentialInformationasrequiredbylaworbyacourtorder,providedthattheReceivingPartygivestheDisclosingPartypriorwrittennoticeofsuchrequirementandmakesreasonableeffortstoobtainconfidentialtreatmentofsuchinformation.

V.OwnershipofConfidentialInformation

1.Allright,title,andinterestinandtotheConfidentialInformationshallremainwiththeDisclosingParty.

2.TheReceivingPartyacknowledgesthatithasnorighttouse,disclose,orreproducetheConfidentialInformationexceptaspermittedbythisAgreement.

VI.TermofAgreement

1.ThisAgreementshallbeeffectiveasofthedatefirstabovewrittenandshallremainineffectforaperiodof[numberofyears]yearsfromtheeffectivedate(the"Term").

2.EitherpartymayterminatethisAgreementupon[numberofdays]days'writtennoticetotheotherparty.

3.UponterminationofthisAgreement,theReceivingPartyshallimmediatelyceaseusinganddisclosingtheConfidentialInformationandshallreturntotheDisclosingPartyordestroyallcopiesoftheConfidentialInformationinitspossessionorcontrol.

VII.NonCompeteandNonSolicitation

1.DuringtheTermofthisAgreementandforaperiodof[numberofyears]yearsaftertheterminationofthisAgreement,PartyBshallnotengageinanybusinessactivitythatpeteswithPartyA'sbusinessinthe[specificgeographicalarea]orsolicitanycustomers,employees,orcontractorsofPartyA.

2.PartyBacknowledgesthatthecovenantscontainedinthissectionarereasonableandnecessarytoprotectthelegitimatebusinessinterestsofPartyAandthatanyviolationofthesecovenantswillcauseirreparableharmtoPartyAforwhichmonetarydamagesmaynotbeanadequateremedy.Therefore,intheeventofabreachofthesecovenants,PartyAshallbeentitledtoinjunctivereliefinadditiontoanyotherremediesavailableatlaworinequity.

VIII.WarrantyandIndemnification

1.EachpartyrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

2.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsuseordisclosureoftheConfidentialInformationinviolationofthisAgreement.

Ix.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[jurisdiction].

x.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

xI.Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

2.Thepartiesshallnegotiateingoodfaithtoreplacetheinvalid,illegal,orunenforceableprovisionwithavalidprovisionthatachieves,totheextentpossible,theeconomic,business,andotherpurposesoftheinvalid,illegal,orunenforceableprovision.

xII.Waiver

1.NofailureordelayonthepartofeitherpartytoexerciseanyrightorremedyunderthisAgreementshallconstituteawaiverofsuchrightorremedy.

2.NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

INWITNESSWHEREOF,thepartieshaveexecutedthisConfidentialityAgreementasofthedatefirstabovewritten.
