nyotherpurposes.IfPartyBneedstodisclosetheconfidentialinformationofPartyAtoathirdpartyduetobusinessneeds,itshallobtainthepriorwrittenconsentofPartyAinadvanceandensurethatthethirdpartyalsoplieswiththeconfidentialityprovisionsofthisagreement.III.ConfidentialityPeriod1.Theconfidentialityperiodofthisagreementshallbe[x]yearsfromthedateofsigningofthisagreementbybothparties.2.Aftertheexpirationoftheconfidentialityperiod,PartyBshallstillbeobligedtokeeptheconfidentialinformationofPartyAconfidentialuntilsuchinformationnolongerhasmercialvalueorhasenteredthepublicdomain.IV.LiabilityforBreachofContract1.Ifeitherpartyviolatestheprovisionsofthisagreement,itshallpayaliquidateddamagesofRMB[x]totheotherpartyandpensatetheotherpartyforalllossessufferedthereby,includingbutnotlimitedtodirectlosses,indirectlosses,attorneyfees,litigationcosts,etc.2.IfPartyBviolatestheprovisionsofthisagreementanddisclosestheconfidentialinformationofPartyAtoathirdparty,PartyBshallimmediatelytakemeasurestoeliminatetheimpactandbearalllossescausedtoPartyAthereby.3.IfPartyAviolatestheprovisionsofthisagreementanddisclosestheconfidentialinformationofPartyBtoathirdparty,PartyAshallimmediatelytakemeasurestoeliminatetheimpactandbearalllossescausedtoPartyBthereby.4.Ifeitherpartyviolatestheconfidentialityobligationstipulatedinthisagreement,theotherpartyhastherighttoterminatethisagreementandrequirethebreachingpartytobeartheliabilityforbreachofcontract.V.DisputeResolution1.Theconclusion,performance,interpretationanddisputeresolutionofthisagreementshallbegovernedbythelawsofthePeople'sRepublicofChina.2.Ifadisputeoccursbetweenthetwopartiesduringtheperformanceofthisagreement,thepartiesshallfirstresolveitthroughfriendlynegotiation;ifthenegotiationfails,eitherpartyhastherighttofilealaw
