ThisGiftAgreementContract(the"Contract")ismadeandenteredintoasof[date]byandbetween:

I.Recitals

TheDonordesirestomakeagifttotheDonee,andtheDoneedesirestoacceptsuchgift.Thepartiesherebyagreetothefollowingtermsandconditionsregardingthegift.

II.DescriptionoftheGift

A.TangibleProperty

1.RealEstate

TheDonorherebygiftstotheDoneeaparcelofrealestatelocatedat[propertyaddress],describedas[legaldescriptionoftheproperty,includinglotnumber,blocknumber,etc.].Thepropertyiscurrentlyzonedfor[zoningclassification]andhasanapproximateareaof[squarefootage]squarefeet.Itincludesamaindwellingconsistingof[numberofbedrooms]bedrooms,[numberofbathrooms]bathrooms,alivingroom,adiningroom,akitchen,andabasement.Thereisalsoadetachedgaragewithacapacityfor[numberofcars]carsandabackyardwithapatioarea.

2.PersonalProperty

TheDonorgiftstotheDoneeallfurniture,fixtures,andappliancescurrentlylocatedwithintheabovementionedrealestate.Thisincludesbutisnotlimitedto:

Livingroomfurniture:a[brand]sofa,two[brand]armchairs,a[brand]coffeetable,anda[brand]entertainmentcenter.

Diningroomfurniture:a[brand]diningtablewith[numberofchairs]chairs.

Kitchenappliances:a[brand]refrigerator,a[brand]stove,a[brand]microwaveoven,anda[brand]dishwasher.

Bedroomfurniture:[descriptionofbeds,dressers,etc.ineachbedroom].

B.IntangibleProperty

1.IntellectualPropertyRights(ifapplicable)

IftheDonorownsanyintellectualpropertyrightsrelatedtoaparticularbusiness,invention,orcreativework,andwishestogiftsuchrightstotheDonee,adetaileddescriptionshallbeprovidedhere.Forexample,iftheDonoristheownerofapatentfora[descriptionoftheinvention],thepatentnumberis[patentnumber],andtherelevantfilingdatesandjurisdictionsare[listoffilingdatesandcountries/regionswherethepatentisfiled].TheDonorherebytransfersallrights,title,andinterestinandtosuchintellectualpropertytotheDonee,includingtherighttouse,license,sell,orotherwisedisposeoftheintellectualpropertyinaccordancewithapplicablelaws.

2.FinancialAssets

TheDonorgiftstotheDoneeallsharesofstockinpanyname]currentlyheldbytheDonor.Asofthedateofthiscontract,thenumberofsharesis[numberofshares],andthemarketvalueoftheseshares,asperthelatestavailablefinancialstatementsormarketquotes,isapproximately[dollaramount].Additionally,theDonorgiftstotheDoneeallfundsheldinasavingsaccountat[bankname],accountnumber[accountnumber],withacurrentbalanceof[dollaramount].

III.RightsandObligationsoftheParties

A.RightsoftheDonee

1.OwnershipRights

TheDoneeshallhavefullandexclusiveownershiprightsoverthegiftedproperty,bothtangibleandintangible.TheDoneeisentitledtouse,possess,manage,anddisposeofthepropertyinaccordancewithapplicablelaws.Forrealestate,theDoneemayoccupytheproperty,rentitoutifpermittedbylocallaws,ormakeimprovementstoitsubjecttoanyrelevantzoningorbuildingregulations.

2.IntellectualPropertyRights(ifapplicable)

Ifthegiftincludesintellectualpropertyrights,theDoneeshallhavetherighttoexerciseallrightsassociatedwithsuchintellectualproperty.Thisincludestherighttofileforpatents,trademarks,orcopyrightsinthenameoftheDonee,therighttolicensetheintellectualpropertytothirdparties,andtherighttoenforcetheintellectualpropertyrightsagainstanyinfringers.

3.FinancialRights

Inthecaseoffinancialassetsgifted,theDoneeshallhavetherighttoaccessandmanagethefundsandshares.TheDoneecansellthesharesattheprevailingmarketprice,withdrawfundsfromthesavingsaccount,andusethefinancialresourcesforpersonalorbusinesspurposesasappropriate.

B.ObligationsoftheDonee

1.CareandMaintenance

TheDoneeshallexercisereasonablecareinmaintainingandpreservingthegiftedproperty.Forrealestate,thisincludesmakingnecessaryrepairsandupkeeptopreventdeteriorationoftheproperty.TheDoneeshallalsoensurethatthepersonalpropertyiskeptingoodconditionandthatanyintellectualpropertyrightsareprotectedfrominfringement.

2.CompliancewithLaws

TheDoneeshallplywithallapplicablelaws,regulations,andzoningrequirementsrelatedtothegiftedproperty.Inthecaseofrealestate,thismayinvolvepayingpropertytaxes,adheringtobuildingcodes,andnotusingthepropertyforillegalpurposes.Ifthegiftincludesintellectualproperty,theDoneeshallplywithallrelevantintellectualpropertylaws,suchasfilingannualmaintenancefeesforpatentsandrenewingtrademarksontime.

3.NoMisappropriation

TheDoneeshallnotmisappropriateormisusethegiftedpropertyforanypurposeotherthanthosepermittedbythiscontractandapplicablelaws.TheDoneeshallnotattempttotransferordisposeofthepropertyinamannerthatviolatesthetermsofthisgiftagreementortherightsoftheDonororotherthirdparties.

C.RightsoftheDonor

1.RighttoRevoke(inlimitedcircumstances)

InaccordancewiththeprovisionsoftheCivilCodeof[country](Article[relevantarticlenumber]),iftheDoneeseriouslyviolatesthetermsofthisgiftagreement,suchasmisappropriatingthegiftedpropertyorfailingtofulfilltheobligationsofcareandmaintenance,theDonormayhavetherighttorevokethegift.However,therevocationmustbeexercisedwithinareasonabletimeafterthediscoveryoftheviolation,andtheDonorshallbeartheburdenofproofinanylegalproceedingregardingtherevocation.

2.RighttoInformation

TheDonorshallhavetherighttorequestinformationfromtheDoneeregardingthestatusanduseofthegiftedproperty.TheDoneeshallprovidesuchinformationinatimelyandaccuratemannerupontheDonor'srequest.Forexample,iftheDonorrequestsanannualreportonthefinancialperformanceofanybusinessrelatedgiftedpropertyortheconditionoftherealestate,theDoneeshallply.

D.ObligationsoftheDonor

1.TransferofTitle

TheDonorshallberesponsiblefortransferringthetitleofthegiftedpropertytotheDoneeinaccordancewiththeapplicablelawsandprocedures.Forrealestate,thismayinvolvepreparingandfilingthenecessarydeeds,transferdocuments,andpayinganyassociatedtransfertaxes.Inthecaseofpersonalproperty,theDonorshallphysicallydelivertheitemstotheDoneeorexecutethenecessarytransferdocuments.Forintellectualpropertyrights,theDonorshallfiletheappropriatetransferformswiththerelevantintellectualpropertyoffices.

2.DisclosureofInformation

TheDonorshalldisclosetotheDoneeallrelevantinformationregardingthegiftedproperty,includinganyliens,encumbrances,ordefects.Forexample,ifthereisamortgageontherealestatebeinggifted,theDonorshallinformtheDoneeofthetermsofthemortgage,theremainingbalance,andthepaymentschedule.Inthecaseofintellectualproperty,theDonorshalldiscloseanyongoinglitigationorpotentialdisputesrelatedtotheintellectualpropertyrights.

IV.Consideration

InconsiderationofthegiftmadebytheDonortotheDonee,theDoneeherebycovenantsandagreestoabidebyallthetermsandconditionsofthisgiftagreement.Thegiftismadewithoutanyconsiderationinthetraditionalsenseofacontractualexchangeofvalue,butthemutualobligationsandrightssetforthinthiscontractarethebasisforthetransferofthegift.

V.RepresentationsandWarranties

A.RepresentationsoftheDonor

1.OwnershipandAuthority

TheDonorrepresentsandwarrantsthattheDonoristhelegalandrightfulownerofthegiftedpropertyandhasthefullright,power,andauthoritytomakethegiftandtransferthepropertytotheDonee.TheDonorfurtherrepresentsthatthepropertyisfreeandclearofanyliens,encumbrances,mortgages,orotherrestrictions,exceptasdisclosedtotheDoneepriortotheexecutionofthiscontract.

2.IntellectualPropertyRights(ifapplicable)

Ifthegiftincludesintellectualpropertyrights,theDonorrepresentsandwarrantsthattheDonorhasthelegalrighttotransfersuchrights,thattheintellectualpropertyisnotsubjecttoanyinfringementclaimsordisputesthatcouldaffecttheDonee'sabilitytouseandenjoytherights,andthatallnecessaryfilingsandmaintenancehavebeencarriedoutinaccordancewithapplicablelaws.

3.CompliancewithLaws

TheDonorrepresentsandwarrantsthatthegiftandthetransferofthepropertyareinpliancewithallapplicablelaws,includingbutnotlimitedtotaxlaws,propertylaws,andintellectualpropertylaws.

B.RepresentationsoftheDonee

1.AcceptanceandUnderstanding

TheDoneerepresentsandwarrantsthattheDoneehasfullyunderstoodthetermsandconditionsofthisgiftagreementandfreelyacceptsthegift.TheDoneefurtherrepresentsthattheDoneehasthelegalcapacitytoacceptthegiftandtoplywithalltheobligationssetforthinthiscontract.

2.CompliancewithLaws

TheDoneerepresentsandwarrantsthattheDoneewillplywithallapplicablelawsinrelationtothegiftedproperty,asstatedaboveintheobligationsoftheDoneesection.

VI.GoverningLawandJurisdiction

A.GoverningLaw

Thisgiftagreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].

B.Jurisdiction

Anydisputesarisingoutoforinconnectionwiththisgiftagreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[city/county],[country/state].

VII.Termination

A.TerminationbyAgreement

ThisgiftagreementmaybeterminatedbymutualwrittenagreementoftheDonorandtheDonee.Suchterminationshallbeeffectiveupontheexecutionofthewrittenterminationagreement.
