I.Introduction

TheVolunteerundertakestoprovidevolunteerservicestotheOrganization,andtheOrganizationagreestoacceptsuchservicesinaccordancewiththetermsandconditionsofthisAgreement.

II.DescriptionofVolunteerServices

1.ServiceScope

TheVolunteershallprovidethefollowingvolunteerservices(the"Services")totheOrganization:[Describeindetailthenatureoftheservices,suchasassistinginmunityoutreachprograms,providingadministrativesupport,participatinginenvironmentalprotectionactivities,etc.].

2.ServiceLocation

TheServicesshallbeperformedat[specifythelocation(s)wheretheserviceswillbeprovided,whichcouldbetheOrganization'soffice,specificmunitysites,orotherrelevantlocations].

3.ServiceSchedule

TheVolunteershallperformtheServicesduringthefollowingperiod:[Indicatethestartdateandenddateofthevolunteerserviceperiod,andifthereareanyspecificworkinghoursordaysoftheweek,pleasespecifythemhere].TheVolunteershallmakeeveryefforttoadheretotheagreedserviceschedule,butincaseofunforeseencircumstances,theVolunteershallnotifytheOrganizationinadvanceandmakearrangementsforanynecessaryadjustments.

III.RightsandObligationsoftheParties

A.RightsoftheVolunteer

1.InformationAccess

TheVolunteerhastherighttoobtainfromtheOrganizationallnecessaryinformationregardingtheServices,includingbutnotlimitedtothepurpose,scope,andrequirementsoftheServices,aswellasanyrelevantsafetyguidelinesandprocedures.

2.TrainingandSupport

TheVolunteerisentitledtoreceiveappropriatetrainingandsupportfromtheOrganizationtoenabletheVolunteertoperformtheServiceseffectively.Suchtrainingmayincludeorientationsessions,skillbuildingworkshops,andonthejobguidance.

3.Recognition

TheVolunteershallberecognizedbytheOrganizationfortheircontributionstotheServicesinaccordancewiththeOrganization'srecognitionpoliciesandpractices.

B.ObligationsoftheVolunteer

1.DutyofCare

TheVolunteershallexercisereasonablecareanddiligenceinperformingtheServices.TheVolunteershalltakeallnecessaryprecautionstoensurethesafetyofthemselvesandothersduringtheperformanceoftheServicesandshallplywithallapplicablesafetyregulationsandguidelines.

2.Confidentiality

TheVolunteershallkeepconfidentialallinformationobtainedduringtheperformanceoftheServicesthatisconfidentialinnature,includingbutnotlimitedtotheOrganization'stradesecrets,clientinformation,andinternaloperatingprocedures.TheVolunteershallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheOrganization.

3.Compliance

TheVolunteershallplywithalllaws,regulations,andpoliciesapplicabletotheperformanceoftheServices,aswellastherulesandregulationsoftheOrganization.TheVolunteershallnotengageinanyillegalorunethicalconductduringtheprovisionoftheServices.

4.PerformanceofServices

TheVolunteershallperformtheServicesinaccordancewiththedescriptionsetforthinSectionIIofthisAgreement.TheVolunteershallusetheirbesteffortstopletetheServicestothesatisfactionoftheOrganizationwithintheagreedtimeframe.TheVolunteershallnotassignortransfertheirobligationsunderthisAgreementtoanythirdpartywithoutthepriorwrittenconsentoftheOrganization.

C.RightsoftheOrganization

1.ServiceSupervision

TheOrganizationhastherighttosuperviseanddirecttheVolunteerintheperformanceoftheServicestoensurethattheServicesarecarriedoutinaccordancewiththeAgreementandtheOrganization'srequirements.

2.TerminationRight

IncaseofamaterialbreachofthisAgreementbytheVolunteer,theOrganizationhastherighttoterminatethisAgreementimmediatelyandrequiretheVolunteertoceaseperformingtheServices.

D.ObligationsoftheOrganization

1.TrainingandSupportProvision

TheOrganizationshallprovidetheVolunteerwiththenecessarytrainingandsupportasdescribedinSectionIII(A)(2)above.

2.SafetyAssurance

TheOrganizationshalltakereasonablemeasurestoensurethesafetyoftheVolunteerduringtheperformanceoftheServices.Thismayincludeprovidingappropriatesafetyequipment,conductingriskassessments,andestablishingsafetyprocedures.

3.CompensationandExpenses

Unlessotherwiseagreedinwriting,theVolunteershallnotbepensatedfortheServicesprovidedunderthisAgreement.However,theOrganizationshallreimbursetheVolunteerforanyreasonableoutofpocketexpensesincurredinconnectionwiththeperformanceoftheServices,providedthattheVolunteersubmitsproperdocumentationofsuchexpenses.

IV.CompensationandExpenses

1.NoCompensation

Asmentionedabove,theVolunteershallnotreceivemonetarypensationfortheServicesprovidedunderthisAgreement,exceptasotherwiseprovidedforinthissection.

2.ExpenseReimbursement

TheOrganizationshallreimbursetheVolunteerforthefollowingtypesofreasonableoutofpocketexpenses:

Travelexpenses,includingtransportationcosts(suchasbusfares,traintickets,ormileagereimbursementforpersonalvehiclesusedforservicerelatedtravel)incurredinconnectionwiththeperformanceoftheServices.TheVolunteershallprovidereceiptsorotherappropriatedocumentationforalltravelexpenses.

Suppliesandmaterialsexpenses,providedthatsuchexpensesaredirectlyrelatedtotheperformanceoftheServicesandareapprovedinadvancebytheOrganization.

V.Confidentiality

1.ConfidentialInformationDefined

"ConfidentialInformation"forthepurposesofthisAgreementshallincludeallinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththeServices,includingbutnotlimitedto:

TheOrganization'sbusinessplans,strategies,financialinformation,andclientlists.

AnydataorinformationobtainedbytheVolunteerduringtheperformanceoftheServicesthatismarkedasconfidentialorthatshouldreasonablybeunderstoodtobeconfidential.

2.NonDisclosureObligation

BoththeVolunteerandtheOrganizationshallkeepConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.ReturnofConfidentialInformation

UpontheterminationofthisAgreementoratanytimeupontherequestofthedisclosingparty,thereceivingpartyshallreturnordestroyallConfidentialInformationinitspossessionorcontrolandshallcertifyinwritingtothedisclosingpartythatithasdoneso.

VI.IntellectualPropertyRights

1.OwnershipofOriginalWorks

AnyoriginalworkscreatedbytheVolunteerduringtheperformanceoftheServices(suchaswrittenreports,creativeworks,etc.)shallbethesolepropertyoftheVolunteer,unlessotherwiseagreedinwriting.

2.LicensetoUse

TheOrganizationshallhaveanonexclusive,royaltyfreelicensetouseanysuchoriginalworkscreatedbytheVolunteerinconnectionwiththepromotionandoperationoftheOrganization'sactivitiesrelatedtotheServices,providedthattheVolunteer'snameandanyrelevantcopyrightnoticesareprominentlydisplayed.

VII.LiabilityandIndemnification

A.LiabilityoftheParties

1.Volunteer'sLiability

TheVolunteershallbeliableforanydamagescausedbytheirownnegligence,willfulmisconduct,orbreachofthisAgreementduringtheperformanceoftheServices.TheVolunteershallindemnifyandholdtheOrganizationharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithsuchnegligence,willfulmisconduct,orbreach.

2.Organization'sLiability

TheOrganizationshallbeliableforanydamagescausedbyitsownnegligence,willfulmisconduct,orbreachofthisAgreement.TheOrganizationshallindemnifyandholdtheVolunteerharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithsuchnegligence,willfulmisconduct,orbreach.

B.Indemnification

1.GeneralIndemnification

Eachpartyshallindemnifytheotherpartyagainstalllosses,liabilities,damages,claims,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanythirdpartyclaimrelatedtotheperformanceofthisAgreementortheServices,totheextentthatsuchclaimiscausedbytheindemnifyingparty'sbreachofthisAgreement,negligence,orwillfulmisconduct.

2.NotificationofClaims

Intheeventofanyclaimforwhichindemnificationissoughtunderthissection,theindemnifyingpartyshallbenotifiedpromptlybytheindemnifiedparty.Theindemnifyingpartyshallhavetherighttoassumethedefenseofsuchclaimatitsownexpense,providedthattheindemnifiedpartyshallcooperatefullywiththeindemnifyingpartyinthedefense,includingprovidingallrelevantinformationandassistance.

VIII.Termination

1.TerminationbyAgreement

ThisAgreementmaybeterminatedbymutualwrittenagreementoftheVolunteerandtheOrganizationatanytime.

2.TerminationforBreach

EitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.A"materialbreach"shallinclude,butnotbelimitedto,failuretoperformtheServicesasrequired,failuretoplywithconfidentialityobligations,orengaginginillegalorunethicalconduct.

3.EffectofTermination

UponterminationofthisAgreement,theVolunteershallimmediatelyceaseperformingtheServices,andbothpartiesshallfulfillanyremainingobligationsunderthisAgreementthatsurvivetermination,suchastheobligationtokeepConfidentialInformationconfidentialandtheobligationtoindemnifyeachotherasprovidedinSectionVII.

Ix.DisputeResolution

1.Negotiation

IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.

2.Mediation

Ifthepartiesareunabletoresolvethedisputethroughnegotiationwithin[numberofdays]daysafterthedisputearises,eitherpartymayrequestmediation.Themediationshallbeconductedinaccordancewiththerulesof[nameofmediationinstitution]orothermutuallyagreeduponmediationprocedures.

3.ArbitrationorLitigation

Ifthedisputeremainsunresolvedaftermediation(ifapplicable),thepartiesshallsubmitthedisputeto[specifythearbitrationinstitutionorthecourtjurisdiction].Ifarbitrationischosen,thearbitrationshallbeconductedinaccordancewiththerulesof[nameofarbitrationinstitution],andthearbitralawardshallbefinalandbindingonbothparties.Iflitigationischosen,thelawsuitshallbefiledinthe[nameofcourt]withjurisdictionoverthematter.

x.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisd
