2.PriceandPaymentTerms

2.1Price

CommercialInvoice:AdetailedinvoiceshowingthedescriptionoftheGoods,quantity,price,andtotalamountdue.

PackingList:Alistindicatingthecontentsofeachpackage,includingquantity,weight,anddimensions.

CertificateofOrigin:AcertificateindicatingtheoriginoftheGoods.

InsurancePolicyorCertificate:AninsurancepolicyorcertificatecoveringtheGoodsforthefullCIFvalueplus[X]%againstallrisksaspertheInstituteCargoClauses(A)oftheLondonInsuranceMarketAssociation.

4.RightsandObligationsoftheParties

4.1Seller'sRightsandObligations

Rights:

TheSellerhastherighttoreceivethepaymentfortheGoodsandservicesasperthetermsofthisAgreement.

TheSellerhastherighttoclaimanyadditionalchargesorpensationincaseofanychangesinthecontractrequirementsorunforeseencircumstancesthataffecttheperformanceoftheAgreement,providedthatsuchchangesorcircumstancesaremunicatedtotheBuyerinatimelymanner.

Obligations:

TheSellershallsupplytheGoodsinaccordancewiththedescription,quantity,quality,andpackagingrequirementsspecifiedinthisAgreement.

TheSellershallarrangefortheshipmentoftheGoodsinatimelymannerandensurethattheGoodsareproperlyloaded,stowed,andtransportedtothedestinationport.

TheSellershallobtainandtendertherequiredshippingdocumentstotheBuyerasperthedeliveryterms.

TheSellershallberesponsibleforanylossordamagetotheGoodsduringtransituntiltheGoodsaredeliveredtotheportofdestinationandtheBuyertakespossessionofthem,providedthattheSellerhaspliedwithalltherequirementsofthisAgreementandtheapplicablelawsandregulationsregardinginsurance.

TheSellershallindemnifyandholdtheBuyerharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeSeller'sbreachofthisAgreementoranyrepresentationorwarrantymadebytheSellerinrelationtotheGoods.

4.2Buyer'sRightsandObligations

Rights:

TheBuyerhastherighttoinspecttheGoodsuponarrivalatthedestinationportandrejecttheGoodsiftheydonotconformtothetermsofthisAgreement.

TheBuyerhastherighttorequiretheSellertoremedyanydefectsordeficienciesintheGoodswithinareasonabletime.

Obligations:

TheBuyershallpaythePricefortheGoodsandservicesinaccordancewiththepaymenttermsspecifiedinthisAgreement.

TheBuyershallprovidetheSellerwithanynecessaryinformationorinstructionsinatimelymannertoenabletheSellertoperformitsobligationsunderthisAgreement.

TheBuyershalltakedeliveryoftheGoodsuponarrivalatthedestinationportinaccordancewiththeapplicablecustomsandregulations.

TheBuyershallindemnifyandholdtheSellerharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeBuyer'sbreachofthisAgreementoranyactoromissionoftheBuyerinrelationtotheGoodsaftertheirdeliverytothedestinationport.

5.Insurance

5.1Seller'sInsuranceObligation

TheSellershallprocureandmaintainaninsurancepolicyorcertificatecoveringtheGoodsforthefullCIFvalueplus[X]%againstallrisksaspertheInstituteCargoClauses(A)oftheLondonInsuranceMarketAssociation.TheinsuranceshallbeinforcefromthetimetheGoodsleavetheSeller'spremisesuntiltheyaredeliveredtotheportofdestinationandtheBuyertakespossessionofthem.

5.2InsuranceClaims

IntheeventofanylossordamagetotheGoodsduringtransit,theSellershallpromptlynotifytheinsurancepanyandtheBuyer.TheSellershallassisttheBuyerinfilingandpursuinginsuranceclaims,andshallassignallitsrightsandinterestsintheinsuranceproceedstotheBuyer.

6.QualityAssurance

6.1Seller'sWarranty

TheSellerwarrantsthattheGoodsshallconformtothequalityspecifications,description,andpackagingrequirementssetforthinthisAgreement.TheSellerfurtherwarrantsthattheGoodsshallbefreefromanydefectsinmaterialandworkmanshipandshallbemerchantableandfitfortheintendedpurposeforwhichtheyaresold.

6.2WarrantyPeriod

ThewarrantyperiodfortheGoodsshallbe[numberofmonths/years]fromthedateofdeliveryatthedestinationport.

6.3WarrantyRemedies

Duringthewarrantyperiod,iftheBuyerdiscoversanydefectsintheGoods,theBuyershallnotifytheSellerinwriting.TheSellershall,atitsoption,eitherrepairorreplacethedefectiveGoodsatnoadditionalcosttotheBuyerwithinareasonabletime.IftheSellerfailstoremedythedefectwithinareasonabletime,theBuyermaytakeanyappropriateaction,includingbutnotlimitedtodeductingthecostofrepairorreplacementfromthepaymentduetotheSeller,orseekingdamagesforanylossessufferedasaresultofthedefect.

7.IntellectualPropertyRights

7.1OwnershipofIntellectualProperty

TheSellerrepresentsandwarrantsthatithastherighttoselltheGoodsandthattheGoodsdonotinfringeanythirdpartyintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

7.2Indemnification

TheSellershallindemnifyandholdtheBuyerharmlessfromandagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanyallegedinfringementofintellectualpropertyrightsbytheGoods.

8.Confidentiality

8.1ConfidentialInformation

EachpartyacknowledgesthatinthecourseofperformingthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinessplans,customerlists,technicaldata,andpricinginformation(the"ConfidentialInformation").

8.2ObligationtoKeepConfidential

EachpartyshallkeeptheConfidentialInformationoftheotherpartyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

8.3Exceptions

Theobligationofconfidentialityshallnotapplytoanyinformationthat:

Isalreadyinthepublicdomain;

IsindependentlydevelopedbythereceivingpartywithoutreferencetotheConfidentialInformation;

Isobtainedbythereceivingpartyfromathirdpartywithoutanyobligationofconfidentiality;or

Isrequiredtobedisclosedbylaw.

9.ForceMajeure

9.1DefinitionofForceMajeure

"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,war,civilunrest,strikes,lockouts,governmentregulations,andanyothersimilareventorcircumstancethatmakesitimpossibleorimpracticableforapartytoperformitsobligationsunderthisAgreement.

9.2EffectofForceMajeure

IfapartyispreventedfromperformingitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallnotifytheotherpartyinwritingassoonaspossibleandshallprovidedetailsoftheForceMajeureeventanditsexpectedduration.TheaffectedpartyshallbeexcusedfromperformancefortheperiodoftimeduringwhichitisunabletoperformduetoForceMajeure,providedthatittakesallreasonablemeasurestominimizetheimpactoftheForceMajeureeventan
