ThisContractCancellationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyA'sname],a[PartyA'sentitytype]organizedandexistingunderthelawsof[PartyA'sjurisdiction]withitsprincipalplaceofbusinessat[PartyA'saddress](hereinafterreferredtoas"PartyA"),and[PartyB'sname],a[PartyB'sentitytype]organizedandexistingunderthelawsof[PartyB'sjurisdiction]withitsprincipalplaceofbusinessat[PartyB'saddress](hereinafterreferredtoas"PartyB").

I.Recitals

1.PartyAandPartyBenteredintoa[contractname](the"OriginalContract")dated[originalcontractdate]inrelationto[descriptionofthesubjectmatterorservice].

2.Forvariousreasons,thepartiesnowwishtocanceltheOriginalContractandenterintothisAgreementtosetforththetermsandconditionsforsuchcancellation.

II.SubjectMatterorServiceDescription

III.CancellationTerms

IV.RightsandObligationsoftheParties

A.PartyA'sRightsandObligations

1.Rights

PartyAshallhavetherighttoreceivearefundofanypaymentsmadebyPartyAtoPartyBundertheOriginalContractthathavenotbeenearnedorutilizedasofthecancellationdate.

PartyAshallbereleasedfromanyfurtherobligationstoperformundertheOriginalContract.

2.Obligations

PartyAshallprovidePartyBwithanynecessarydocumentationorinformationrelatedtothecancellationoftheOriginalContract,includingbutnotlimitedtoinvoices,receipts,anddeliverynotes.

PartyAshallcooperatewithPartyBingoodfaithtofacilitatetheorderlyterminationofanyongoingprojectsortransactionsrelatedtotheOriginalContract.

B.PartyB'sRightsandObligations

1.Rights

PartyBshallhavetherighttoretainanypaymentsreceivedfromPartyAundertheOriginalContractthathavebeenearnedorutilizedasofthecancellationdate.

PartyBshallbereleasedfromanyfurtherobligationstoperformundertheOriginalContract.

2.Obligations

PartyBshallrefundtoPartyAanypaymentsreceivedfromPartyAundertheOriginalContractthathavenotbeenearnedorutilizedasofthecancellationdate,within[refundperiod]daysofthecancellationdate.

PartyBshalldestroyorreturntoPartyAanyconfidentialinformation,tradesecrets,orproprietarymaterialsreceivedfromPartyAinconnectionwiththeOriginalContract.

PartyBshallindemnifyandholdPartyAharmlessfromanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithPartyB'suseorretentionofanypaymentsreceivedfromPartyAundertheOriginalContractthathavenotbeenearnedorutilizedasofthecancellationdate.

V.PaymentandRefund

1.PartyBshallrefundtoPartyAthetotalamountof[refundamount]within[refundperiod]daysofthecancellationdate.Therefundshallbemadeby[refundmethod],suchasbanktransfertothefollowingaccount:[PartyA'sbankaccountdetails].

2.IfPartyBfailstomaketherefundwithinthespecifiedrefundperiod,PartyBshallbeliabletopayinterestontheoutstandingrefundamountattherateof[interestrate]%perannumfromtheduedateuntilthedateofactualpayment.

VI.Confidentiality

1.ThepartiesacknowledgethatduringthecourseoftheirbusinessrelationshipundertheOriginalContract,theyhavehadaccesstoeachother'sconfidentialinformation,includingbutnotlimitedtobusinessplans,financialinformation,customerlists,andproductdesigns.

2.Eachpartyshallmaintaintheconfidentialityoftheotherparty'sconfidentialinformationandshallnotdisclose,use,orpermittheuseofsuchconfidentialinformationforanypurposeotherthantheperformanceofitsobligationsundertheOriginalContractorthisAgreement.

3.ThisconfidentialityobligationshallsurvivethecancellationoftheOriginalContractandthisAgreementforaperiodof[confidentialityperiod]years.

VII.IntellectualPropertyRights

1.AnyintellectualpropertyrightscreatedordevelopedinconnectionwiththeOriginalContract,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallremainthepropertyofthepartythatcreatedordevelopedthem.

2.Thepartiesshallnotuseorclaimanyintellectualpropertyrightsoftheotherpartywithoutthepriorwrittenconsentoftheownerofsuchrights.

VIII.RepresentationsandWarranties

1.Eachpartyrepresentsandwarrantstotheotherpartythat:

IthasthelegalrightandauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

Theexecution,delivery,andperformanceofthisAgreementdonotandwillnotviolateanyapplicablelaws,regulations,orcontractualobligationsofsuchparty.

IthasmadeallnecessarydisclosurestotheotherpartyregardingthesubjectmatteroftheOriginalContractandthisAgreement.

2.EachpartyfurtherrepresentsandwarrantsthatallinformationprovidedbyittotheotherpartyinconnectionwiththeOriginalContractandthisAgreementistrue,accurate,andplete.

IX.Indemnification

1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingbutnotlimitedtoattorneys'feesandcourtcosts)arisingoutoforinconnectionwith:

Itsbreachofanyrepresentation,warranty,orobligationunderthisAgreement.

ItsuseormisuseofthesubjectmatteroftheOriginalContractoranyinformationprovidedbytheotherpartyinconnectiontherewith.

AnythirdpartyclaimsarisingoutoforinconnectionwiththeOriginalContractorthisAgreement.

2.Theindemnifyingpartyshallassumethedefenseofanyclaimorlawsuitbroughtagainsttheindemnifiedpartyandshallcooperatewiththeindemnifiedpartyinthedefensethereof.

X.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[jurisdictionfordisputes],andeachpartyherebywaivesanyobjectiontosuchjurisdictiononthegroundofvenueorforumnonconveniens.

XI.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

XII.Severability
