LOANAMOUNTANDTERMS

2.2TheLoanshallbeprovidedin[Currency]andshallberepayableoveraperiodof[LoanTerm](hereinafterreferredtoasthe"RepaymentPeriod").

2.3TheBorroweragreestorepaytheLoaninaccordancewiththeamortizationscheduleattachedheretoasExhibitA.

INTERESTANDFEES

3.1TheBorrowershallpaytotheLenderaninterestrateof[InterestRate]perannumontheoutstandingprincipalbalanceoftheLoan,calculatedonadailybasisandcompoundedmonthly.

3.2TheBorrowershallalsopaytotheLendera[ServiceFeePercentage]%servicefeeontheLoanAmount,whichshallbedeductedfromtheLoanproceedsbeforedisbursement.

3.3IntheeventofanydefaultbytheBorrowerunderthisAgreement,theBorrowershallpaytotheLenderadefaultinterestrateof[DefaultInterestRate]perannumontheoutstandingprincipalbalanceoftheLoan.

REPAYMENTSCHEDULE

SECURITY

5.2TheBorrowerherebygrantstotheLenderafirstprioritysecurityinterestinthesecurityprovidedunderthisAgreement.

5.3TheBorroweragreestomaintainthesecurityingoodconditionandtokeepitinsuredagainstlossordamage.

CONFIDENTIALITY

6.1ThePartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement,exceptasrequiredbylaworcourtorder.

6.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

TERMANDTERMINATION

7.1ThisAgreementshallbeeffectiveuponthedateofitsexecutionbybothPartiesandshallremaininfullforceandeffectuntiltheLoanisfullyrepaid.

7.2EitherPartymayterminatethisAgreementupon[TerminationNoticePeriod]days'writtennoticetotheotherParty,intheeventofamaterialbreachofthisAgreementbytheotherParty.

7.3UponterminationofthisAgreement,theBorrowershallimmediatelyrepaytheoutstandingprincipalbalanceoftheLoantotheLender.

DISPUTERESOLUTION

8.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.

8.2IfthePartiesareunabletoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

OBLIGATIONSOFTHEBORROWER

10.2IfthePartiesareunabletoresolvethedisputethroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
