ThisAgreement(“Agreement”)isenteredintoasof[DateofExecution](“EffectiveDate”)byandbetween[Employer’sName](“Employer”)and[Employee’sName](“Employee”)(collectively,the“Parties”)forthepurposeofestablishingthetermsandconditionsofemployment.
WHEREAS,theEmployerisengagedinthebusinessof[BriefDescriptionofEmployer’sBusiness];and
WHEREAS,theEmployeeiswillingtorenderservicestotheEmployeronthetermsandconditionssetforthherein;and
WHEREAS,thePartiesdesiretoenterintothisAgreementtorecordthemutualunderstandingandagreementbetweenthem;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:
1.Employment:
1.1TheEmployerherebyemploystheEmployeeasanemployeeoftheEmployer(the“Employment”)inthepositionof[PositionTitle]at[LocationofEmployment],subjecttothetermsandconditionssetforthinthisAgreement.
1.2TheEmployeeagreestorenderservicestotheEmployeringoodfaithandwithduediligenceandtocomplywithallapplicablelaws,regulations,andEmployer’spoliciesandprocedures.
2.TermofEmployment:
2.1ThetermofEmploymentshallcommenceontheEffectiveDateandcontinueforaperiodof[NumberofYears]years(the“InitialTerm”)unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
2.2UpontheexpirationoftheInitialTerm,thisAgreementshallautomaticallyrenewforsuccessivetermsof[NumberofYears]years(eacha“RenewalTerm”)unlesseitherPartygiveswrittennoticeofterminationtotheotherPartyatleast[NumberofDays]dayspriortotheexpirationoftheInitialTermortheRenewalTerm,asapplicable.
3.SalaryandCompensation:
3.1TheEmployershallpaytheEmployeeabasesalaryof[SalaryAmount]per[FrequencyofPayment](the“BaseSalary”)duringthetermofEmployment.
3.2InadditiontotheBaseSalary,theEmployeeshallbeentitledtoreceiveanyandallothercompensationandbenefitsasmaybeprovidedbytheEmployerfromtimetotime,including,butnotlimitedto,bonuses,commissions,andotherincentives(collectively,the“AdditionalCompensationandBenefits”)inaccordancewiththeEmployer’spoliciesandprocedures.
4.TerminationofEmployment:
4.1EitherPartymayterminatethisAgreementupontheoccurrenceofanyofthefollowingevents:
a.BymutualagreementofthePartiesinwriting;
b.BytheEmployeeuponwrittennoticetotheEmployeratleast[NumberofDays]dayspriortotheeffectivedateoftermination;
c.BytheEmployerforgoodcause,uponwrittennoticetotheEmployeeandafterprovidingtheEmployeewithanopportunitytocureanysuchcausewithin[NumberofDays]days;
d.BytheEmployerforanyotherreason,uponwrittennoticetotheEmployeeanduponpaymentoftheEmployee’saccruedbutunpaidcompensationandbenefits;
e.Byoperationoflaw.
4.2UponterminationofthisAgreement,theEmployershallpaytheEmployeeallaccruedbutunpaidcompensationandbenefitsasofthedateoftermination.
5.ConfidentialityandNon-Disparagement:
5.1TheEmployeeagreestomaintaintheconfidentialityofallproprietaryandconfidentialinformationoftheEmployer,including,butnotlimitedto,tradesecrets,customerlists,andfinancialinformation(the“ConfidentialInformation”)duringthetermofEmploymentandforaperiodof[NumberofYears]yearsfollowingtheterminationofEmployment.
5.2TheEmployeeagreesnottomakeanyfalse,defamatory,ordisparagingstatementsabouttheEmployeroritsbusiness,employees,orcustomersduringorafterthetermofEmployment.
6.Non-CompetitionandNon-Solicitation:
6.1Foraperiodof[NumberofYears]yearsfollowingtheterminationofEmployment,theEmployeeagreesnottoengageinanybusinessactivitiesthatarecompetitivewiththeEmployer’sbusiness,including,butnotlimitedto,workingforacompetitor,solicitingtheEmployer’scustomers,orotherwiseusingtheEmployer’sConfidentialInformation.
6.2TheEmployeeagreesnottosolicitorhireanyoftheEmployer’semployeesduringthetermofEmploymentorforaperiodof[NumberofYears]yearsfollowingtheterminationofEmployment.
7.GoverningLawandDisputeResolution:
7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
7.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution]oranyothermutuallyagreed-uponarbitrationforum.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:
1.Employment:
1.1TheEmployerherebyemploystheEmployeeasanemployeeoftheEmployer(the“Employment”)inthepositionof[PositionTitle]at[LocationofEmployment],subjecttothetermsandconditionssetforthinthisAgreement.
1.2TheEmployeeagreestorenderservicestotheEmployeringoodfaithandwithduediligenceandtocomplywithallapplicablelaws,regulations,andEmployer’spoliciesandprocedures.
2.ThirdPartyServices:
2.1TheEmployershallengagetheservicesoftheThirdPartytoprovide[SpecificServices]tosupporttheEmployee’sroleandtoenhancetheEmployer’soperationalefficiency.
2.2TheThirdPartyshallprovidetheservicesasspecifiedintheattachedServiceLevelAgreement(the“SLA”).
2.3TheEmployerreservestherighttoterminatetheengagementoftheThirdPartyatanytimeforcause,uponwrittennoticeandpaymentofanyaccruedbutunpaidfees.
3.SalaryandCompensation:
3.1TheEmployershallpaytheEmployeeabasesalaryof[SalaryAmount]per[FrequencyofPayment](the“BaseSalary”)duringthetermofEmployment.
3.2TheEmployershallpaytheThirdPartytheagreed-uponfeesfortheservicesprovidedaspertheSLA.
3.3TheEmployershallberesponsibleforalltaxes,deductions,andbenefitsrelatedtotheEmployee’scompensation.
4.TermofEmploymentandThirdPartyEngagement:
4.1ThetermofEmploymentshallcommenceontheEffectiveDateandcontinueforaperiodof[NumberofYears]years(the“InitialTerm”)unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
4.2TheengagementoftheThirdPartyshallcommenceontheEffectiveDateandshallbesubjecttothetermsandconditionsoftheSLA.
5.TerminationofEmploymentandThirdPartyEngagement:
5.1EitherPartymayterminatethisAgreementupontheoccurrenceofanyofthefollowingevents:
a.BymutualagreementofthePartiesinwriting;
b.BytheEmployeeuponwrittennoticetotheEmployeratleast[NumberofDays]dayspriortotheeffectivedateoftermination;
c.BytheEmployerforgoodcause,uponwrittennoticetotheEmployeeandafterprovidingtheEmployeewithanopportunitytocureanysuchcausewithin[NumberofDays]days;
d.BytheEmployerforanyotherreason,uponwrittennoticetotheEmployeeanduponpaymentoftheEmployee’saccruedbutunpaidcompensationandbenefits;
e.Byoperationoflaw.
5.2UponterminationofthisAgreement,theEmployershallpaytheEmployeeallaccruedbutunpaidcompensationandbenefitsasofthedateoftermination.
6.ThirdPartyTerminationRights:
6.1TheEmployershallhavetherighttoterminatetheengagementoftheThirdPartyatanytimeforcause,uponwrittennoticeandpaymentofanyaccruedbutunpaidfees.
6.2TheEmployershallhavetherighttoterminatetheengagementoftheThirdPartyforconvenience,uponwrittennoticeandpaymentof[NumberofDays]days’noticeandanyaccruedbutunpaidfees.
7.Employee’sRightsandObligations:
7.1TheEmployeeshallhavetherighttoreceivetheBaseSalaryandanyAdditionalCompensationandBenefitsasprovidedbytheEmployer.
7.2TheEmployeeshallhavetherighttoutilizetheservicesoftheThirdPartyasrequiredtoperformtheEmployee’sduties.
8.Employee’sDutiesandObligations:
8.1TheEmployeeshallperformthedutiesandresponsibilitiesassociatedwiththepositionof[PositionTitle]withduediligenceandinaccordancewiththeEmployer’spoliciesandprocedures.
8.2TheEmployeeshallcomplywithallapplicablelaws,regulations,andEmployer’spoliciesandprocedures.
9.ThirdParty’sRightsandObligations:
9.1TheThirdPartyshallhavetherighttoreceivetheagreed-uponfeesfortheservicesprovided.
9.2TheThirdPartyshallperformtheservicesasspecifiedintheSLAandcomplywithallapplicablelaws,regulations,andEmployer’spoliciesandprocedures.
10.ThirdParty’sDutiesandObligations:
10.1TheThirdPartyshallprovidetheserviceswiththehighestlevelofprofessionalismandinaccordancewiththeSLA.
10.2TheThirdPartyshallmaintainconfidentialityofallproprietaryandconfidentialinformationoftheEmployer.
11.ThirdParty’sLiability:
11.1TheThirdPartyshallbeliableforanybreachoftheSLAandshallindemnifytheEmployeragainstanyclaims,damages,orlossesarisingfromsuchbreach.
12.GoverningLawandDisputeResolution:
12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
12.2AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution]oranyothermutuallyagreed-uponarbitrationforum.
INWITNESSWHEREOF,thePartieshaveexecutedthisAgreementasoftheEffectiveDate.

SUMMARYOFTHIRDPARTYINTERVENTIONANDPRINCIPALOBJECTIVES:
TheinclusionoftheThirdPartyinthisAgreementservestoenhancetheEmployer’soperationalcapabilitiesbyprovidingspecializedservicesthatcomplementtheEmployee’srole.TheThirdParty’sengagementensuresthattheEmployercanmaintainahighlevelofservicequalityandefficiencywithouttheneedtohireadditionalfull-timestaff.ThisarrangementallowstheEmployertofocusonitscorebusinessactivitieswhileleveragingtheexpertiseoftheThirdParty.
TheprincipalobjectiveoftheEmployerinthisAgreementistoprotectitsinterestsbyensuringthattheEmployeeperformstheirdutieseffectivelyandthattheThirdPartyprovidesthenecessarysupport.ByhavingtheThirdPartyengageddirectlybytheEmployer,theEmployermaintainscontroloverthequalityandcontinuityoftheservicesprovided,whichiscrucialforthesmoothoperationofthebusiness.
TheEmployer’srightsandinterestsareprioritizedinthisAgreementthroughthefollowingprovisions:
-TheEmployerhastherighttoterminatetheThirdParty’sengagementatanytimeforcauseorconvenience.
-TheEmployerhastherighttoterminatetheEmployee’semploymentforcause,withtheopportunityfortheEmployeetocureanysuchcause.
-TheEmployerhastherighttoreceiveallaccruedbutunpaidcompensationandbenefitsuponterminationoftheAgreement.
-TheEmployerhastherighttomaintainconfidentialityofallproprietaryandconfidentialinformation.
TheinclusionoftheThirdPartyandtheemphasisontheEmployer’srightsandinterestsinthisAgreementensuresthattheEmployer’sbusinessoperationsaresupportedbyreliableandefficientservices,whilealsoprotectingtheEmployer’sintellectualpropertyandbusinessinterests.

2.1TheEmployershallengagetheThirdPartytoactasaconsultantandtooverseetheworkoftheEmployee.
2.2TheThirdPartyshallhavetherighttoreviewtheworkoftheEmployeeandtoprovidefeedbackandguidancetoensurethattheEmployer’srequirementsaremet.
3.CompensationandPayment:
3.1TheEmployeeshallbecompensatedatarateof[CompensationAmount]per[FrequencyofPayment]fortheservicesrenderedduringtheTerm.
3.2TheEmployershallmakepaymenttotheEmployeewithin[NumberofDays]daysofthesubmissionofavalidinvoice.
4.TermandTermination:

6.2TheThirdPartyshallhavetherighttoaccesstheEmployee’sworkproducttoensurecompliancewiththeEmployer’srequirements.
6.3TheThirdPartyshallbeobligatedtomaintainconfidentialityofallinformationprovidedbytheEmployer.
7.Employer’sRightsandObligations:
7.1TheEmployershallhavetherighttorequestchangestothescopeofservicesprovidedbytheEmployee,subjecttomutualagreementandadjustmentofcompensation.
7.2TheEmployershallhavetherighttoterminatethisAgreementforcause,uponwrittennoticeandpaymentofanyaccruedbutunpaidcompensationtotheEmployee.
8.TerminationforCause:
8.1Terminationforcauseshallinclude,butnotbelimitedto,anyofthefollowing:breachofconfidentiality,failuretomeettheagreed-uponstandards,oranyothermaterialbreachofthisAgreementbytheEmployee.
9.LimitationsonEmployer’sLiability:
9.1TheEmployershallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeEmployee’sservices.
9.2TheEmployer’sliabilityforanybreachofthisAgreementshallbelimitedtotheamountofcompensationpaidtotheEmployeeunderthisAgreement.
10.GoverningLawandDisputeResolution:
10.1ThisAgreementshallbegovernedby
