聘用合同补充协议英文版ThisSupplementaryAgreementtoEmploymentContract(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[CompanyName]RegisteredAddress:[Address]LegalRepresentative:[Name]PartyB:Name:[EmployeeName]IDNumber:[IDNumber]ResidentialAddress:[Address]I.IntroductionThisAgreementissupplementarytotheexistingemploymentcontract(hereinafterreferredtoasthe"OriginalContract")betweenPartyAandPartyB.ThepurposeofthisAgreementistofurtherclarifyandsupplementcertaintermsandconditionsoftheemploymentrelationship,inaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina,includingbutnotlimitedtotheCivilCodeofthePeople'sRepublicofChina.II.SubjectMatteroftheAgreement1.ServicestobeProvidedPartyBshallcontinuetoperformthedutiesandresponsibilitiesassignedbyPartyAinaccordancewiththeOriginalContractandthisAgreement.PartyB'sjobresponsibilitiesshallinclude,butnotbelimitedto,[describeindetailthespecificjobdutiesandtasks].2.ScopeofWorkThescopeofPartyB'sworkshallcover[describethegeographicalscope,businessscope,orotherrelevantscopeofwork].PartyBshallberesponsibleforcarryingoutallnecessarytasksandactivitieswithinthisscopetoensurethesmoothoperationofPartyA'sbusiness.III.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PaymentofRemunerationPartyAshallpayPartyBtheremunerationinaccordancewiththetermsoftheOriginalContractandthisAgreement.Theremunerationshallinclude[listtheponentsoftheremuneration,suchassalary,bonuses,allowances,etc.],andshallbepaidona[paymentfrequency,e.g.,monthly]basis.PartyAshallissueasalarysliptoPartyBforeachpayment,showingthedetailsoftheremuneration.2.ProvisionofWorkingConditionsPartyAshallprovidePartyBwithasafeandhealthyworkingenvironment,inaccordancewiththerelevantlawsandregulations.PartyAshallalsoprovidePartyBwiththenecessaryworkingfacilitiesandequipmenttoenablePartyBtoperformtheirdutieseffectively.3.TrainingandDevelopmentPartyAshallprovidePartyBwithopportunitiesfortrainingandprofessionaldevelopment,toenhancePartyB'sskillsandknowledge.PartyAmayorganizeinternaltrainingcourses,externaltrainingprograms,orprovideotherformsoflearningresourcestoPartyB.4.RighttoSuperviseandDirectPartyAhastherighttosuperviseanddirectPartyB'swork,toensurethatPartyBperformstheirdutiesinaccordancewiththerequirementsoftheOriginalContractandthisAgreement.PartyAmayissueinstructionsandguidelinestoPartyB,andPartyBshallplywiththem.B.RightsandObligationsofPartyB1.DutyofLoyaltyPartyBshallbeloyaltoPartyAandshallnotengageinanyactivitiesthataredetrimentaltoPartyA'sinterests.PartyBshallnotdiscloseanyconfidentialinformationofPartyA,eitherduringoraftertheemploymentrelationship.2.PerformanceofDutiesPartyBshallperformtheirdutieswithduediligenceandprofessionalism,inaccordancewiththerequirementsoftheOriginalContractandthisAgreement.PartyBshallensurethattheirworkmeetsthequalitystandardsanddeadlinessetbyPartyA.3.CompliancewithLawsandRegulationsPartyBshallplywithallapplicablelawsandregulationsofthePeople'sRepublicofChina,aswellastheinternalrulesandregulationsofPartyA.PartyBshallnotengageinanyillegalorunethicalbehaviorduringtheemploymentrelationship.4.CooperationwithPartyAPartyBshallcooperatefullywithPartyAanditsemployees,toensurethesmoothoperationofPartyA'sbusiness.PartyBshallprovidenecessaryassistanceandsupporttootherdepartmentsoremployeesofPartyA,asrequired.5.UseofCompanyResourcesPartyBshallusetheresourcesprovidedbyPartyA,suchasworkingfacilities,equipment,andinformation,onlyforthepurposeofperformingtheirduties.PartyBshallnotmisuseordamageanypanyresources,andshallreturnthemtoPartyAupontheterminationoftheemploymentrelationship.IV.ConfidentialityandNonCompeteA.Confidentiality1.DefinitionofConfidentialInformation"ConfidentialInformation"referstoallinformation,whetherwritten,oral,orinanyotherform,thatisdisclosedbyPartyAtoPartyBduringtheemploymentrelationship,andthatisrelatedtoPartyA'sbusiness,includingbutnotlimitedtotradesecrets,customerinformation,technicalknowhow,financialinformation,andbusinessplans.2.ObligationofConfidentialityPartyBshallkeepallConfidentialInformationconfidential,andshallnotdiscloseittoanythirdparty,exceptasrequiredbylaworwiththepriorwrittenconsentofPartyA.PartyBshalltakeallreasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformation,includingbutnotlimitedtostoringitinasecurelocation,usingpasswordprotection,andlimitingaccesstoauthorizedpersonnelonly.3.DurationofConfidentialityObligationTheconfidentialityobligationofPartyBshallcontinueevenaftertheterminationoftheemploymentrelationship,foraperiodof[duration]years.B.NonCompete1.RestrictionPeriodDuringtheemploymentrelationshipandforaperiodof[duration]yearsaftertheterminationoftheemploymentrelationship,PartyBshallnotengageinanyactivitiesthatarepetitivewithPartyA'sbusinesswithinthe[geographicalscope]area.2.ScopeofRestrictionThenonpeterestrictionshallapplytoallactivitiesthataredirectlyorindirectlyrelatedtoPartyA'sbusiness,includingbutnotlimitedtoprovidingsimilarproductsorservices,workingforapetitorofPartyA,orengaginginanybusinessthatpeteswithPartyA'scorebusiness.3.CompensationforNonCompeteInconsiderationofPartyB'spliancewiththenonpeteobligation,PartyAshallpayPartyBanonpetepensationintheamountofpensationamount]permonth,forthedurationofthenonpeteperiod.Thenonpetepensationshallbepaidona[paymentfrequency]basis,andshallbeinadditiontoanyotherremunerationorbenefitsthatPartyBmayreceivefromPartyA.V.TermandTerminationA.TermThisAgreementshallbeeffectiveasofthedateofexecutionandshallcontinuetobeinforceuntiltheexpirationoftheOriginalContractorasotherwiseterminatedinaccordancewiththetermsofthisAgreementortherelevantlawsandregulations.B.Termination1.TerminationbyAgreementThisAgreementmaybeterminatedbymutualagreementoftheparties,uponwrittennoticetoeachother.2.TerminationbyPartyAPartyAmayterminatethisAgreementunderthefollowingcircumstances:PartyBfailstoperformtheirdutiesinaccordancewiththerequirementsoftheOriginalContractandthisAgreement,andfailstoremedythesituationwithinareasonableperiodoftimeafterreceivingwrittennoticefromPartyA;PartyBengagesinanyillegalorunethicalbehaviorthatisdetrimentaltoPartyA'sinterests;PartyBviolatestheconfidentialityornonpeteprovisionsofthisAgreement;PartyAundergoesamajorchangeinitsbusinessoperations,whichmakesitnecessarytoterminatePartyB'semployment.3.TerminationbyPartyBPartyBmayterminatethisAgreementunderthefollowingcircumstances:PartyAfailstopayPartyB'sremunerationorprovidetheworkingconditionsasagreedintheOriginalContractandthisAgreement,andfailstoremedythesituationwithinareasonableperiodoftimeafterreceivingwrittennoticefromPartyB;PartyAengagesinanyillegalorunethicalbehaviorthatisdetrimentaltoPartyB'sinterests;PartyBhasaseriouspersonalreasonthatmakesitimpossibleforthemtocontinueworkingforPartyA.4.NoticeofTerminationIntheeventofterminationofthisAgreement,eitherpartyshallgivetheotherpartywrittennoticeofterminationatleast[numberofdays]daysinadvance.VI.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.VII.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreementsandunderstandings,oralorwritten,relatingt
