2025商务英语合同的基本结构CORPORATEBUSINESSCONTRACTThisContractisenteredintoonthisdayof,2025,byandbetweenthefollowingParties:PARTIESPartyA:(hereinafterreferredtoas"PartyA"orthe"Supplier")Name:BusinessAddress:ContactInformation:BusinessRegistrationNumber:PartyB:(hereinafterreferredtoas"PartyB"orthe"Client")Name:BusinessAddress:ContactInformation:BusinessRegistrationNumber:RECITALSPartyAisengagedinthebusinessof,andhasthenecessaryexpertise,resources,andcapacitytoprovidethegoods/servicesasdescribedherein.PartyBrequiresthegoods/servicesasspecifiedhereinforitsoperationsandhasagreedtoengagePartyAforsuchpurpose.NOW,THEREFORE,thePartiesagreeasfollows:1.SCOPEOFSERVICES/GOODSPartyAshallprovidethefollowinggoods/servicestoPartyB:1.1.Description:1.2.Quantity:1.3.QualityStandards:1.4.DeliverySchedule:1.5.Anyadditionaltermsandconditions:2.COMPENSATIONANDPAYMENTTERMS2.1.PartyBshallcompensatePartyAforthegoods/servicesprovidedintheamountof(hereinafterreferredtoasthe"TotalAmount").2.2.PaymentSchedule:InitialPayment:percent(%)oftheTotalAmountuponsigningthisContract.SubsequentPayments:2.3.Currency:Allpaymentsshallbemadein.2.4.LatePaymentCharges:IfPartyBfailstomakepaymentswithindaysoftheduedate,PartyAshallbeentitledtochargealatepaymentfeeofpercent(%)permonthontheoutstandingamount.3.RIGHTSANDRESPONSIBILITIESOFTHEPARTIES3.1.PartyA'sObligations:Providegoods/servicesinaccordancewiththeagreedtermsandstandards.Ensurecompliancewithallapplicablelaws,regulations,andindustrystandards.MaintainconfidentialitywithrespecttoPartyB'sbusinessinformation.3.2.PartyB'sObligations:ProvideallnecessarycooperationandinstructionstofacilitatetheperformanceofPartyA.Ensuretimelypaymentaspertheagreedterms.ProvideaccurateandcompleteinformationrequiredfortheexecutionofthisContract.4.INTELLECTUALPROPERTYRIGHTS4.1.Allintellectualpropertyrights,includingbutnotlimitedtotrademarks,copyrights,patents,anddesigns,shallremainwiththerespectiveownersunlessotherwiseagreedinwriting.4.2.PartyBshallnotuseanyintellectualpropertyofPartyAforanypurposeotherthanasspecifiedhereinwithoutpriorwrittenconsent.5.TERMANDTERMINATION5.1.ThisContractshallcommenceonandshallcontinueuntil,unlessterminatedearlierasprovidedherein.5.2.EitherPartymayterminatethisContractwithdays'writtennoticeiftheotherPartybreachesanymaterialtermofthisContractandfailstocuresuchbreachwithindaysofreceivingnotice.5.3.Terminationshallnotaffectanyrightsorobligationsaccruedpriortothedateoftermination.6.CONFIDENTIALITY6.1.PartyAandPartyBagreetokeepconfidentialallinformationdisclosedtothembytheotherParty,whetherduringthetermoraftertheterminationofthisContract.6.2.Confidentialinformationshallnotbedisclosedtoanythirdpartywithoutpriorwrittenconsent.6.3.TheobligationsunderthisSection6shallsurvivetheterminationofthisContract.7.WARRANTIESANDLIABILITY7.1.PartyAwarrantsthatthegoods/servicesprovidedshallbefreefromdefectsinmaterialandworkmanshipforaperiodofmonthsfromthedateofdelivery.7.2.NeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforrelatedtothisContract.7.3.PartyA'stotalliabilityunderthisContractshallnotexceedtheTotalAmountpaidbyPartyB.8.FORCEMAJEURE8.1.NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,pandemics,war,orgovernmentactions.8.2.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaforcemajeureeventandmakereasonableeffortstomitigateitseffects.9.DISPUTERESOLUTION9.1.AnydisputearisingoutoforrelatedtothisContractshallberesolvedthroughfriendlynegotiations.9.2.Ifthedisputeisnotresolvedwithindaysofthecommencementofnegotiations,eitherPartymayreferthemattertoforarbitrationinaccordancewithitsrules.9.3.Thearbitrationshallbeconductedin,andthedecisionshallbefinalandbindingonbothParties.10.MISCELLANEOUS10.1.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.10.2.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.10.3.Amendments:AnyamendmentstothisContractmustbemadeinwritingandsignedbybothParties.10.4.Waiver:NowaiverofanyprovisionofthisContractshallbedeemedtobeawaiverofanyotherprovisionorawaiverofthesameprovisiononanyotheroccasio
