2.2TheGoodsshallbeshippedinaccordancewiththetermsofCIF(Cost,Insurance,andFreight)asdefinedinIncoterms2010.

2.3PartyAshallensurethattheGoodsarepackedinamannersuitablefortransportationandhandling.

3.PriceandPayment

3.1ThepriceoftheGoodsshallbeasspecifiedintheattachedListofGoods.

3.2PaymentshallbemadebyPartyBtoPartyAinaccordancewiththetermsofpaymentasspecifiedintheattachedPaymentTerms.

3.3PartyAshallissueaninvoicetoPartyBwithin7daysaftertheshipmentoftheGoods.

4.Insurance

4.1PartyAshallarrangeandprovideinsurancecoveragefortheGoodsagainstallrisksduringtransit.

4.2TheinsurancepolicyshallbeissuedinfavorofPartyBandshallbeendorsedtoPartyAuponrequest.

4.3TheinsurancepremiumshallbeincludedintheinvoicevalueoftheGoods.

5.WarrantiesandLiability

5.1PartyAwarrantsthattheGoodsshallbefreefromanydefectsorshortcomingsatthetimeofdelivery.

5.2IntheeventthattheGoodsarefoundtobedefectiveorunsuitableuponexaminationbyPartyBwithin30daysfromthedateofdelivery,PartyAshall,atitssolediscretion,replacethedefectiveGoodsorrefundthepurchasepricethereof.

5.3PartyAshallnotbeliableforanydirect,indirect,special,orconsequentialdamagesarisingfromtheuseorsaleoftheGoods.

6.ForceMajeure

6.1Intheeventofanyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtowar,fire,flood,naturaldisasters,oranyotherunforeseencircumstances,theaffectedpartyshallpromptlynotifytheotherpartyinwriting.

6.2Uponreceiptofsuchnotice,thepartiesshallnegotiateingoodfaithtofindasolutiontotheaffectedobligationsunderthisContract.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.LimitationsofLiability

9.2ThirdPartyshallnotbeliableforanydamagesarisingfromthetransactionsfacilitatedbyit,exceptforitsownnegligence.

10.GoverningLawandDisputeResolution
