I.RECITALS

II.SCOPEOFWORK

III.TERMOFTHECONTRACT

IV.PAYMENTTERMS

V.CONFIDENTIALITY

1.EachPartyacknowledgesthatinthecourseofperformingthisContract,itmayhaveaccesstoconfidentialinformationoftheotherParty.

2.ThereceivingPartyshallkeepsuchconfidentialinformationsecretandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaw.

VI.WARRANTIESANDREPRESENTATIONS

1.PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisContractandtoperformitsobligationshereunder.

2.PartyBrepresentsandwarrantsthatithasthefinancialabilityandresourcestomakethepaymentsrequiredunderthisContract.

VII.LIABILITY

1.EachPartyshallbeliableforanyloss,damage,orliabilitycausedbyitsownnegligence,willfulmisconduct,orbreachofthisContract.

2.InnoeventshalleitherPartybeliableforindirect,consequential,orpunitivedamages,exceptasrequiredbylaw.

VIII.GOVERNINGLAW

1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

IX.ENTIREAGREEMENT

1.ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothParties.
