1.2PartyAwarrantsthatithasfullpowerandauthoritytoenterintothisAgreementandtransferthePatent(s)toPartyB.

1.3PartyBacknowledgesthatithasobtainedallnecessaryapprovalsandauthorizationsfromitsrelevantauthoritiestoacquirethePatent(s)underthisAgreement.

2.PaymentandConsideration

3.3PartyBshallusethePatent(s)inaccordancewiththelawsandregulationsoftherelevantjurisdictionsandshallnotinfringeupontherightsofanythirdparty.

4.WarrantiesandRepresentations

4.1PartyAwarrantsthatithasnotcommittedanyfraud,misrepresentation,orbreachofanyapplicablelawsorregulationsinconnectionwiththePatent(s).

4.2PartyBrepresentsthatithasnotcommittedanyfraud,misrepresentation,orbreachofanyapplicablelawsorregulationsinconnectionwiththeacquisitionofthePatent(s).

5.GoverningLawandDisputeResolution

5.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

5.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.Ifsuchnegotiationsfail,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththe[ArbitrationRules].

6.Miscellaneous

6.1ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.

6.2NoamendmentormodificationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

TheinclusionofPartyCasastrategicaffiliateofPartyBservestoenhancethecommercialviabilityandmarketpenetrationofthePatent(s).Byprovidingtechnicalandfinancialsupport,PartyCaimstofacilitatethesuccessfulcommercializationofthePatent(s),whichisinthebestinterestofPartyAastheOwner.ThepurposeofthisAgreementistoprotecttherightsandinterestsofPartyA,ensurethecomplianceofPartyBwithitsobligations,andleveragetheresourcesofPartyCtomaximizethevalueofthePatent(s)forallpartiesinvolved.
