2025商务英语写作货物进口合同范本2025BusinessEnglishWritingGoodsImportContractTemplate正文ThisImportContract(hereinafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetween(hereinafterreferredtoasthe"Buyer")and(hereinafterreferredtoasthe"Seller").TheContractshallbegovernedbyandconstruedinaccordancewiththelawsof(the"ApplicableJurisdiction").Thepartiesherebyagreeasfollows:1.定义与解释ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsasdefinedherein:1.1"Goods"referstothemerchandiseorproductstobesuppliedbytheSellertotheBuyerunderthetermsofthisContract,asdescribedinExhibitA.1.2"Price"referstotheamounttobepaidbytheBuyertotheSellerfortheGoods,asspecifiedinClause4hereof.1.3"Delivery"referstothetransferoftheownershipandriskoftheGoodsfromtheSellertotheBuyerinaccordancewiththetermsofthisContract.2.货物描述与规格TheGoodstobepurchasedbytheBuyerandsoldbytheSellerarefullydescribedinExhibitAattachedhereto,whichincludesbutisnotlimitedtodetailsoftheproduct,quantity,quality,specifications,包装,andanyotherrelevantinformation.TheSellerwarrantsthattheGoodsshallbeincompliancewiththerelevantlaws,regulations,andstandardsoftheApplicableJurisdiction,aswellastherepresentationsandspecificationssetforthinthisContractandExhibitA.3.数量与质量保证ThequantityoftheGoodstobedeliveredbytheSellerandpurchasedbytheBuyerissetforthinExhibitA.TheSellershallensurethattheGoodsareofmerchantablequalityandfreefromdefectsinmaterialandworkmanship,providedthattheBuyerhasgiventheSellerreasonableopportunitiestoinspecttheGoodspriortoshipment.Intheeventofaclaimfornon-conformityoftheGoodswiththeagreedspecificationsorqualitystandards,theBuyershallnotifytheSellerinwritingwithinareasonableperiodafterthereceiptoftheGoods,andtheSellershallberesponsibleforaddressingsuchclaimsinaccordancewithClause6hereof.4.价格与付款条款4.1ThepriceoftheGoodsisagreedtobeper,totaling(hereinafterreferredtoasthe"TotalPrice").4.2TheBuyershallpaytheSellertheTotalPriceasfollows:4.2.1Adepositof(hereinafterreferredtoasthe"Deposit")shallbepaidbytheBuyertotheSellerupontheexecutionofthisContract.4.2.2TheremainingbalanceoftheTotalPrice,lesstheDeposit,shallbepaidbytheBuyerinaccordancewiththepaymenttermsspecifiedinExhibitB.4.3Allpaymentsshallbemadein,andtheSellershallissueaninvoicetotheBuyerinaccordancewiththepaymenttermsoutlinedinExhibitB.TheBuyershallpayallinvoiceswithinthespecifiedtimeframeunlessotherwiseagreedinwritingbybothparties.5.交货与装运条款5.1TheGoodsshallbedispatchedbytheSellerfrom(the"ShippingOrigin")to(the"ShippingDestination")by(the"Carrier").TheexactdateofshipmentshallbesubjecttotheavailabilityoftheGoodsandtheCarrier'sschedule.5.2TheriskoflossordamagetotheGoodsshallpasstotheBuyeruponthecompletionofthedeliverytotheCarrierattheShippingOrigin.TheBuyershallberesponsibleforanyadditionalcostsincurredinrerouting,storing,orhandlingtheGoodsaftertheriskhaspassedtoit.5.3TheSellershallprovidetheBuyerwithtimelynotificationoftheshipmentdetails,includingthecarrier'sname,trackingnumber,andestimateddateofarrival.6.质量保证与验收6.1TheBuyershallinspecttheGoodsuponreceiptinaccordancewiththetermsofthisContract.IftheGoodsfailtocomplywiththeagreedspecificationsorqualitystandards,theBuyershallpromptlynotifytheSellerinwriting,specifyingthenatureofthedefectsordiscrepancies.6.2TheSellershall,atitssolediscretion,eitherrepair,replace,orissueacreditorrefundforthedefectiveGoodsatnoadditionalcosttotheBuyer,providedthattheBuyerhasnotifiedtheSellerwithinareasonableperiodandprovidedtheGoodsasevidenceofthedefect.6.3TheriskoftheGoodsbeinglostordamagedafterdeliveryshallbebornebytheBuyer,unlesssuchlossordamageisduetotheactionsornegligenceoftheSeller.7.不可抗力7.1NeitherpartyshallbeliableforanyfailureordelayinperformanceofitsobligationsunderthisContractifsuchfailureordelayisduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,riot,governmentalacts,ortheunavailabilityoftransportationorlabor.7.2Intheeventoftheoccurrenceofanysuchevent,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandtakeallreasonablestepstominimizetheimpactoftheeventandresumeperformanceassoonasreasonablypossible.8.争议解决8.1AnydisputeorclaimarisingoutoforinconnectionwiththisContractshallberesolvedthrough友好协商.Ifthepartiesfailtoreachasettlementwithindaysoftheinitialclaim,thedisputeshallberesolvedbyarbitrationinaccordancewiththerulesofArbitrationInstitution,locatedin.8.2Thearbitrationshallbeconductedin,andthelanguageofthearbitrationshallbe.Theawardofthearbitrationshallbefinalandbindingonbothparties.9.合同的终止9.1ThisContractmaybeterminatedbyeitherpartyupondays'writtennoticetotheotherpartyiftheotherpartybreachesanyofitsmaterialobligationsunderthisContractandfailstocuresuchbreachwithinsuchnoticeperiod.9.2UpontheterminationofthisContract,allrightsandobligationsofthepartieshereundershallcease,andanyclaimsordamagesarisingoutoforinconnectionwiththeterminationshallbesettledinaccordancewiththetermsofthisContractandtheapplicablelaws.10.合同的修改与补充10.1AnyamendmentormodificationtothisContractshallbeinwritingandsignedbybothparties.Nooralagreementoramendmentshallbevalid.10.2Anyadditionaltermsandconditionsagreeduponbythepartiesshallbesetforthinaseparatewrittenagreementandsignedbybothparties,andsuchagreementshallbedeemedanintegralpartofthisContract.11.适用法律11.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheApplicableJurisdiction.AnydisputeorclaimarisingoutoforinconnectionwiththisContractshallbeinterpretedandenforcedinaccordancewithsuchlaws.12.合同附件12.1ThefollowingdocumentsandexhibitsshallformanintegralpartofthisContract:12.1.1ExhibitA:Descripti
