2025采购合同模板英文2025PROCUREMENTCONTRACTTEMPLATEThisPROCUREMENTCONTRACT(hereinafterreferredtoas"thisContract")isenteredintoonthisdayof(the"EffectiveDate"),byandbetween:买方(Buyer):[买方全称(FullNameofBuyer)][买方地址(AddressofBuyer)][买方国家/地区(Country/RegionofBuyer)][买方邮政编码(PostalCodeofBuyer)]卖方(Seller):[卖方全称(FullNameofSeller)][卖方地址(AddressofSeller)][卖方国家/地区(Country/RegionofSeller)][卖方邮政编码(PostalCodeofSeller)]1.DEFINITIONSANDEXPLANATIONS1.1InthisContract,thefollowingtermsshallhavethefollowingmeanings:"Contract"referstothisProcurementContractandallitsappendices,supplements,andmodifications."Goods"referstothegoods,materials,anditemstobesuppliedbytheSellertotheBuyerasdetailedinScheduleA."Services"referstoanyservicestobeprovidedbytheSellerinconnectionwiththesupplyofGoods."Price"referstothetotalamounttobepaidbytheBuyertotheSellerfortheGoodsandServices,asdetailedinScheduleA."Delivery"referstothedeliveryofGoodstothespecifiedlocationasagreeduponinthisContract."Term"referstothedurationofthisContract,asspecifiedinArticle10.2.DESCRIPTIONOFGOODSANDSERVICES2.1GoodstobeSupplied:TheSelleragreestosupplythegoodsdescribedinScheduleAhereto,includingbutnotlimitedtotheirrespectivequantities,specifications,models,andtechnicalrequirements.2.2QualityStandards:TheGoodssuppliedbytheSellershallcomplywithallapplicablelaws,regulations,andstandardsinthe[买方国家/地区(Country/Region)]andshallbeofthesamequalityandspecificationsasagreeduponinScheduleA.2.3ServicestobeRendered:TheSellershallprovideallnecessaryservices,includingbutnotlimitedtoinstallation,maintenance,andtechnicalsupport,asspecifiedinScheduleA.3.QUANTITYANDPRICE3.1Quantity:ThenumberofGoodstobesuppliedisspecifiedinScheduleAhereto.3.2Price:ThetotalpricefortheGoodsandServicesisasspecifiedinScheduleAhereto.3.3PriceAdjustments:Unlessotherwiseagreeduponinwriting,thepriceshallnotbesubjecttoanyadjustmentsaftertheEffectiveDate.4.PAYMENTTERMS4.1PaymentSchedule:TheBuyershallpaytheSellerasfollows:(a)[支付方式1(PaymentMethod1)]on[日期(Date)];(b)[支付方式2(PaymentMethod2)]on[日期(Date)];(c)一期paymentshallbemadeon[日期(Date)].4.2Currency:AllpaymentsunderthisContractshallbemadein[币种(Currency)],unlessotherwiseagreeduponinwriting.4.3LatePayments:IftheBuyerfailstomakeanypaymentdueunderthisContractwithin[天数(NumberofDays)]daysoftheduedate,theSellermaychargeaninterestof[百分比(%)]perannumontheoverdueamount,calculatedfromthedatesuchpaymentbecamedueuntilthedateofactualpayment.5.DELIVERYANDPERFORMANCE5.1DeliverySchedule:TheSellershalldelivertheGoodstothespecifiedlocationasdetailedinScheduleAhereto,inaccordancewiththedeliveryscheduleagreeduponbybothparties.5.2ShippingandInsurance:Thecostofshippingandinsuranceshallbebornebythe[卖方/买方(Seller/Buyer)],unlessotherwisespecifiedinScheduleA.5.3PerformanceObligations:BothpartiesshallperformtheirrespectiveobligationsunderthisContractinatimelyandefficientmanner,inaccordancewiththetermsofthisContract.6.QUALITYGUARANTEE6.1WarrantyPeriod:TheSellershallprovideawarrantyfortheGoodsforaperiodof[时间(Duration)]fromthedateofdelivery,duringwhichtheSellershallberesponsibleforreplacingorrepairinganydefectsintheGoods.6.2ExclusionsfromWarranty:Thewarrantyshallnotcoverdefectsresultingfromimproperuse,maintenance,ormodificationoftheGoodsbytheBuyer.7.INTELLECTUALPROPERTYRIGHTS7.1OwnershipofIntellectualProperty:AllintellectualpropertyrightsintheGoodsandServicesshallremainwiththeSellerunlessotherwiseagreeduponinwriting.7.2-License:TheSellershallgranttheBuyeranon-exclusive,royalty-freelicensetouseanyintellectualpropertyownedbytheSellerandutilizedintheGoodsorServices.8.INSPECTIONANDACCEPTANCE8.1Inspection:TheBuyershallinspecttheGoodsupondeliveryinaccordancewiththestandardsandrequirementsspecifiedinScheduleA.8.2Acceptance:TheBuyershallissueawrittenacceptanceoftheGoodswithin[天数(NumberofDays)]daysofdelivery.FailuretodososhallbedeemedasacceptanceoftheGoods.8.3RejectionofDefectiveGoods:IftheBuyerdiscoversanydefectsintheGoodswithin[天数(NumberofDays)]daysofdelivery,theBuyershallnotifytheSellerinwriting,andtheSellershallberesponsibleforreplacingorrepairingthedefectiveGoodsatitsownexpense.9.FORCEMAJEURE9.1DefinitionofForceMajeure:"ForceMajeure"referstoanyeventbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtonaturaldisasters,war,governmentactions,andpandemics.9.2ExemptionfromLiability:NeitherpartyshallbeliableforanyfailureordelayinperformanceunderthisContractduetoForceMajeure,providedthattheaffectedpartynotifiestheotherpartyinwritingwithin[天数(NumberofDays)]daysoftheoccurrenceoftheForceMajeureeventandmakesreasonableeffortstomitigateitseffects.9.3TerminationRight:IftheeffectsoftheForceMajeureeventpersistforaperiodof[天数(NumberofDays)]days,eitherpartymayterminatethisContractbygiving[天数(NumberofDays)]days'writtennoticetotheotherparty.10.TERMINATIONOFCONTRACT10.1TerminationforConvenience:EitherpartymayterminatethisContractatanytimebygiving[天数(NumberofDays)]days'writtennoticetotheotherparty,providedthattheterminatingpartyshallberesponsibleforanyoutstandingobligationsunderthisContract.10.2TerminationforBreach:EitherpartymayterminatethisContractimmediatelyuponwrittennoticeiftheotherpartycommitsamaterialbreachofthisContractandfailstocuresuchbreachwithin[天数(NumberofDays)]daysofreceivingwrittennotice.10.3EffectofTermination:UponterminationofthisContract,bothpartiesshallimmediatelyceaseallactivitiesrelatedtothisContractandmakefullsettlementofanyoutstandingobligations.11.LIABILITYFORBREACHOFCONTRACT11.1CompensationforLosses:AnypartyinbreachofthisContractshallcompensatetheotherpartyforanylossessufferedasaresultofthebreach,includingbutnotlimitedtodirectlosses,incidentaldamages,andconsequentialdamages.11.2ExclusionofCertainDamages:NothinginthisContractshallexcludeorlimitliabilityfordeath,personalinjury,orwillfulmisconduct.11.3RemediesCumulative:TherightsandremediesofeachpartyunderthisContractarecumulativeandinadditiontoanyrightsandremediesavailableatlaworinequity.12.RESOLUTIONOFDISPUTES12.1Negotiation:IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttosettlethedisputethrough友好协商(amicablenegotiation).12.2Mediation:Ifthedisputeisnotresolvedthroughnegotiationwithin[天数(NumberofDays)]days,eitherpartymayreferthedisputeto[调解机构(MediationInstitution)]formediation.12.3Arbitration:Ifthedisputeisnotresolvedthroughmediationwithin[天数(NumberofDays)]days,eitherpartymaysubmitthedisputeto[仲裁机构(ArbitrationInstitution)]forarbitrationinaccordancewithitsrules.12.4Litigation:Ifthedisputeisnotresolvedthrougharbitration,eitherpartymaybringlegalproceedingsinthecourtsof[地点(Jurisdiction)]toenforceitsrightsunderthisContract.13.GENERALPROVISIONS13.1Amendments:AnyamendmentstothisContractshallbeinwritingandsignedbybothparties.13.2EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesconcerningthesubjectmatterhereofandsupersedesallprioragreements,representations,andunderstandings.13.3Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.13.4GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[国家/地区(Country/Region)].13.5ValidityofElectronicSignatures:ElectronicsignaturesshallbedeemedvalidandbindingunderthisContract.14.OTHERPROVISIONS14.1Assignment:NeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.14.2Notices:Allnotices,requests,demands,orothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orsentbyfacsimileoremailconfirmedbytherecipient.14.3Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.14.4Waiver:ThefailureofeitherpartytoenforceanyprovisionofthisContractshallnotbeconstruedasawaiverofsuchprovisionoroftherighttoenforce
