2025餐厅转让合同范本内容2025RestaurantTransferContractTemplateContractNo.:DateofSigning:PlaceofSigning:ThisRestaurantTransferContract("Contract"or"Agreement")ismadeandenteredintoonthisdayof,2025,byandbetween:PartyA(Transferor):Name:TypeofEntity:RegistrationNumber:Address:ContactInformation:PartyB(Transinee):Name:TypeofEntity:RegistrationNumber:Address:ContactInformation:RecitalsWhereas,PartyAistherightfulownerofarestaurantlocatedat(the"Restaurant"),whichincludesbutisnotlimitedtothepremises,equipment,inventory,andbusinessassets(collectivelyreferredtoasthe"TransferredAssets").Whereas,PartyAintendstotransfertheownershipandoperationoftheRestauranttoPartyB,andPartyBiswillingtoacceptthetransferunderthetermsandconditionssetforthherein.Article1:ScopeoftheTransfer1.1TransferredAssets:PartyAshalltransfertoPartyBalllegalrights,interests,andobligationsrelatedtotheRestaurant,includingbutnotlimitedto:Thepremisesandrelatedrealestateinterests;AllmovableandimmovablepropertyusedintheoperationoftheRestaurant;Thebusinessname,licenses,permits,andapprovals;Inventory,equipment,andsupplies;ContractsandagreementsrelatedtotheRestaurant.1.2ExcludedAssets:ThefollowingshallnotbeincludedintheTransfer:AnypersonalpropertyofPartyAnotrelatedtotheoperationoftheRestaurant;Anyaccountsreceivable,customerdeposits,orprepaidexpenses,exceptasotherwiseagreedinwriting.Article2:TransferPriceandPaymentTerms2.1PurchasePrice:ThetotalconsiderationforthetransferoftheRestaurant(the"TransferPrice")shallbe(the"TransferPrice").2.2PaymentSchedule:%oftheTransferPrice,amountingto,shallbepaidon(the"InitialPayment").Theremaining%oftheTransferPrice,amountingto,shallbepaidon(the"FinalPayment").2.3PaymentMethods:Allpaymentsshallbemadeinthefollowingmanner:BankTransferto:CashPaymentat:2.4ReimbursementofCosts:PartyBshallalsoreimbursePartyAforanycostsincurredinthetransferprocess,includingbutnotlimitedtolegalfees,transfertaxes,andregistrationfees,intheamountof,withindaysofthisAgreement.Article3:RightsandObligationsofPartyA3.1WarrantyofTitle:PartyAwarrantsthatitistherightfulandlawfulowneroftheTransferredAssets,freefromanyencumbrances,liens,orclaims.PartyAshalldefendagainstanythird-partyclaimsordisputesrelatedtotheTransferredAssets.3.2Cooperation:PartyAshallcooperatewithPartyBtoensurethesmoothtransferoftheRestaurant,includingbutnotlimitedto:Providingallnecessarydocumentsandrecords;Updatingallrelevantcontractsandagreementstoreflectthenewownership;Assistingintheregistrationandtransferoflicensesandpermits.3.3TransitionPeriod:PartyAshalloperatetheRestaurantuntil(the"TransitionDate"),duringwhichPartyBmayobserveandfamiliarizeitselfwiththebusinessoperations.Article4:RightsandObligationsofPartyB4.1AcceptanceofTransfer:PartyBagreestoaccepttheTransferredAssetsintheircurrentcondition,asdescribedintheinventoryandassetlistsattachedhereto.4.2TimelyPayment:PartyBshallstrictlyadheretothepaymentscheduleoutlinedinArticle2.FailuretomaketimelypaymentsshallconstituteabreachofthisAgreement.4.3Compliance:PartyBshalloperatetheRestaurantincompliancewithallapplicablelaws,regulations,andindustrystandards.AnyviolationofthesestandardsshallbesolelytheresponsibilityofPartyB.4.4Insurance:PartyBshallmaintainadequateinsurancecoveragefortheTransferredAssets,namingPartyAasanadditionalinsuredwhererequired.Article5:AcceptanceandInspection5.1Inspection:WithindaysofthisAgreement,PartyBshallconductaninspectionoftheTransferredAssets.AnydiscrepanciesordefectsshallbereportedtoPartyAinwriting.5.2Warranty:IfanydefectsintheTransferredAssetsarediscoveredwithindaysoftheTransitionDate,PartyAshallberesponsibleforrectifyingthematitsownexpense.Article6:Indemnification6.1Indemnity:PartyBagreestoindemnifyandholdharmlessPartyAfromanyclaims,damages,orliabilitiesarisingoutoftheoperationoftheRestaurantaftertheTransitionDate.6.2LimitationofLiability:NeitherPartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingfromthisAgreement.Article7:CovenantsandConfidentiality7.1Confidentiality:BothPartiesagreetomaintaintheconfidentialityofallinformationexchangedduringthetransferprocess.7.2Non-Compete:PartyBagreesnottooperateorestablishanycompetingbusinesseswithinkilometersoftheRestaurantforaperiodofyearsaftertheTransitionDate.Article8:TerminationandDefault8.1BreachbyPartyB:IfPartyBfailstoperformitsobligationsunderthisAgreement,PartyAmayterminatetheAgreementandretaintherighttorecoverdamages.8.2BankruptcyorInsolvency:IfeitherPartybecomesbankrupt,insolvent,orentersintoreceivership,theotherPartymayterminatethisAgreementimmediately.Article9:GoverningLawandDisputeResolution9.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.9.2DisputeResolution:AnydisputesarisingfromorrelatedtothisAgreementshallberesolvedthroughfriendly协商.If协商fails,themattershallbesubmittedtothejurisdictionoftheCourtforresolution.Article10:MiscellaneousProvisions10.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,understandings,orrepresentations,whetheroralo
