2025咨询服务合同英文版范文2025ConsultancyServicesContractinEnglishPartiesThisContract("Agreement")isenteredintoasofDate,2025,byandbetween:(1)TheClient,acompanyincorporatedunderthelawsofCountry,withitsregisteredofficeatAddress("Client");and,(2)TheConsultant,acompanyincorporatedunderthelawsofCountry,withitsregisteredofficeatAddress("Consultant").RecitalsWHEREAS,theClientrequiresprofessionalconsultancyservicesforNatureofServices("Services");and,WHEREAS,theConsultantiscapableandwillingtoprovidetheServicesinaccordancewiththetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:1.ScopeofServicesTheConsultantshallprovidethefollowingservicestotheClient:1.1NatureofServices:TheConsultantshalldeliverspecificconsultancyservicesasdetailedinExhibitA,attachedheretoandincorporatedhereinbyreference.1.2Duration:TheServicesshallbeprovidedfromStartDatetoEndDate,unlessextendedorterminatedasprovidedherein.1.3QualityStandards:TheConsultantshallperformtheServiceswiththehigheststandardsofprofessionalism,expertise,andcare,inaccordancewithindustrypracticesandapplicablelaws.2.FeesandPaymentTerms2.1Fees:TheClientshallcompensatetheConsultantattherateofAmountperUnitofMeasurement,totalingTotalAmount.2.2PaymentSchedule:TheClientshallpaythefeesasfollows:InitialPayment:PercentageorAmountuponsigningofthisAgreement;SubsequentPayments:FrequencypaymentsasoutlinedinExhibitB;2.3LatePaymentCharges:IfanypaymentisdelayedbeyondNumberofDays,theClientshallpayalatefeeofPercentagepermonth.2.4Invoices:TheConsultantshallissueinvoicesonInvoiceFrequency,detailingtheservicesrenderedandchargesincurred.3.ResponsibilitiesandObligations3.1Consultant'sResponsibilities:ProvidetheServicesinatimely,efficient,andprofessionalmanner;MaintainconfidentialityofallClientinformationanddata;Complywithallapplicablelaws,regulations,andethicalstandards.3.2Client'sResponsibilities:ProvidetheConsultantwithallnecessaryinformation,resources,andaccessrequiredtoperformtheServices;Ensurethatitsemployees,agents,andrepresentativescooperatewiththeConsultant;PayfeesandotherchargesinaccordancewiththetermsofthisAgreement.4.Confidentiality4.1ConfidentialInformation:TheConsultantagreestokeepallinformation,data,andmaterialsprovidedbytheClient("ConfidentialInformation")strictlyconfidentialandnotdisclosethemtoanythirdpartywithoutpriorwrittenconsent.4.2Exclusions:TheobligationsunderthisSectionshallnotapplytoinformationwhichis:a.Publiclyavailable;b.Receivedfromathirdpartywithoutbreachofconfidentiality;c.Requiredtobedisclosedbylaworregulation.4.3Duration:TheconfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodofNumberofYears.5.IntellectualProperty5.1OwnershipofDeliverables:AllintellectualpropertyrightsinthedeliverablesgeneratedbytheConsultantduringtheperformanceoftheServices("Deliverables")shallrestwiththeClient,subjecttopaymentoftheagreedfees.5.2Consultant'sOwnership:TheConsultantretainsownershipofanytools,templates,ormaterialsitdevelopsindependentlypriortothisAgreement.5.3Licensing:TheConsultantgrantstheClientanon-exclusive,royalty-freelicensetousetheDeliverablesforthepurposeoftheServices.6.TermandTermination6.1InitialTerm:ThisAgreementshallcommenceonStartDateandcontinueuntilEndDate.6.2Renewal:TheAgreementmaybereneweduponmutualagreementoftheparties,subjecttonewtermsandconditions.6.3TerminationbyClient:TheClientmayterminatethisAgreementwithNumberofDayswrittennoticeiftheConsultantfailstoperformtheServicesinaccordancewiththeagreedterms.6.4TerminationbyConsultant:TheConsultantmayterminatethisAgreementwithNumberofDayswrittennoticeiftheClientfailstopaythefeesorprovidenecessaryresources.6.5EffectofTermination:Upontermination,thepartiesshallsettlealloutstandingobligations,includingunpaidfeesandfinaldeliverables.7.ForceMajeure7.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayisduetoeventsbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,orgovernmentactions.8.GoverningLawandDisputeResolution8.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction.8.2DisputeResolution:AnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughArbitration/mediationasoutlinedinExhibitC.9.Miscellaneous9.1EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsorunderstandings.9.2Amendments:AnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.9.3Waiver:NowaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbythepartyagainstwhichthewaiverissoughttobeenforced.9.4Assignment:NeitherpartyshallassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherpar
