《2025贷款协议合同》（中英文）2025LoanAgreementContractLoanAgreementContract(EnglishVersion)LoanAgreementContract(中文版本)LoanAgreementContractPartiestotheContractThisLoanAgreementContract("Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween:Lender:(the"Lender"),whoseprincipalplaceofbusinessislocatedat.Borrower:(the"Borrower"),whoseprincipalplaceofbusinessislocatedat.RecitalsWHEREAS,theBorrowerhasrequestedfinancialassistancefromtheLenderforthepurposeof;andWHEREAS,theLenderiswillingtoextendcredittotheBorroweronthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,theBorrowerandtheLenderagreeasfollows:1.LoanAmountTheLenderagreestolendandtheBorroweragreestoborrowtheprincipalamountof元人民币(大写:)(the"Loan").2.InterestRateTheLoanshallbearinterestattherateof%perannum(the"InterestRate").TheInterestRateshallbecalculatedontheoutstandingprincipalbalanceandshallaccrueonabasis.3.TermoftheLoanThetermoftheLoan("Term")shallcommenceon(the"DisbursementDate")andshallendon(the"MaturityDate").TheBorrowershallhaveagraceperiodofdays(the"GracePeriod")followingtheDueDateforeachpayment;however,theGracePeriodshallnotextendtheMaturityDate.4.RepaymentScheduleTheBorrowershallrepaytheLoaninaccordancewiththefollowingschedule:[Insertrepaymentdetails,e.g.,monthly/quarterlypaymentsof元,commencingonandcontinuinguntiltheMaturityDate.]5.PrepaymentTheBorrowershallhavetherighttoprepaytheLoan,inwholeorinpart,atanytimewithoutpenalty,subjecttothefollowingconditions:TheBorrowermustprovidewrittennoticetotheLenderatleastbusinessdayspriortotheproposedprepaymentdate.6.FeesandExpensesTheBorroweragreestopaythefollowingfeesandexpenses:Aone-timeadministrativefeeof元.AllreasonablelegalfeesandcostsincurredbytheLenderintheeventofabreachbytheBorrower.7.RepresentationsandWarrantiesTheBorrowerrepresentsandwarrantstotheLenderasfollows:TheBorrowerislegallyauthorizedtoenterintothisAgreement.TheBorrowerhasnotincurredanydebtsorobligationsthatwouldpreventtheexecutionofthisAgreement.8.CovenantsTheBorroweragreestothefollowingcovenants:MaintainabusinesslocationandkeeprecordsfortheLender'sinspectionuponreasonablenotice.ImmediatelyinformtheLenderofanymaterialadversechangesintheBorrower'sfinancialcondition.9.UseofProceedsTheBorroweragreestousetheLoanexclusivelyforandshallnotdivertsuchfundsforotherpurposes.10.DefaultandRemediesIntheeventofadefault(a"Default"),theLendermaypursueanyofthefollowingremedies:AcceleratethematurityoftheoutstandingLoanbalance.Seekdamagesforanylossesincurred.11.EventsofDefaultADefaultshalloccuriftheBorrowerfailsto:MakeanypaymentunderthisAgreementwhendue.ComplywithanycovenantorobligationunderthisAgreement.12.SecurityandGuarantyTheBorrowermayberequiredtoprovideadditionalsecurityorguaranty,includingbutnotlimitedto.13.GoverningLawandJurisdictionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof.AnylegalactionarisingunderthisAgreementshallbebroughtinthecourtsof.14.AmendmentsAnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.15.NoticesAllnoticesunderthisAgreementshallbeinwritinganddeliveredtotherespectiveaddressesoftheLenderandBorrower.16.MiscellaneousThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreements.ThefailureoftheLendertoenforceanyprovisionofthisAgreementshallnotbeconstruedasawaiverofsuchprovision.InWitnessWhereof,theBorrowerandtheLenderhaveexecutedthisAgreementasofthedatefirstabovewritten.[Lender'sName]By:
