2025年度IT项目外包英文合同执行及风险控制协议ThisAgreement(the"Agreement")ismadeandenteredintoasof[Date],andbetweenthefollowingparties:WHEREAS,PartyAisengagedinthebusinessof[DescriptionofBusinessofPartyA],andPartyBisengagedinthebusinessof[DescriptionofBusinessofPartyB];WHEREAS,PartyAdesirestooutsourcecertainITprojectstoPartyB,andPartyBdesirestoundertakesuchITprojectsonbehalfofPartyA;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:1.ScopeofWorkPartyBagreestoperformthefollowingITprojects(the"Projects")forPartyAduringthecalendaryear2025:[DescriptionofProjects]2.ProjectDelivery2.1PartyBshalldelivertheProjectstoPartyAinaccordancewiththeagreedtimelinesandspecifications.3.PaymentTerms3.1PartyAshallpayPartyBfortheProjectsinaccordancewiththefollowingterms:[PaymentSchedule]3.2Allpaymentsshallbemadein[Currency]andshallbenetofanyapplicabletaxes.4.IntellectualPropertyRights4.1PartyAshallretainallownershiprights,,andinterestinandtotheProjects.5.Confidentiality5.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyinconnectionwiththisAgreement.5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.6.Termination6.1ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationisduetoamaterialbreachofthisAgreementtheotherparty.6.2UponterminationofthisAgreement,PartyBshalldelivertoPartyAalldeliverables,includingbutnotlimitedtosource,documentation,andanyothermaterialsrelatedtotheProjects.7.LimitationofLiability7.1PartyBshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceornonperformanceofthisAgreement.7.2PartyA'stotalliabilitytoPartyBforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedthetotalamountpaidPartyAtoPartyBunderthisAgreement.8.GoverningLawandJurisdictionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationin[City],[Country],inaccordancewiththerulesofthe[ArbitrationInstitution].9.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.[SignatureofAuthorizedRepresentativeofPartyA]_________________________[NameofAuthorizedRepresentativeofPartyA]_____________________
