2025版进出口贸易英文国际物流运输合同ThisContractofInternationalLogisticsTransportationforImportandExportTrade(hereinafterreferredtoasthe"Contract")ismadeandenteredintoandbetweenthefollowingparties:PartyA:_______________(Importer/Exporter)Address:_______________ContactPerson:_______________Position:_______________PartyB:_______________(LogisticsServiceProvider)Address:_______________ContactPerson:_______________Position:_______________WHEREAS,PartyAisengagedintheimportandexporttradeofgoodsandrequiresthelogisticsserviceofPartyBforthetransportationofgoods;andWHEREAS,PartyBiswillingtoprovidethelogisticsserviceforthetransportationofgoodsforPartyAaccordingtotheprovisionsofthisContract;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesagreeasfollows:1.ScopeofLogisticsServicePartyBshallprovidethefollowinglogisticsservicesforPartyA:1.1.Pickupanddeliveryofgoods;1.2.Transportationofgoodssea,air,orland;1.3.customsdeclarationandclearance;1.4.Insurancearrangement;1.5.Otherservicesagreeduponbothparties.2.DeliveryTimeandPlace2.1.Thegoodsshallbedeliveredtothefollowingaddress:_______________;2.2.Thedeliverytimeshallbe_______________fromthedateofshipment.3.PaymentTerms3.1.Thepaymentforthelogisticsserviceshallbemade_______________;3.2.Thepaymentamountshallbe_______________(includingtaxes,ifany);3.3.Thepaymentshallbemadewithin_______________daysafterthereceiptoftheinvoiceissuedPartyB.4.ResponsibilitiesandObligations4.1.PartyAshall:4.1.2.Ensurethatthegoodsareproperlypackedandlabeled;4.1.3.Complywithallrelevantlawsandregulationsrelatedtotheimportandexporttrade;4.1.4.PaythelogisticsservicefeeandotherexpensesincurredPartyBinaccordancewiththeprovisionsofthisContract.4.2.PartyBshall:4.2.1.ProvidethelogisticsserviceasagreeduponinthisContract;4.2.2.Ensurethesafetyandintegrityofthegoodsduringtransportation;4.2.3.PromptlyinformPartyAofanyissuesrelatedtothetransportationofgoods;4.2.4.Complywithallrelevantlawsandregulationsrelatedtothelogisticstransportation.5.LiabilityandCompensation6.DisputeResolution6.1.AnydisputesarisingfromtheexecutionofthisContractshallbesettledthroughfriendlynegotiationbetweentheparties.6.2.Ifthepartiesfailtoreachanagreementthroughfriendlynegotiation,thedisputeshallbesubmittedtothePeople'sCourtwithjurisdictionoverthelocationofPartyBfortrial.7.ForceMajeure7.1.Intheeventofaforcemajeureeventsuchaswar,naturaldisasters,orotherunforeseeableevents,PartyBshallnotbeliableforanydelayorfailuretoperformitsobligationsunderthisContract.7.2.PartyBshallpromptlyinformPartyAoftheoccurrenceofaforcemajeureeventandproviderelevantevidence.8.Confidentiality8.1.BothpartiesagreetokeepconfidentialanyconfidentialinformationobtainedfromtheotherpartyduringtheexecutionofthisContract.8.2.TheconfidentialityobligationsunderthisparagraphshallsurvivetheterminationorexpirationofthisContract.9.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,ornegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.10.AmendmentsandModificationsAnyamendmentormodificationtothisContractshallbeeffectiveonlyifitisinwritingandsignedbothparties.11.GoverningLawThisContractshallbegovernedandconstruedinaccordancewiththelawsof_______________.INWITNESSWHEREOF,thepartieshaveexecutedthisContractasofthedatefirstabovewritten.Part
