1.2TheGoodsshallcomplywiththetechnicalspecifications,qualitystandards,andpackagingrequirementsoutlinedintheattachedAnnex(hereinafterreferredtoas"TechnicalSpecifications").PartyBshallprovidecertificatesofanalysis,qualityinspectionreports,andusermanualsinEnglishtoverifycompliance.

2.PriceandPaymentTerms

2.1PriceBasis:Theunitpriceis[Amount]perunit,calculatedbasedon[FOB/CIF/CFR]Incoterms®2020.Thetotalcontractvalueis[TotalAmount],whichshallremainfixedunlessmodifiedbyawrittenamendmentsignedbybothparties.

2.2PaymentMethod:

Deposit:30%ofthetotalamountshallbepaidbyPartyAwithin10bankingdaysaftertheContractissigned.

BalancePayment:70%ofthetotalamountshallbepaidbyPartyAwithin5bankingdaysuponreceiptofthefollowingdocuments:

Cleanon-boardbilloflading;

Commercialinvoiceintriplicate;

Certificateoforigin;

Insurancepolicy(forCIFterms).

2.3PaymentAccount:

3.DeliveryandTransportation

3.1DeliveryTime:PartyBshallshiptheGoodsby[Sea/Air/Land]andensurearrivalatthedestinationport/placeby[Date].PartialshipmentsareallowedwithpriorwrittennoticetoPartyA.

3.2ShippingDetails:

PortofLoading:[Name]

PortofDischarge:[Name]

Carrier:[NameofShippingLine/Airline]

TransportDocument:Anegotiablebillofladingmarked"FreightPrepaid"(forCIF/CFR)or"FreightCollect"(forFOB)shallbeissued.

3.3RiskTransfer:RiskoflossordamagetotheGoodsshallpassfromPartyBtoPartyAupon[on-board/deliverytocarrier/arrivalatdestination]aspertheagreedIncoterms®.

3.4InspectionandAcceptance:

PartyAshallinspecttheGoodswithin7daysofarrival.Ifdiscrepanciesinquantityorqualityarefound,PartyAshallnotifyPartyBinwriting,providingevidencesuchassurveyreportsissuedbyanindependentinspectionagency(e.g.,SGS,Intertek).

PartyBshall,within15daysofreceivingthenotice,eitherreplacethenon-conformingGoodsorrefundthecorrespondingpayment,atPartyA’soption.

4.QualityAssurance

4.1WarrantyPeriod:TheGoodsshallbefreefromdefectsinmaterialandworkmanshipfor12monthsfromthedateofdelivery.PartyBshallprovideawarrantycertificatespecifyingcoverageandclaimprocedures.

4.2QualityLiability:

Ifdefectsoccurwithinthewarrantyperiod,PartyBshall,atitsownexpense,repairorreplacethedefectivepartswithin30daysofreceivingwrittennoticefromPartyA.

PartyBshallnotbeliablefordamagescausedbyimproperuse,unauthorizedmodifications,orforcemajeureevents(e.g.,naturaldisasters,wars).

4.3CompliancewithLaws:TheGoodsshallcomplywiththeimportcountry’sregulations,includingsafetystandards,labelingrequirements,andenvironmentallaws.PartyBshallprovidecertificatesofcomplianceuponrequest.

5.IntellectualProperty

5.1PartyBwarrantsthattheGoodsandrelatedtechnicalinformationdonotinfringeanythird-partyintellectualpropertyrights.Ifaclaimarisesduetoallegedinfringement,PartyBshallindemnifyPartyAagainstalllosses,includinglegalfeesanddamagesawardedbyacourt.

5.2PartyAshallnotreverse-engineer,decompile,orreproducetheGoodswithoutPartyB’spriorwrittenconsent.Alltrademarks,patents,andcopyrightsrelatedtotheGoodsremaintheexclusivepropertyofPartyB.

6.DisputeResolution

6.1Negotiation:IntheeventofadisputearisingfromthisContract,bothpartiesshallfirstattempttoresolveitthroughamicablenegotiationwithin30daysofthedisputeoccurring.

6.2Arbitration:Ifnegotiationfails,thedisputeshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)forarbitrationin[Beijing/Shanghai]inaccordancewithitsarbitrationruleseffectiveasof2025.

6.3ArbitrationProceedings:

Thearbitrationtribunalshallconsistofthreearbitrators:oneappointedbyeachpartyandapresidingarbitratorappointedbyCIETAC.

ThearbitrationlanguageshallbeEnglish,andtheproceedingsshallbeconductedbasedondocumentaryevidenceunlessanoralhearingisrequested.

Thearbitralawardshallbefinalandbindingonbothparties,andenforcementmaybesoughtinanycountrythatisasignatorytotheNewYorkConvention.

6.4GoverningLaw:ThisContractshallbegovernedbythelawsof[Jurisdiction,e.g.,People’sRepublicofChina],excludingconflictoflawrules.

7.ForceMajeure

7.1Ifeitherpartyisunabletoperformitsobligationsduetounforeseeable,unavoidable,andinsurmountableevents(e.g.,earthquakes,pandemics,governmentrestrictions),itshallnotifytheotherpartyinwritingwithin15days,providingsupportingdocumentsissuedbyacompetentauthority.

7.2Theaffectedpartyshallbeentitledtoareasonableextensionofperformancetime.Iftheforcemajeureeventpersistsformorethan60days,eitherpartymayterminatetheContractwithoutliabilityfordamages.

8.Termination

8.1EitherpartymayterminatetheContractbywrittennoticeif:

Theotherpartycommitsamaterialbreach(e.g.,non-payment,delayeddeliveryexceeding30days)andfailstoremedyitwithin20daysofreceivingademandletter;

Theotherpartybecomesinsolvent,filesforbankruptcy,orceasesbusinessoperations.

8.2Upontermination,PartyBshallrefundallpaymentsreceivedforundeliveredGoods,andPartyAshallreturnanyGoodsalreadydelivered(atPartyB’sexpense)unlessotherwiseagreed.

9.Miscellaneous

9.1Amendments:AnymodificationstothisContractmustbeinwritingandsignedbybothparties.
