2025年半导体制造用超纯水协议PartiesThisAgreementisenteredintoandeffectiveasof[EffectiveDate],byandbetween:Purchaser:[Purchaser'sFullLegalName],havingitsprincipalplaceofbusinessat[Purchaser'sAddress]("Purchaser"),andSupplier:[Supplier'sFullLegalName],havingitsprincipalplaceofbusinessat[Supplier'sAddress]("Supplier").DefinitionsandInterpretations1."Agreement"meansthis2025SemiconductorManufacturingUltra-PureWaterAgreement,includingallexhibits,attachments,andamendmentsthereto.2."Ultra-PureWater"meanswatersuppliedbySuppliermeetingthespecificationssetforthinSection4ofthisAgreement,measuredatSupplier'spointofdeliveryor,ifotherwiseagreedinwriting,atadesignatedpointpriortodelivery.3."QualityStandards"meansthespecifictechnicalspecificationsforUltra-PureWaterasdefinedinSection4.4."PuritySpecifications"meansthedetailedrequirementsforvariousparametersofUltra-PureWater,includingbutnotlimitedtoresistivity,TotalOrganicCarbon(TOC),silica,metalioncontent,pH,dissolvedoxygen,bacteriacount,andparticlecount,asspecifiedinSection4.5."DeliveryLocation"meansthepoint(s)designatedbyPurchaseratitsfacilitylocatedat[Purchaser'sAddress]forreceivingUltra-PureWater.6."SupplyPeriod"meansthecalendaryear2025.7."Order"meansawrittenorelectronicrequestissuedbyPurchasertoSupplierforthesupplyofUltra-PureWater,detailingtherequiredspecifications,quantity,anddeliverydateorperiod.8."Acceptance"meansPurchaser'swrittenconfirmationacknowledgingreceiptofanOrderanditsreadinessforfulfillment.9."GoverningLaw"means[SpecifyJurisdiction,e.g.,thelawsoftheStateofCalifornia,USA],withoutregardtoitsconflictoflawprinciples.10."ForceMajeure"meansaneventbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,naturaldisasters,governmentactions,orfailureofessentialinfrastructure(suchaspowersupply)notcausedbytheaffectedparty.ScopeofSupply1.SuppliershallsupplyUltra-PureWatertoPurchaserforuseinsemiconductormanufacturingduringtheSupplyPeriod.2.TheUltra-PureWatershallconformtothePuritySpecificationssetforthinSection4.3.TheestimatedtotalquantityofUltra-PureWatertobesuppliedduringtheSupplyPeriodis[SpecifyQuantity,e.g.,1,200,000cubicmeters],subjecttoadjustmentasprovidedinSection6.Suppliershallusereasonableeffortstomeetthisestimate,butshallnotbeobligatedtosupplyexactlythisamountunlessotherwiseagreedinwriting.4.TheunitofmeasurementforUltra-PureWatershallbecubicmeters(m³).QualityStandardsandSpecifications1.TheUltra-PureWatersuppliedshallmeetthefollowingPuritySpecifications,measuredincompliancewith[SpecifyStandard,e.g.,ISO3691-4ormutuallyagreedmethods]attheDeliveryLocation:*Resistivity:Notlessthan[SpecifyMinimumValue,e.g.,18.0]MΩ·cm*TotalOrganicCarbon(TOC):Notmorethan[SpecifyMaximumValue,e.g.,2.0]ppb*Silica:Notmorethan[SpecifyMaximumValue,e.g.,0.2]ppb*MetalIons(ppb,exceptasnoted):Na≤0.1,K≤0.1,Ca≤0.1,Mg≤0.1,Fe≤0.01,Cu≤0.005,Zn≤0.005*pH:5.0to7.0*DissolvedOxygen:≤5ppb*BacteriaCount:≤100CFU/mL*ParticulateCount:≤[SpecifyValue,e.g.,1]particle/100mL(≥0.1µm)2.SuppliershallmaintaincontinuousmonitoringsystemsforcriticalparametersatitsfacilitytoensureongoingcompliancewiththePuritySpecifications.3.Purchasershallhavetherighttoconductperiodic,unannouncedsamplingandtestingoftheUltra-PureWaterattheDeliveryLocationtoverifycompliancewiththePuritySpecifications.ThefrequencyofPurchaser'sinspectionsshallbe[SpecifyFrequency,e.g.,monthly].PurchasershallnotifySupplierofeachintendedinspectionatleast[SpecifyNoticePeriod,e.g.,24]hoursinadvance,exceptforunannouncedinspections.4.Alltestingshallbeconductedusingmethodsandequipmentgenerallyacceptedintheindustryorasmutuallyagreeduponinwriting.Disputesregardingtestresultsshallberesolvedbyre-testingusinganagreed-uponindependentlaboratory.5.SupplierrepresentsandwarrantsthattheUltra-PureWatersuppliedwillcontinuouslymeetthePuritySpecificationsthroughouttheSupplyPeriod.DeliveryTerms1.DeliveryMethod:Ultra-PureWatershallbedeliveredtotheDeliveryLocationvia[SpecifyMethod,e.g.,dedicatedpipelineconnectionortanktruck].2.DeliverySchedule:SuppliershalldeliverUltra-PureWaterinaccordancewithPurchaser'swrittenOrders.Estimateddeliveryfrequencyshallbe[SpecifyFrequency,e.g.,weeklyorasrequiredbyPurchaser'sproductionschedule],subjecttopriorwrittenOrderbyPurchaser.SuppliershallusereasonableeffortstoaccommodatePurchaser'soperationalneedsbutshallnotbeobligatedtoadherestrictlytoafixedscheduleunlessexplicitlyagreedinwriting.3.OwnershipandRisk:RiskoflossandownershipofUltra-PureWatershallpassfromSuppliertoPurchaserupon[SpecifyEvent,e.g.,Suppliercompletingthefinalfillingoperationiftanktruckdelivery,orthewaterenteringthePurchaser'sprocessifpipelinedelivery].4.Transportation:Ifdeliveryisviatanktruck,Suppliershallberesponsibleforthetransportationandassociatedcosts,usingvehiclesanddriversmeetingallapplicablesafetyandenvironmentalregulations.Suppliershallmaintainallnecessaryinsurancefortransportation.5.DeliveryConfirmation:SuppliershallprovidePurchaserwithadeliverynoteuponcompletionofeachdelivery,confirmingthequantitydeliveredandthedate.PricingandPaymentTerms1.Price:ThepricepercubicmeterofUltra-PureWatershallbe[SpecifyPrice,e.g.,$X.XX],payableinUnitedStatesDollars(USD).2.TotalEstimatedPrice:Basedontheestimatedquantityof[SpecifyQuantity,e.g.,1,200,000cubicmeters],thetotalestimatedpricefortheSupplyPeriodis[CalculateTotal,e.g.,$X,XXX,XXX.XX].3.Invoicing:Suppliershallissueaninvoicewithin[SpecifyNumber,e.g.,10]daysfollowingeachdelivery,detailingthequantitydelivered,theapplicableprice,andanyapplicabletaxesorfees.4.Payment:PurchasershallpaySuppliertheinvoiceamountwithin[SpecifyNumber,e.g.,30]daysafterreceiptoftheinvoiceandacceptanceofthedelivery(ifapplicable).5.Taxes:[SpecifyTaxArrangement,e.g.,Allapplicabletaxes,includingVAT,aretheresponsibilityoftheSupplier.PurchasershallreimburseSupplierforanytaxesincurredbySupplier.]OrderProcess1.PurchasershallsubmitOrderstoSuppliervia[SpecifyMethod,e.g.,designatedemailaddressorelectronicprocurementsystem].2.OrdersshallclearlyspecifytherequiredquantityofUltra-PureWater,desireddeliverydateordeliverywindow,andanyspecificinstructions.3.SuppliershallacknowledgeacceptanceoftheOrdervia[SpecifyMethod,e.g.,emailconfirmation]within[SpecifyNumber,e.g.,24]hoursofreceivingit.4.SuppliershallproceedwithfulfillingtheOrderbasedontheagreeddeliveryscheduleorasspecifiedintheOrder.WarrantiesandLiability1.QualityWarranty:SupplierwarrantsthattheUltra-PureWatersuppliedunderthisAgreementwillconformtotheQualityStandardsandPuritySpecificationsthroughouttheSupplyPeriod.2.LimitationofLiability:ExceptasexpresslyprovidedinthisAgreement,Supplier'stotalliabilitytoPurchaserunderthisAgreementforanyclaimsarisingoutoforinconnectionwiththisAgreementshallbelimitedto[SpecifyLimit,e.g.,thetotalpricepaidbyPurchaserforUltra-PureWatersuppliedduringtheprecedingtwelve(12)months].InnoeventshallSupplierbeliableforanyindirect,consequential,special,orpunitivedamages.3.NoWarrantyofFitness:SupplierprovidestheUltra-PureWateronan"asis"basis.Suppliermakesnowarranties,expressorimplied,regardingthesuitabilityoftheUltra-PureWaterforPurchaser'sspecificpurposes.4.IndirectDamages:Notwithstandingtheforegoing,SuppliershallbeliablefordirectdamagesresultingfromthefailureoftheUltra-PureWatertomeetthePuritySpecifications,includingdirectdamagestoPurchaser'sequipmentdirectlyusedinprocessingtheUltra-PureWater,providedsuchdamagesarereportedtoSupplierwithin[SpecifyNumber,e.g.,24]hoursofdiscoveryandcauseddirectlyandsolelybythenon-compliancewiththePuritySpecifications.InspectionandAcceptance1.PurchaserreservestherighttoinspectandtesttheUltra-PureWaterattheDeliveryLocationtoverifycompliancewiththePuritySpecifications,inaccordancewithSection4.2.Purchaser'sacceptanceorrejectionofanydeliveryshallbebasedsolelyontheresultsofsuchinspectionsandtestsconductedinaccordancewithSection4.3.IfPurchaserfailstoconductascheduledinspectionasnotifiedbySupplier,Suppliershallconsidersuchnon-inspectionasanacceptanceofthedeliveryforthatinstance.IntellectualPropertyRights1.AllintellectualpropertyrightsintheUltra-PureWaterproductiontechnologyandprocessesownedbySuppliershallremainthepropertyofSupplier.2.Purchasershallnotuse,reverseengineer,decompile,ordisassembleanySupplierproprietarytechnologyorsoftwarewithoutthepriorwrittenconsentofSupplier.3.PurchasershallmaintaintheconfidentialityofallproprietaryinformationdisclosedbySupplierandshallnotdisclosesuchinformationtoanythirdpartywithoutSupplier'spriorwrittenconsent,exceptasrequiredbylaworasnecessaryforPurchaser'sownuseinconnectionwiththisAgreement.Confidentiality1.EachParty("DisclosingParty")shallholdinstrictconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherParty("ReceivingParty")inconnectionwiththisAgreement.2.TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[SpecifyNumber,e.g.,five(5)]yearsafterterminationorexpiration.TermandTermination1.Term:ThisAgreementshallcommenceontheEffectiveDateandcontinueineffectthroughouttheSupplyPeriod,unlessterminatedearlierinaccordancewiththeprovisionsofthisSection.2.TerminationforCause:EitherPartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofanyprovisionofthisAgreementandfailstocuresuchbreachwithin[SpecifyNumber,e.g.,thirty(30)]daysafterreceivingwrittennoticeofthebreach.3.TerminationforConvenience:EitherPartymayterminatethisAgreementatanytimeupon[SpecifyNumber,e.g.,sixty(60)]dayspriorwrittennoticetotheotherParty.4.ConsequencesofTermination:UponterminationorexpirationofthisAgreement,Suppliershall:*Completeanydeliveriesorderedandoutstandingpriortotermination.*NotifyPurchaserofitsfinaloutstandingbalancedueunderthisAgreement.*ProvidePurchaserwithaccesstoitsUltra-PureWaterfacilityandrelevantrecordsforaperiodof[SpecifyNumber,e.g.,60]daysfollowingterminationtofacilitatetransitionorverification.*Continuetoprovideconfidentialityobligations.*NotremoveanypermanentlyinstalledequipmentatPurchaser'ssiteunlessrequiredbylaworagreedinwriting.ForceMajeure1.NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyForceMajeure.2.TheaffectedPartyshallpromptlynotifytheotherPartyofanyForceMajeureevent.3.TheaffectedPartyshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureevent.PerformanceofobligationsunderthisAgreementshallbesuspendedduringthedurationoftheForceMajeureevent.4.IftheForceMajeureeventcontinuesformorethan[SpecifyNumber,e.g.,90]days,eitherPartymayterminatethisAgreementwithoutfurtherliability.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction],withoutregardtoitsconflictoflawprinciples.2.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledby[SpecifyMethod,e.g.,arbitrationadministeredbytheAmericanArbitrationAssociationunderitsrulesineffectatthetimeofthedispute,orlitigationinthecourtsoftheStateof[SpecifyState]].Miscellaneous1.Notices:AllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedeffectivelygivenwhendeliveredpersonally,sentbyreputableovernightcourier,orsentbycertifiedorregisteredmailreturnreceiptrequested.2.EntireAgreement:ThisAgreement,includingallattachmentsandexhibitsreferencedherein,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.3.Amendments:Noamendme
