(全新版)知识产权交易合同英文版ThisIntellectualPropertyTransactionContract(the“Contract”)ismadeandenteredintoasof[date]byandbetween:PartyA:[FullnameofPartyA]Address:[AddressofPartyA]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]PartyB:[FullnameofPartyB]Address:[AddressofPartyB]ContactPerson:[Nameofcontactperson]ContactNumber:[Phonenumber]Email:[Emailaddress]WHEREAS,PartyAisthelegalownerofcertainintellectualpropertyrights(the“IPRights”)asdescribedinSchedule1attachedhereto;WHEREAS,PartyAdesirestotransfertheIPRightstoPartyB,andPartyBdesirestoacquiretheIPRightsfromPartyAunderthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:1.TransferofIPRights1.1PartyAherebyirrevocablytransfers,assigns,andconveystoPartyBallofitsright,title,andinterestinandtotheIPRights,includingbutnotlimitedtoallpatents,trademarks,copyrights,tradesecrets,andanyotherintellectualpropertyrightsrelatedtothesubjectmatterdescribedinSchedule1.1.2PartyAwarrantsthatithasthelegalrightandauthoritytotransfertheIPRightsandthattheIPRightsarefreeandclearofallliens,encumbrances,andrestrictions,exceptasotherwisedisclosedtoPartyBinwriting.2.PurchasePriceandPaymentTerms2.1ThepurchasepriceforthetransferoftheIPRightsshallbe[amountinfiguresandwords](the“PurchasePrice”).2.2PartyBshallpaythePurchasePricetoPartyAinthefollowingmanner:[Describethepaymentschedule,e.g.,alumpsumpaymentwithin[X]daysaftertheexecutionofthisContract,orinstallmentswithspecificamountsandduedates].3.RepresentationsandWarranties3.1PartyArepresentsandwarrantstoPartyB:ThatitisthesoleandexclusiveowneroftheIPRightsandhasthefullrightandauthoritytotransferthesame.ThattheIPRightsarevalidandenforceable,andtherearenopendingorthreatenedlegalactionsordisputesregardingtheIPRights,exceptasdisclosedtoPartyB.ThatitwillindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachoftheaboverepresentationsandwarranties.3.2PartyBrepresentsandwarrantstoPartyA:ThatithasthefinancialabilityandlegalrighttoacquiretheIPRights.ThatitwillcomplywithallapplicablelawsandregulationsinconnectionwiththeuseandexploitationoftheIPRights.ThatitwillindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachoftheaboverepresentationsandwarranties.4.Confidentiality4.1Eachparty(the“ReceivingParty”)agreestokeepconfidentialallnonpublicinformation(the“ConfidentialInformation”)disclosedbytheotherparty(the“DisclosingParty”)inconnectionwiththisContract,includingbutnotlimitedtothetermsandconditionsofthisContract,thedetailsoftheIPRights,andanybusinessortechnicalinformationrelatedtotheIPRights.4.2TheReceivingPartyshallnotdisclosetheConfidentialInformationtoanythirdparty,exceptasrequiredbylaworwiththepriorwrittenconsentoftheDisclosingParty.4.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContractforaperiodof[X]years.5.GoverningLawandJurisdiction5.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].5.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthe[Nameofthecourt]locatedin[Locationofthecourt].6.EntireAgreementThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreementsandunderstandings,oralorwritten,relatingtothesame.7.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessinwritingandsignedbybothparties.8.SeverabilityIfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.9.AssignabilityNeitherpartymayassignthisContractoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheotherparty.10.CounterpartsThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartieshaveexecutedthisIntellectualPropertyTransactionContractasofthedatefirstabovewritten.PartyA(Signature):____________________Name:____________________Date:___________________
