Background

WHEREAS,PartyAseekstoengagePartyBtodevelopspecificsoftware(the“Software”)asdetailedinExhibitA(the“StatementofWork”);and

WHEREAS,PartyBhasthetechnicalexpertiseandresourcestodeveloptheSoftwareinlinewithPartyA’srequirements;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementsherein,thepartiesagreeasfollows:

1.Definitions

ForthisAgreement,thefollowingtermshavethemeaningsbelow:

1.2“Deliverables”meansallmaterialsandworkproductsprovidedbyPartyBtoPartyA,including(butnotlimitedto)theSoftware,sourcecode,usermanuals,testreports,andinstallationguides.

1.3“IntellectualPropertyRights”meansallpatents,copyrights,trademarks,tradesecrets,andotherintellectualpropertyrights(registeredorunregistered)worldwide.

1.4“ConfidentialInformation”meansnon-publicinformationdisclosedbyonepartytotheother(e.g.,businessplans,technicaldata,customerlists,financialinformation)—whetherdisclosedorally,inwriting,orotherwise.

2.ScopeofWorkandObligations

2.1ObligationsofPartyA

(a)ProvidePartyBwithallnecessaryrequirements,specifications,andmaterialsforSoftwaredevelopmentinatimelymanner.

(b)Review,approve,andprovidepromptfeedbackondeliverablessubmittedbyPartyBaccordingtotheagreedschedule.

(c)PayPartyBthefeessetforthinSection3.

2.2ObligationsofPartyB

(d)ProvidePartyAwith[X]daysofpost-deliverysupporttoaddressbugsorissuesfromnormalSoftwareuse.

3.PaymentTerms

3.1PartyAshallpayPartyBatotalfeeof[TotalAmount]fortheSoftwaredevelopmentservices,payableininstallments:

(a)Pre-payment:[Percentage]%ofthetotalfee(i.e.,[Amount])shallbepaidbyPartyAtoPartyBwithin[Number]daysoftheEffectiveDate.

(d)FinalPayment:Theremaining[Percentage]%ofthetotalfee(i.e.,[Amount])shallbepaidwithin[Number]daysofPartyB’ssuccessfuldeliveryofthefullyfunctionalSoftwareandPartyA’sacceptance.

3.2AllpaymentsshallbemadetoPartyB’sdesignatedbankaccount,andPartyAshallprovideproofofpaymenttoPartyB.

4.IntellectualPropertyRights

4.1Uponfullpaymentofallfees,allIntellectualPropertyRightsintheSoftwareandDeliverablesshallvestinPartyA.However,PartyBmayuseunderlyingmethodologies,algorithms,andcodesnippets(excludingcodedevelopedexclusivelyforPartyA)forotherprojects—providedsuchusedoesnotinfringeonPartyA’sIntellectualPropertyRightsintheSoftware.

4.2PartyBrepresentsandwarrantsthattheSoftwareandDeliverablesdonotinfringeonanythird-partyIntellectualPropertyRights.Ifaclaimofinfringementarises,PartyBshalldefendPartyAatitsownexpenseandindemnifyPartyAforanylosses,damages,orcosts.

5.Confidentiality

5.1Eachparty(the“ReceivingParty”)shallkeepallConfidentialInformationoftheotherparty(the“DisclosingParty”)strictlyconfidential.TheReceivingPartyshallnotdisclosesuchConfidentialInformationtoanythirdpartywithouttheDisclosingParty’spriorwrittenconsent(exceptasrequiredbylaw).

5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreementfor[Number]years.

6.TermandTermination

6.2EitherpartymayterminatethisAgreementbywrittennoticeiftheotherpartymateriallybreachestheAgreementandfailstocurethebreachwithin[Number]daysafterreceivingwrittennoticeofthebreach.

7.LiabilityandIndemnification

7.1ExceptasotherwiseprovidedinthisAgreement,neitherpartyshallbeliabletotheotherforindirect,incidental,consequential,orpunitivedamagesarisingfromorrelatedtothisAgreement(whetherincontract,tort,orotherwise).

7.2Eachpartyshallindemnifyandholdtheotherpartyharmlessfromlosses,damages,orexpensesarisingfromitsownbreachofthisAgreement,negligence,orwillfulmisconduct.

8.DisputeResolution

Anydispute,controversy,orclaimarisingfromorrelatedtothisAgreementshallberesolvedbyarbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution].Thearbitrationawardshallbefinalandbindingonbothparties.

9.Miscellaneous

9.1ThisAgreement(includingtheStatementofWorkinExhibitA)istheentireagreementbetweenthepartiesregardingthesubjectmatterandsupersedesallpriororalorwrittenagreementsandunderstandings.

9.2NoamendmentormodificationofthisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

9.3ThisAgreementshallbegovernedbythelawsof[GoverningLawJurisdiction].

9.4ThisAgreementmaybeexecutedincounterparts(eachdeemedanoriginal,butalltogetherformingoneinstrument).

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.
