2025咨询服务合同英文版范文ConsultingServicesAgreementThisConsultingServicesAgreement("Agreement")isenteredintoasof[Date]byandbetween[Client'sFullLegalName],a[TypeofEntity]organizedandexistingunderthelawsof[Jurisdiction],withitsprincipalplaceofbusinessat[Client'sAddress]("Client"),and[Consultant'sFullLegalName],a[TypeofEntity]organizedandexistingunderthelawsof[Jurisdiction],withitsprincipalplaceofbusinessat[Consultant'sAddress]("Consultant").TheClientandtheConsultantmaybereferredtoindividuallyasa"Party"orcollectivelyasthe"Parties."1.ScopeofServicesTheConsultantagreestoprovidetheClientwithprofessionalconsultingservicesinaccordancewiththetermsandconditionssetforthinthisAgreement.Thespecificscopeoftheservicestobeprovided(the"Services")isasfollows:Strategicplanningandadvisoryservices.Marketanalysisandresearch.Operationaloptimizationandprocessimprovement.Traininganddevelopmentprograms.OtherservicesasmaybemutuallyagreeduponinwritingbytheParties.TheConsultantshalluseitsbesteffortstoperformtheServicesinaprofessionalandworkmanlikemanner,inaccordancewithindustrystandardsandthetimelinessetforthinthisAgreement.TheClientshallprovidetheConsultantwithallnecessaryinformation,resources,andaccesstopersonnelasreasonablyrequiredtoperformtheServices.2.TermoftheAgreementThetermofthisAgreement(the"Term")shallcommenceonthedatefirstabovewrittenandcontinueuntilthecompletionoftheServicesunlessearlierterminatedasprovidedherein.ThePartiesmaymutuallyagreetoextendtheTermbywrittenagreementexecutedbybothParties.3.FeesandPaymentTermsInconsiderationfortheServices,theClientshallpaytheConsultantthetotalfeeof[Amount](the"Fee")asdetailedinScheduleAattachedhereto.TheFeeshallbepaidinaccordancewiththefollowingterms:Aninitialdepositof[Amount]shallbepaidbytheClientuponsigningthisAgreement.Theremainingbalanceshallbepaidininstallmentson[Date(s)]oruponcompletionofspecificmilestonesasoutlinedinScheduleA.Allpaymentsshallbemadein[TypeofCurrency]by[PaymentMethod],tothefollowingaccount:[BankName],[AccountNumber].Latepaymentsshallincurapenaltyof[Percentage]%permonth,calculatedontheoutstandingamount.TheConsultantshallissueinvoicestotheClientona[Frequency]basis,andtheClientshallreviewandrespondtosuchinvoiceswithin[Number]businessdays.4.ConfidentialityBothPartiesagreetomaintaintheconfidentialityofallnon-public,proprietary,and/orsensitiveinformationdisclosedduringthecourseofthisAgreement(the"ConfidentialInformation").NeitherPartyshalldisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.TheobligationsunderthissectionshallsurvivetheterminationofthisAgreementforaperiodof[Number]years.5.IntellectualPropertyAllrights,includingbutnotlimitedtocopyrights,patents,trademarks,andtradesecrets,inallmaterials,reports,designs,andotherdeliverablescreatedbytheConsultantintheperformanceoftheServices(the"Deliverables")shallremainthesolepropertyoftheConsultant.TheClientshallhaveanon-exclusive,royalty-freelicensetousetheDeliverablessolelyforitsinternalbusinesspurposes.TheClientshallnotmodify,alter,ordistributetheDeliverableswithoutthepriorwrittenconsentoftheConsultant.6.LimitationofLiabilityTheConsultantshallnotbeliableforanyindirect,incidental,punitive,orconsequentialdamagesarisingoutoforrelatingtotheServices,regardlessofthecauseofaction.ThetotalaggregateliabilityoftheConsultantunderthisAgreementshallnotexceedthetotalFeespaidbytheClient.TheConsultantshallnotberesponsibleforanylosses,damages,orexpensesresultingfromtheClient'sfailuretofollowtheConsultant'srecommendationsorinstructions.7.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentsuchfailureordelayiscausedbyeventsorcircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtonaturaldisasters,pandemics,wars,orgovernmentalactions.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaForceMajeureeventandmakereasonableeffortstomitigateitseffects.8.GoverningLawandJurisdictionThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[Jurisdiction].AnylegalproceedingarisingoutoforrelatingtothisAgreementshallbebroughtexclusivelyinthecourtsof[County,State]or,ifappropriate,intheUnitedStatesDistrictCourtforthe[District]Districtof[State].BothPartiesconsenttothejurisdictionofthesecourtsandwaiveanyobjectionsbasedonvenueorforumnonconveniens.9.Miscellaneous9.1EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal,concerningthesubjectmatterhereof.AnyamendmentsormodificationstothisAgreementmustbeinwritingandsignedbybothParties.9.2Severability:IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.9.3Waiver:ThewaiverofanyprovisionofthisAgreementbyonePartyshallnotoperateasawaiverofanyotherprovisionorasawaiverofthatprovisiononanyotheroccasion.9.4Counterparts:ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershal
