2025房地产交易英语合同范本2025RealEstateTransactionContractTemplateThisRealEstatePurchaseandSaleAgreement(the"Agreement")ismadeandenteredintoonthisdayof,2025,byandbetweenthefollowingparties:Buyer(s):Name:Address:ContactInformation:Email:Seller(s):Name:Address:ContactInformation:Email:AGENTANDBROKER(ifapplicable):AgentName:Brokerage:ContactInformation:WITNESSES:Witness1:Witness2:1.DefinitionsandInterpretationsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"Property"shallmeantherealpropertylocatedat,includingbutnotlimitedtotheland,buildings,structures,andappurtenancessituatedthereon,asmoreparticularlydescribedinExhibit"A"attachedheretoandmadeaparthereof."PurchasePrice"shallmeanthetotalpriceagreeduponbytheBuyerandSellerfortheProperty,whichisUSDollars($),assetforthinthisAgreement."ClosingDate"shallmeanthedateuponwhichthetransferofownershipofthePropertyfromtheSellertotheBuyershallbecompleted,asspecifiedinSection3ofthisAgreement."earnestMoney"shallmeanthedepositpaidbytheBuyertotheSellerasapartofthePurchasePrice,asspecifiedinSection2(b)hereof.2.PropertyDescriptionThePropertytobepurchasedbytheBuyerandsoldbytheSellerisfullydescribedasfollows:LegalDescription:AsperExhibit"A"attachedhereto.CurrentUse:ZoningClassification:AgeoftheProperty:yearsAnyencumbrancesorliensontheProperty:(Ifany,specifydetails).3.PurchasePriceandPaymentTerms3.1TheBuyeragreestopurchaseandtheSelleragreestosellthePropertyforatotalsumofUSDollars($),subjecttothetermsandconditionssetforthherein.3.2Paymentshallbemadeasfollows:(a)TheBuyershalldepositanearnestmoneyofUSDollars($)withtheescrowagentdesignatedbytheBrokerwithindaysfromtheeffectivedateofthisAgreement.(b)TheremainingbalanceofthePurchasePriceshallbepaidatClosing,bywiretransfer,cashier'scheck,orsuchothermeansasmutuallyagreeduponbytheparties.4.ClosingDateTheClosingDateshallbeonorbefore,2025,orsuchotherdateasmutuallyagreeduponbytheBuyerandSeller.TheClosingshalltakeplaceatamutuallyagreedlocation,orthroughavirtualclosingprocessifmutuallyacceptable.5.CostsandExpenses5.1AllcostsandexpensesincidenttothetransferofownershipofthePropertyshallbeborneasfollows:(a)TitleSearchandExamination:(b)TitleInsurance:(c)EscrowFees:(d)Broker'sCommissions:(e)DocumentaryStampsandTransferTaxes:6.PropertyConditionanddisclosures6.1TheSellerrepresentsandwarrantsthattothebestoftheirknowledge,thePropertyisfreefromanydefects,damage,orissuesthatwouldrenderitunmarketableorunsafeforitsintendeduse.6.2TheSellerfurtheragreestodiscloseallknownmaterialdefectsorissuesaffectingtheProperty,includingbutnotlimitedto:(a)Structuralissues:(b)Plumbingproblems:(c)Electricalissues:(d)Roofcondition:(e)Pestinfestation:7.UseofProperty7.1TheBuyeragreestousethePropertystrictlyforthepurposeof.7.2TheBuyershallobtainallnecessarypermitsandapprovalsforanyalterations,renovations,ornewconstructionontheProperty.8.Insurance8.1TheSellershallmaintainthecurrentinsurancecoverageonthePropertyuntiltheClosingDate.8.2TheBuyershallobtaininsurancecoverageonthePropertyimmediatelyuponClosing,includingbutnotlimitedtofire,windstorms,andliabilityinsurance.9.MaintenanceandRepairs9.1PriortoClosing,theSellershallberesponsibleformaintainingthePropertyinitscurrentconditionandpromptlyaddressinganyrepairsneededtopreventfurtherdamage.9.2TheBuyershallassumeresponsibilityfortheProperty'smaintenanceandrepairsfromtheClosingDateonwards.10.Indemnification10.1TheSelleragreestoindemnifyandholdharmlesstheBuyer,theiragents,andrepresentativesfromanyclaims,damages,orliabilitiesarisingoutofanydefects,issues,orconditionsexistinginthePropertypriortoClosing.10.2TheBuyeragreestoindemnifyandholdharmlesstheSeller,theiragents,andrepresentativesfromanyclaims,damages,orliabilitiesarisingoutofanydefects,issues,orconditionscreatedbytheBuyer'suseofthePropertyafterClosing.11.DefaultandRemedies11.1IftheBuyerfailstoperformanyobligationunderthisAgreement,theSellermaypursueanylegalremediesavailable,includingbutnotlimitedtospecificperformance,injunctiverelief,orcancellationofthisAgreement,inwhichcasetheearnestmoneyshallbeforfeited.11.2IftheSellerfailstoperformanyobligationunderthisAgreement,theBuyermaypursueanylegalremediesavailable,includingbutnotlimitedtospecificperformance,injunctiverelief,orcancellationofthisAgreement,inwhichcasetheearnestmoneyshallberefundedwithinterest.12.DisputeResolution12.1AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthroughmediation,arbitration,orlitigation,asspecifiedinaseparateagreementbetweentheparties.13.Miscellaneous13.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthestateof.13.2EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.13.3Amendments:AnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.13.4Assignment:NeitherpartyshallassignthisAgre
