2025微型企业贷款项目合同范本XX2025Micro-EnterpriseLoanProjectContractModel–XXLoanContractNo.:DateofSigning:PlaceofExecution:ThisLoanContract("Contract")ismadeandenteredintoonthisdayof,2025,byandbetween:Lender:(hereinafterreferredtoasthe"Lender"),alegallyregistered,withitsprincipalplaceofbusinesslocatedat,,,China.BusinessLicenseNumber:法定代表人:ContactInformation:Borrower:(hereinafterreferredtoasthe"Borrower"),alegallyregistered,withitsprincipalplaceofbusinesslocatedat,,,China.BusinessLicenseNumber:法定代表人:ContactInformation:Recitals:WhereastheBorrowerrequiresfinancialassistanceforthedevelopmentandexpansionofitsmicro-enterpriseproject(hereinafterreferredtoasthe"Project"),andtheLenderiswillingtoprovidesuchfinancialsupportunderthetermsandconditionssetforthherein;Now,therefore,thepartiesheretoagreeasfollows:1.LoanAmountTheLenderagreestoprovidealoanofRMB()totheBorrower(the"Loan").2.PurposeoftheLoanTheBorroweragreestousetheLoanexclusivelyforthepurposeof,andshallnotdivertthefundsforanyother用途withoutthepriorwrittenconsentoftheLender.3.LoanInterestRateTheLoanshallbearinterestattherateofpercent()perannum(the"InterestRate").TheInterestRateiscalculatedbasedontheremainingprincipalbalanceandiscompounded(daily/monthly/annually).4.LoanTermTheLoanshallbedisbursednolaterthan,andthetermoftheLoan(the"Term")shallbefromto,unlessotherwiseterminatedinaccordancewiththetermsofthisContract.5.RepaymentoftheLoanTheBorrowershallrepaytheLoaninaccordancewiththefollowingschedule:(the"RepaymentSchedule").TheBorrowershallmakeeachpaymenttotheLender'sdesignatedaccountatBank,AccountName:,AccountNumber:,nolaterthanthespecifiedduedate.6.PrepaymentTheBorrowerhastherighttoprepayallorpartoftheLoan,providedthatsuchprepaymentismadeatleast()dayspriortotheagreedpaymentdate,andthattheBorrowerhasobtainedtheLender'swrittenconsent.TheLendermaychargeaprepaymentpenaltyasstipulatedintheScheduleofFeesandChargesattachedhereto.7.SecurityTosecurethefullandtimelyrepaymentoftheLoan,theBorroweragreestoprovidecollateral,保证,orotherformsofsecurityinaccordancewiththetermsagreeduponbybothparties.DetailedtermsregardingsecurityareoutlinedinScheduleAattachedhereto.8.FeesandChargesTheBorrowershallpaythefollowingfeesandchargesinadditiontotherepaymentoftheprincipalandinterest:Processingfee:-stampduty:-Otherapplicablefees:AdetailedbreakdownoffeesandchargesisattachedasScheduleB.9.RepresentationsandWarrantiesTheBorrowerrepresentsandwarrantstotheLenderasfollows:a.TheBorrowerisalegallyregisteredentitywiththeauthoritytoenterintothisContract.b.TheBorrowerhasobtainedallrequiredgovernmentalapprovalsandlicensestoconductitsbusiness.c.TheuseoftheLoanfortheProjectwillcomplywithallapplicablelawsandregulations.d.Therearenoexistingliens,encumbrances,orotherclaimsontheassetsoftheBorrowerthatmayinterferewiththeimplementationofthisContract.10.CovenantsTheBorrowercovenantswiththeLenderasfollows:a.Tomaintainitslegalstatusandcomplywithallapplicablelawsandregulations.b.ToprovidetheLenderwithfinancialstatementsandotherrelevantinformationwithin()businessdaysaftertheendofeachquarterandthefiscalyear.c.TonotifytheLenderpromptlyofany重大financialchangesoreventsthatmayaffectitsabilitytorepaytheLoan.11.DefaultandRemediesIftheBorrowerfailstocomplywithanyofitsobligationsunderthisContract,theLendershallhavetherighttotakethefollowingactions:a.Demandimmediaterepaymentoftheoutstandingprincipal,interest,andotherfees.b.CeasefurtherdisbursementofanyunpaidportionsoftheLoan.c.ExerciseitsrightsunderthesecurityagreementstorecovertheLoan.d.Pursueanyotherrightsandremediesavailableunderapplicablelawsandregulations.12.AmendmentsAnyamendmentstothisContractmustbemadeinwritingandsignedbybothparties.Nooralagreementsormodificationsshallbebinding.13.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.AnydisputesarisingoutoforrelatedtothisContractshallberesolvedthroughfriendly协商;if协商fails,eitherpartymaybringthematterbeforethePeople'sCourtofforresolution.14.Miscellaneousa.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesregardingtheLoanandsupersedesallprioragreements,understandings,ornegotiations.b.Waiver:NowaiverofanyprovisionofthisContractshallbedeemedtobeawaiverofanyotherprovisionorawaiverofsuchprovisiononanyotheroccasion.c.Severability:IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.d.Assignment:TheBorrowershallnotassignanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheLender.Inwitness
