2025中非贸易合作合同范本：英文合作合同范文ContractforChina-AfricaTradeCooperation(2025)ThisContractforChina-AfricaTradeCooperation(hereinafterreferredtoasthe"Contract")isenteredintoonthisdayof,2025,byandbetweenthefollowingtwoparties:PartyA:Name:Address:Email:Phone:PartyB:Name:Address:Email:Phone:1.IntroductionThisContractoutlinesthetermsandconditionsgoverningthetradecooperationbetweenPartyAandPartyB.Thecooperationshallbebasedonmutualrespect,equality,andmutualbenefit.ThisContractshallbebindingandenforceableunderthelawsofthejurisdictioninwhichtheprojectiscarriedout.2.ScopeofCooperation2.1ProductsandServices:PartyAagreestosupply(hereinafterreferredtoasthe"Products")toPartyB.ThedetailsoftheProducts,includingbutnotlimitedtoquantity,specifications,andqualitystandards,areasdescribedinExhibitAattachedhereto.2.2TermofCooperation:ThetermofthisContractshallbefrom,2025,to,2025,unlessotherwiseagreeduponbybothpartiesinwriting.2.3PaymentTerms:PartyBshallpayPartyAinaccordancewiththetermsoutlinedinExhibitB.PartyBagreestomakepaymentinthefollowingmanner:.2.4Delivery:TheProductsshallbedeliveredtoPartyBatthefollowingaddress:.Thedeliverydateis,2025,orasmutuallyagreedupon.3.ResponsibilitiesandObligations3.1PartyA'sResponsibilities:ProvidetheProductsinaccordancewiththeagreedspecificationsandqualitystandards.DelivertheProductsontimeandingoodcondition.EnsurethatallProductscomplywithrelevantlawsandregulations.3.2PartyB'sResponsibilities:ProvidetimelyandaccurateinformationregardingtheProductsandanyspecialrequirements.Paytheagreedamountontime.EnsureproperstorageanduseoftheProducts.4.IntellectualPropertyRights4.1OwnershipofIntellectualProperty:AllintellectualpropertyrightsrelatedtotheProductsshallremainwithPartyA.PartyBagreesnottoviolateanyintellectualpropertyrightsandshallnotreproduce,distribute,orsellanyProductswithoutthepriorwrittenconsentofPartyA.4.2Confidentiality:BothpartiesagreetokeepconfidentialallbusinessandtechnicalinformationexchangedduringthecourseofthisContract,exceptasrequiredbylaw.5.Insurance5.1InsuranceCoverage:PartyAshallarrangeforinsurancecoveragefortheProductsduringtransit.Theinsuranceshallcoverrisksofloss,damage,anddelay.TheinsuranceamountshallbesufficienttocoverthefullvalueoftheProducts.5.2Claims:IntheeventofanylossordamagetotheProductsduringtransit,PartyBshallpromptlynotifyPartyAandassistinfilingaclaimwiththeinsurancecompany.6.ForceMajeure6.1DefinitionofForceMajeure:AForceMajeureeventshallbedeemedtooccurifaneventbeyondthereasonablecontrolofeitherpartypreventstheperformanceofthisContract,includingbutnotlimitedtonaturaldisasters,war,governmentactions,orpandemics.6.2EffectofForceMajeure:IfeitherpartyispreventedfromfulfillingitsobligationsunderthisContractduetoaForceMajeureevent,theaffectedpartyshallpromptlynotifytheotherpartyinwriting.TheobligationsoftheaffectedpartyshallbesuspendedforthedurationoftheForceMajeureevent.Theotherpartyshallmakereasonableadjustmentstoaccommodatetheaffectedparty.7.DisputeResolution7.1Negotiation:IntheeventofanydisputearisingoutoforrelatingtothisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.7.2Arbitration:Ifthedisputeisnotresolvedthroughnegotiationwithindays,itshallbereferredtoarbitrationinaccordancewiththerulesoftheArbitrationInstitution.Thearbitrationshallbeheldin,andthedecisionofthearbitrationshallbefinalandbindingonbothparties.8.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.9.ModificationandTermination9.1Modification:AnymodificationtothisContractshallbeinwritingandsignedbybothparties.9.2Termination:EitherpartymayterminatethisContractwithwrittennoticeiftheotherpartybreachesanymaterialtermofthisContractandfailstocurethebreachwithindaysafterreceivingwrittennotice.10.Miscellaneous10.1EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof.Allprioragreements,representations,orunderstandingsaresupersededbythisContract.10.2Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.10.3Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisContractonthedatefirstabovewritten.PartyA:Name:Title:Date:PartyB:Name:Title:Date:ExhibitA-ProductSpecificationsProductName:Quantity:Specifications:QualityStandards:Exhibit
