保险合规审查协议

Parties

ThisAgreementisenteredintoandeffectiveasof[InsertEffectiveDate],byandbetween[ReviewerFirmName]("Reviewer"),havingitsprincipalofficeat[ReviewerAddress],and[ReviewedPartyName]("ReviewedParty"),havingitsprincipalofficeat[ReviewedPartyAddress].

Background/Recitals

WHEREAS,theReviewerisengagedinprovidinginsurancecompliancereviewservices;and

WHEREAS,theReviewedPartydesirestoengagetheReviewertoconductacompliancereviewofitsinsuranceoperations;and

WHEREAS,thepartieswishtosetforththetermsandconditionsgoverningsuchengagement.

ScopeofReview

1.1TheReviewershallconductacompliancereview("Review")oftheReviewedParty'sinsuranceoperationssubjecttothetermsandconditionsofthisAgreement.

1.2TheReviewshallcovertheperiodfrom[InsertStartDate]to[InsertEndDate](the"ReviewPeriod").

1.3TheReviewshallfocusonthecomplianceoftheReviewedParty'sactivitiesrelatedto[SpecifyInsuranceLines,e.g.,PropertyandCasualtyInsurance,LifeInsurance]conductedduringtheReviewPeriod.

1.4TheReviewshallprimarilyassesstheReviewedParty'sadherenceto:

a)Applicablelawsandregulations,includingbutnotlimitedtotheInsuranceLawofthePeople'sRepublicofChina,therelevantregulationsissuedbytheChinaBankingandInsuranceRegulatoryCommission(CBIRC),andotherapplicablestatutoryrequirements;

b)Relevantsupervisorycirculars,guidelines,andindustrystandardsissuedbyregulatoryauthoritiesorindustryassociations;

c)TheReviewedParty'sinternalpolicies,procedures,andcontrolframeworks,includingbutnotlimitedtoitsComplianceManual,UnderwritingGuidelines,ClaimsHandlingProcedures,andAuthorizationApprovalProcesses;and

d)[Addanyotherspecificareas,e.g.,Anti-MoneyLaundering(AML)controls,ConsumerProtectionmeasures,DataPrivacypractices]asmutuallyagreeduponinExhibitA(ifany).

1.5TheReviewshallspecificallyexamine,butnotbelimitedto,theareasof[SpecifyKeyAreas,e.g.,underwritingpractices,claimshandlingprocedures,premiumcollectionandallocation,salesconduct,reinsuranceoperations,employeetrainingandaccountability,record-keeping]asmoreparticularlydescribedinExhibitA(ifany).

ResponsibilitiesoftheReviewer

2.1TheReviewershallperformtheReviewusingprofessionaljudgmentandinaccordancewithestablishedmethodologiesandindustrystandards.

2.2TheReviewershallplantheReview,performnecessaryproceduresincludingthereviewofdocumentsandrecords,conductinterviewsasrequired,andanalyzethefindingstoformabasisforitsconclusions.

2.3TheReviewershallprepareandsubmittotheReviewedPartyafinalReviewReportoutliningitsfindings,conclusions,andrecommendationsforimprovementwithin[SpecifyNumber]daysfollowingthecompletionoftheon-sitereview(orasmutuallyagreed).

2.4TheReviewershallmaintaintheconfidentialityofallnon-publicinformationobtainedfromtheReviewedPartyduringtheReviewasprovidedherein.

2.5TheReviewershallactwithindependence,objectivity,andprofessionalskepticismthroughouttheReviewprocess.

ResponsibilitiesoftheReviewedParty

3.1TheReviewedPartyshallprovidetheReviewerwithallnecessaryassistance,includingaccesstopersonnel,systems,records,andinformationreasonablyrequiredtoperformtheReviewinatimelymanner.

3.2TheReviewedPartyrepresentsandwarrantsthattheinformation,documents,anddataprovidedtotheReviewerunderthisAgreementaretrue,complete,andaccuratetothebestofitsknowledgeandbelief.

3.3TheReviewedPartyshalldesignateasinglepointofcontact,the"LeadCoordinator,"responsibleforcoordinatingtheReviewactivitiesandcommunicationwiththeReviewer.

3.4TheReviewedPartyshallmakeavailablenecessarypersonnelforinterviewsandmeetingsasrequestedbytheReviewerwithinareasonabletimeframe.

3.5TheReviewedPartyshallpaytheReviewerthefeesfortheReviewservicesasspecifiedinSection[InsertSectionNumber]ofthisAgreement,ifapplicable.

ProceduresforReview

4.1TheReviewershalldevelopaReviewPlanoutliningthescope,methodology,andresourcesfortheReview,whichshallbesharedwiththeReviewedPartyforcomment.TheReviewershalladjusttheplanasnecessarybasedontheReviewedParty'sinput.

4.2TheReviewershallconducttheReview,whichmayinclude,butisnotlimitedto,literaturereview,dataanalysis,examinationofpoliciesandprocedures,observationofoperations,andinterviewswithrelevantpersonneloftheReviewedParty.

4.3TheReviewermayperformtheReviewonafixedfeebasis,time-and-materialsbasis,oranothermutuallyagreedarrangement,subjecttothefeestructureoutlinedinSection[InsertSectionNumber]ofthisAgreement.

Confidentiality

5.1EachParty("DisclosingParty")agreestoholdinstrictconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherParty("ReceivingParty")inconnectionwiththisAgreement.

5.2ConfidentialInformationincludes,withoutlimitation,thescopeoftheReview,methodologiesused,preliminaryfindings,finalreports,businessstrategies,financialdata,customerinformation,andinternalpoliciesoftheReceivingParty.

5.3TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeofperformingitsobligationsunderthisAgreementandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder,inwhichcasetheReceivingPartyshallprovidetheDisclosingPartywithpromptwrittennoticeofsuchdisclosure.

5.4TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[SpecifyNumber,e.g.,three(3)]yearsfromthedateofterminationorexpiration,orsuchlongerperiodasmayberequiredbylaworregulation.

5.5NeitherPartyshallbepermittedtoassignitsrightsorobligationsunderthisAgreementrelatingtoConfidentialInformationwithoutthepriorwrittenconsentoftheotherParty.

ReviewReport

6.1TheReviewershallprepareafinalReviewReportdetailingthescopeoftheReview,themethodologyemployed,thekeyfindingsidentifiedduringtheReviewPeriod,anassessmentoftheReviewedParty'scomplianceposture,identificationofsignificantcompliancerisks,andrecommendationsforcorrectiveactionsandprocessimprovements.

6.2TheReviewershallsubmitthefinalReviewReporttotheReviewedPartywithin[SpecifyNumber]daysfollowingtheconclusionoftheon-sitereviewactivities.

IntellectualPropertyRights

7.1Alldocuments,reports,analyses,findings,conclusions,andrecommendationspreparedbytheReviewerinconnectionwiththeReview("ReviewDeliverables")shallbetheexclusivepropertyoftheReviewer.TheReviewedPartyshallreceiveonlysuchReviewDeliverablesasagreeduponinthisAgreement.

7.2TheReviewedPartyacknowledgesthattheReviewDeliverablesmaycontainproprietaryinformationoftheReviewerandagreestoprotectsuchproprietaryinformationasitsownconfidentialinformation.

TermandTermination

8.1ThisAgreementshallcommenceontheEffectiveDateandcontinueforthedurationoftheReviewPeriodspecifiedinSection1.2,unlessterminatedearlierinaccordancewiththeprovisionsofthisSection.

8.2ThisAgreementshallautomaticallyterminateuponthecompletionoftheReviewPeriodunlessextendedbymutualwrittenagreementofbothparties.

8.3EitherpartymayterminatethisAgreementatanytimeupon[SpecifyNumber,e.g.,thirty(30)]days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.

8.4UponterminationorexpirationofthisAgreement,theReviewershalldelivertotheReviewedPartyallfinalreportsanddeliverables,andtheReviewedPartyshallpayalloutstandingfeesandexpensesowedtotheReviewerunderthisAgreement.Bothpartiesshallcontinuetobeboundbytheconfidentialityprovisionsandanyotherobligationsthatbytheirnatureareintendedtosurviveterminationorexpiration.

Payment

9.1Iffeesareapplicable,theReviewershallinvoicetheReviewedPartyfortheReviewservicesrenderedinaccordancewiththefeestructureagreedupon[Specifyhow,e.g.,intheStatementofWork,orbasedonthetime-and-materialsbasisdescribedinSection4.2].

9.2InvoicesshallbesubmittedtotheReviewedPartywithin[SpecifyNumber]daysfollowingthecompletionoftheReviewortheduedateforpayment,whicheveroccurslater.

9.3TheReviewedPartyshallpaytheoutstandinginvoiceswithin[SpecifyNumber,e.g.,thirty(30)]daysfromthedateofreceiptoftheinvoice,unlessotherwiseagreedinwriting.

9.4Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaimunlessexpresslyauthorizedinwritingbytheReviewer.

Liability/Indemnification

10.1TheReviewershallnotbeliabletotheReviewedPartyforanyindirect,incidental,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement,includingbutnotlimitedtolossofprofit,lossofdata,orlossofuse,unlesssuchdamagesresultdirectlyfromtheReviewer'sgrossnegligenceorwillfulmisconduct.

10.2TheReviewedPartyshallindemnifyandholdharmlesstheReviewer,itsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromanyclaim,suit,action,orproceedingbroughtbyanythirdpartybaseduponorarisingoutoftheReviewedParty'sbreachofthisAgreement,therepresentationandwarrantiesprovidedbytheReviewedPartyunderthisAgreement,ortheReviewedParty'suseoforrelianceuponanyinformationreceivedfromtheReviewer.

10.3EachPartyshallindemnifytheotherPartyforanydamagesitincursasaresultoftheotherParty'sviolationofapplicablelaworregulation.

GoverningLawandDisputeResolution

11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawsprinciples.

11.2Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheparties.

11.3Ifthedisputecannotberesolvedthroughnegotiationwithin[SpecifyNumber,e.g.,thirty(30)]daysfromthedateofthelastattemptatnegotiation,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeCourt(CIETC)]forarbitration.Thearbitrationshallbeconductedinaccordancewiththethen-currentRulesofArbitrationoftheCIETC.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing].Thelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,Chinese].Thearbitralawardshallbefinalandbindinguponbothparties.

11.4[Alternatively,iflitigationischosen:Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbesubmittedtothecompetentpeople'scourtlocatedin[SpecifyCity,e.g.,Beijing]withjurisdictionoverthecase.]

12.1ThisAgreement,includinganyexhibitsattachedhereto,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprio
