2025年石油出口买方信贷协议PartiesThisCreditAgreement(the"Agreement")ismadeandenteredintoasof[EffectiveDate],byandbetweentheGovernmentoftheLenderState,hereinafterreferredtoasthe"Lender",andtheGovernmentoftheBorrowerState,hereinafterreferredtoasthe"Borrower".RecitalsWHEREAS,theLenderandtheBorrowershareacommitmenttostrengtheningbilateraleconomicrelationsandensuringstableenergysupplies;WHEREAS,theLenderdesirestoprovidefinancingtoenabletheBorrowertopurchasecrudeoilfromtheLenderoritsdesignatedsuppliers(the"Seller");WHEREAS,theBorrowerdesirestoobtainfinancingtofacilitatethepurchaseofcrudeoilfromtheSeller;WHEREAS,thepartieshaveagreedtoenterintothisAgreementtosetforththetermsandconditionsgoverningthesupplyofcrudeoilandtheprovisionofcreditbytheLendertotheBorrower;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:DefinitionsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthherein:1."Oil":refertocrudeoilof[SpecifyGrade/GradeBand,e.g.,APIdegreebetween35and45,sulfurcontentlessthan0.5%bymass]grade,asdefinedintheattachedScheduleAandsubjecttothequalityspecificationsagreeduponbytheBuyerandtheSellerundertheunderlyingSalesContract(ifany)."Oil"shallbedeliveredat[SpecifyLoadingPort,e.g.,PortofRotterdam].2."CreditAmount":shallmean[SpecifyTotalAmountinWordsandFigures,e.g.,OneHundredMillionUnitedStatesDollars(USD100,000,000)]availableunderthisAgreement.3."CurrencyUnit":shallmeanUnitedStatesDollars(USD).4."ReferencePrice":shallmeanthepriceperbarrelof[SpecifyBenchmark,e.g.,BrentCrudeOil]forDeliveryon[SpecifyDay,e.g.,thefirstbusinessdayof][SpecifyMonth,e.g.,April][SpecifyYear,e.g.,2025],asdeterminedbasedonthe[SpecifySource,e.g.,Platts]dailypriceassessmentfor[SpecifyRegion,e.g.,NorthSea]publishedon[SpecifyDate,e.g.,thelastbusinessdayof]theprecedingmonth,adjustedasfollows:[SpecifyAdjustmentMechanism,e.g.,add5USDperbarrelifBrentpriceisabove80USD/bbl;subtract3USDperbarrelifBrentpriceisbelow60USD/bbl].5."Lender":meanstheGovernmentoftheLenderState,includingitssuccessors,assigns,andpermittedrepresentatives.6."Borrower":meanstheGovernmentoftheBorrowerState,actingthroughitsdesignatedagency[SpecifyAgencyName,e.g.,MinistryofFinance],includingitssuccessors,assigns,andpermittedrepresentatives.7."Buyer":meansthedesignatedentityintheBorrowerStateresponsibleforexecutingtheOilSalesContract,[SpecifyBuyerName/Identifier].8."Seller":means[SpecifySellerName/Identifier,e.g.,theGovernmentoftheLenderStateoritsdesignatedoilcompany],theentitysupplyingtheOilundertheunderlyingSalesContract.9."Agreement":meansthisCreditAgreement.10."ApplicableLaw":shallmeanSwisslawasamendedfromtimetotime,asappliedbythecompetentcourtsofSwitzerland.11."DrawdownPeriod":shallmeantheperiodfrom[StartDate]to[EndDate].12."PaymentDate":shallmeanthe[SpecifyNumber,e.g.,15th]dayofeachmonthcommencingon[StartDate]andendingon[EndDate].13."EventofDefault":shallmeananyEventofDefaultunderSection[SectionNumber]hereof.14."GovernmentGuarantee":meanstheGuaranteeprovidedbytheLendertotheLenderinfavoroftheBorrowerinrespectofthisAgreement,dated[DateofGuarantee],asmorefullysetforthinanExhibithereto(the"Guarantee").CreditTerms1.CreditAmountandCurrency:TheLendershallmakeavailabletotheBorroweracreditamountof[TotalAmountinWordsandFigures](the"CreditAmount")intheCurrencyUnit.2.PurposeofLoan:TheLoanFundsshallbeusedexclusivelybytheBorrowertomakepaymentstotheSellerforthepurchaseofOilundertheunderlyingSalesContract(the"SalesContract")inaccordancewiththetermsthereof.3.ReferencePriceMechanism:TheamountofeachloandrawdownunderthisAgreement(ortherepaymentamount,asapplicable)shallbedeterminedbasedontheReferencePrice.TheBuyershallusetheReferencePricetocalculatethepriceduetotheSellerundertheSalesContract.TheLendershallbeentitledtoreceivepaymentsfromtheBuyerthatreflecttheapplicationoftheReferencePrice.4.DrawdownConditions:DrawdownsshallbemadeuponthepresentationbytheBorrower(oronitsbehalfbytheBuyer)ofdocumentsevidencing:a.AnexecutedSalesContractbetweentheBuyerandtheSellerforthepurchaseofOilinaccordancewiththetermssetforthhereinandintheattachedScheduleA;b.ConfirmationfromtheSellerthattheSalesContracthasbeenaccepted;c.TheLender'spriorwrittenconsentiftheBorrowerintendstoassignanyportionoftheproceedsofthisAgreement;d.[Addanyotherspecificconditions,e.g.,evidenceofBuyer'sabilitytopayfortheOil].5.DrawdownPeriod:TheDrawdownPeriodshallcommenceon[StartDate]andendon[EndDate].6.Interest:InterestshallaccrueontheoutstandingCreditAmountatarateof[SpecifyRate,e.g.,LIBOR/SIBOR/SOFRplus[SpecifySpread]basis]perannum,calculateddailybasedontheoutstandingprincipalbalance.Theinterestrateshallbere-set[SpecifyFrequency,e.g.,quarterly]basedontheapplicablebenchmarkrate.7.Fees:TheBorroweragreestopaytotheLender:a.ACommitmentFeeof[SpecifyPercentage,e.g.,0.5%]perannumontheunusedportionoftheCreditAmount,calculatedandpayablemonthlyinadvance.b.AManagementFeeof[SpecifyAmountorPercentage]payable[SpecifyFrequencyandAmount].8.RepaymentSchedule:TheBorrowershallrepaytheCreditAmount,includingaccruedandunpaidinterestandfees,in[SpecifyNumber]equalmonthlyinstallmentscommencingon[StartDate]andendingon[EndDate].Eachinstallmentshallconsistofprincipalof[SpecifyAmount]andinterestof[SpecifyAmountorCalculationMethod].Theprincipalportionofeachinstallmentshallbecalculatedbasedonamortization[SpecifyMethod,e.g.,oftheoriginalCreditAmountminusfees].9.CurrencySwap(ifapplicable):Acurrencyswapagreementdated[Date]betweentheLender,theBorrower,and[SpecifyCounterparty,ifdifferent],hasbeenenteredintotomanagethecurrencyexchangeriskassociatedwiththistransaction.Thetermsoftheswapagreementareincorporatedbyreferenceherein.OilProcurementandPaymentTerms1.OilDescription:TheOilshallconformtothespecificationssetforthinScheduleAattachedhereto.TheSellershallberesponsibleforprovidingcertificatesofquality.2.ProcurementArrangement:TheBuyershallbeobligatedtoenterintoaSalesContractwiththeSellerforthepurchaseofOilinaccordancewiththetermsoutlinedinScheduleAandthisAgreement.TheLendershallhavetherighttoreviewandapprovetheSalesContractpriortoexecutionbytheBuyer.3.PriceandPricingMechanism:ThepriceoftheOilundertheSalesContractshallbedeterminedbasedontheReferencePrice,calculatedasprovidedinSection[SectionNumber].TheBuyershallpaytheSellerthepricecalculatedundertheSalesContract.4.PaymentProcedures:TheBuyershallpaytheSellerthepricedueundertheSalesContract[SpecifyPaymentMethod,e.g.,byirrevocableletterofcreditopenedwithadesignatedbank]onorbeforethe[SpecifyNumber,e.g.,10th]dayofthemonthfollowingthemonthinwhichtheOilisdelivered.TheLendershallremitthecorrespondingamountoftheCreditAmount(lessanyapplicablefeesorinterestduefromtheBorrowertotheLender)totheSeller[SpecifyPaymentMethodandTiming,e.g.,viaaseparatepaymentinstructiontotheLender'sdesignatedbank]within[SpecifyNumber]bankingdaysafterreceivingthepaymentrequestfromtheBuyerandtherelevantdocumentation.TheBuyeragreestoirrevocablyguaranteethepaymentobligationsundertheSalesContracttotheSeller.GuaranteesandCommitments1.Lender'sCommitments:a.TheLenderwarrantsithasthefullright,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.b.TheLendershallperformitsobligationshereunderwithfullknowledgeandwithoutrelianceonanyrepresentation,statement,orguarantee(whetherexpressorimplied)madebytheBorrowerortheBuyer.c.TheLendershallnotberesponsibleforanyact,omission,default,orinactionoftheBorrowerortheBuyer.2.Borrower'sCommitments:a.TheBorrowerwarrantsithasthefullright,power,andauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.b.TheBorrowerrepresentsandwarrantsthatitisnotsubjecttoanybankruptcy,insolvency,orreceivershipproceedings.c.TheBorroweragreestoprovidetheLender,uponrequest,withtrueandaccuratefinancialstatementsandotherinformationdeemednecessarybytheLender.d.TheBorrowerwilltakeallnecessaryactionsandcooperatewiththeLendertoensurethepromptperformanceofitsobligationsunderthisAgreementandtheSalesContract.e.TheBorrowerwillusetheLoanFundssolelyforthePurposeofLoan.f.TheBorrowerwillnotenterintoanytransactionortakeanyactionwhich,inthereasonableopinionoftheLender,wouldhaveanadverseeffectontheBorrower'scapacitytoperformitsobligationshereunder.3.Buyer'sCommitments(ifapplicable):a.TheBuyeragreestoexecuteandperformtheSalesContractinaccordancewithitsterms.b.TheBuyeragreestoprovidetheBorrowerandtheLenderwith[SpecifyInformation,e.g.,copiesoftheSalesContractandpaymentconfirmations].SecurityTheobligationsoftheBorrowerunderthisAgreementshallbesecuredby[SpecifySecurity,e.g.,(a)theGovernmentGuaranteereferredtoinSection[SectionNumber];and(b)afirstprioritynon-encumbrablesecurityinterestinalloftheBorrower'sassetsofanykind,whethernowexistingorhereafteracquired,includingbutnotlimitedtoitsaccountsreceivable,inventory,equipment,andrealproperty,asmorefullydescribedintheSecurityAgreementdated[Date]betweentheLenderandtheBorrower].TaxesEachPartyshallberesponsibleforpayinganytaxes,duties,orleviesimposedonitbyanygovernmentalauthorityinconnectionwithitsperformanceunderthisAgreement.TheLendershallbeentitledtorequiretheBorrowertopayorreimburseanytaxes,duties,orleviesimposedontheLenderthatarisedirectlyfromorinconnectionwiththeprovisionoftheLoanFundstotheBorrowerforthePurposeofLoan,orfromtheBuyer'spaymenttotheSellerundertheSalesContractbasedontheReferencePrice.ThepartiesagreethattheBorrowershallbeexemptfrompaymentof[SpecifyTaxes,e.g.,importduties,valueaddedtax]ontheLoanFundsreceivedandutilizedforthepurchaseofOilfromtheSellerifsuchfundsaretransferreddirectlytotheSellerorusedbytheBorrowertomakepaymentstotheSellerinaccordancewiththetermsofthisAgreementandtheSalesContract.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofSwitzerlandasamendedfromtimetotime,withoutregardtoprinciplesofconflictsoflaw.2.DisputeResolution:Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallfirstbeattemptedtobesettledamicablythroughnegotiationsbetweentheseniorrepresentativesoftheparties.Ifthedisputecannotbesettledwithin[SpecifyNumber,e.g.,thirty(30)]daysfromthetimeeitherpartyhasrequestednegotiations,thepartiesagreetosubmitthedisputetofinalandbindingarbitrationadministeredbytheInternationalChamberofCommerce(ICC)pursuanttotheRulesofProcedureforArbitrationoftheICC,in[SpecifyCity,e.g.,Paris],France.TheTribunalshallconsistof[SpecifyNumber,e.g.,three(3)]arbitrators,[Specifyhowappointed,e.g.,oneappointedbyeachpartyandthethirdappointedbytheChairmanoftheICCCourtofArbitration].ThelanguageofarbitrationshallbeEnglish.TheTribunalshallrenderitsawardinEnglish.TheTribunalshallbeboundbytheprovisionsofthisAgreementandthelawsofSwitzerland.Theawardshallbefinalandbindinguponthepartiesandshallbeenforceableinaccordancewiththelawsinforceintheterritorywhereitisrendered.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementifsuchfailureordelayiscausedbyanEventofForceMajeure,asdefinedintheattachedScheduleB,beyonditsreasonablecontrol.Thenon-affectedpartyshallpromptlynotifytheotherpartyofsuchEventandtakeallreasonablestepstomitigateitseffects.IfanEventofForceMajeurecontinuesforaperiodofmorethan[SpecifyNumber,e.g.,ninety(90)]days,eitherpartyshallhavetherighttoterminatethisAgreementbyproviding[SpecifyNumber,e.g.,thirty(30)]days'writtennoticetotheotherparty.AgreementoftheParties1.EffectiveDate:ThisAgreementshallbecomeeffectiveuponthedatefirstwrittenaboveanduponthelaterofthedatesonwhichallofthefollowingconditionsaremet:a.TheLenderhasreceivedtheGovernmentGuaranteereferredtoinSection[SectionNumber];b.TheLenderhasreceivedtheBuyer'sexecutedSalesContractinaccordancewithSection[SectionNumber];c.TheLenderhasobtained[SpecifyConditions,e.g.,internalauthorization].2.Amendment:ThisAgreementmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofboththeLenderandtheBorrower.3.EntireAgreement:ThisAgreement,includingtheattachedSchedulesandExhibits,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten.4.Assignment:TheBorrowershallnotassignortransferitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLender.TheLendermayassignitsrightsandobligationshereunderonlyinconnectionwiththesale,assignment,ortransferoftheunderlyingSalesContract.5.Severability:IfanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainingprovisionsshallremaininfullforceandeffect.6.Notices:Allnotices,requests,demands,andothercommunicationsrequiredor
