PartyBshallcontribute[PartyB’sIncreasedCapital(inwords)](e.g.,“OneMillionRenminbi”)asitsshareoftheIncreasedCapital,accountingfor[PartyB’sNewEquity%]%oftheNewRegisteredCapital.

2.3ContributionForm

TheIncreasedCapitalshallbecontributedintheformof[Cash/Kind/Technology]:

5.1ApplicationObligation

6.REPRESENTATIONS&WARRANTIES

EachPartyrepresentsandwarrantstotheother:

1.Itisalegally-establishedentitywithfullpowertoenterintoandperformthisAgreement.

2.ThisAgreement’sexecutiondoesnotviolateitsarticlesofassociationoranylaws/regulationsbindingonit.

3.Ithasobtainedallnecessaryapprovals(e.g.,shareholder,government)forthisAgreement.

7.LIABILITYFORBREACH

7.1LiquidatedDamages

IfaPartyfailstocontributecapitalasagreed,itshallpayliquidateddamagestothenon-breachingPartyatarateof[e.g.,0.05%]oftheoverdueamountperdayuntilperformance.

7.2Indemnification

ThebreachingPartyshallindemnifythenon-breachingPartyforalllosses(direct/indirect,includingattorneyfees,arbitrationfees)causedbythebreach.

8.DISPUTERESOLUTION

AnydisputearisingfromthisAgreementshallfirstberesolvedthroughamicablenegotiation.Ifnegotiationfails,eitherPartymaysubmitthedisputeto:
