2025年德国化工产品贸易合同ThisContractismadeandenteredintoon[InsertDate],in[InsertCity],Germany,byandbetween:Seller:[Seller'sFullCompanyName],acompanyincorporatedunderthelawsof[Seller'sCountry],havingitsregisteredofficeat[Seller'sFullAddress],representedby[Seller'sAuthorizedRepresentativeName],[Title]("Seller");Buyer:[Buyer'sFullCompanyName],acompanyincorporatedunderthelawsof[Buyer'sCountry],havingitsregisteredofficeat[Buyer'sFullAddress],representedby[Buyer'sAuthorizedRepresentativeName],[Title]("Buyer");(Hereinaftercollectivelyreferredtoasthe"Parties")WHEREAS,Sellerdesirestosellanddeliver,andBuyerdesirestopurchaseandreceive,certainchemicalproducts("Goods")asmorefullydescribedherein;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.DescriptionofGoods:TheGoodsbeingsoldandpurchasedunderthisContractare[InsertSpecificChemicalProductName(s)]("Goods").TheGoodsshallconformtothespecificationssetforthinExhibitAattachedheretoandforminganintegralpartofthisContract.Thespecificationsinclude,butarenotlimitedto,chemicalcomposition,purity,grade,andpackagingdetailsasdescribedinExhibitA.ThequantityoftheGoodsshallbe[InsertQuantity][InsertUnitofMeasure](the"Quantity").2.PriceandCurrency:ThepricefortheGoodsshallbe[InsertUnitPrice][InsertCurrency]per[InsertUnitofMeasure](the"UnitPrice").Thetotalprice("TotalPrice")fortheGoodsunderthisContractshallbe[InsertTotalPrice][InsertCurrency].ThepriceisfixedforthedurationofthisContractunlessotherwiseprovidedhereinorinaccordancewithanyagreedpriceadjustmentmechanism.Thecurrencyofpaymentshallbe[InsertCurrency](the"PaymentCurrency").3.TradeTerms(Incoterms):ThetradetermsgoverningthesaleanddeliveryoftheGoodsshallbe[InsertSpecificIncotermsTerm,e.g.,DDP],asdefinedinthe[InsertIncotermsVersion,e.g.,2020]editionpublishedbytheInternationalChamberofCommerce("Incoterms").Theterm[InsertIncotermsTerm]determinestherespectiveobligations,costs,andrisksofthePartieswithrespecttothedeliveryandtransferoftheGoods.4.Delivery:SellershalldelivertheGoodstoBuyerat[InsertFinalDeliveryLocationinGermany],orthecarriernominatedbyBuyeratthePortofDischargespecifiedinClause5,asapplicable.Thedeliverydateshallbebetween[InsertStartDate]and[InsertEndDate][InsertYear].TheGoodsshallbeshippedvia[InsertModeofTransport,e.g.,seafreight,multimodaltransport]fromthePortofLoadingat[InsertPortofLoading,ifapplicable]tothePortofDischargeat[InsertPortofDischarge].Thespecificvessel/modeoftransportshallbenominatedbySeller/Buyer[ChooseParty]notlaterthan[InsertDate].SellershallprovideBuyerwithacopyofthetransportdocument(s)[SpecifyDocumentType,e.g.,BillofLading,CMR]issuedinfavorofBuyer/Buyer'snominatedcarrier.5.ShipmentandInsurance:SellershalleffectshipmentoftheGoodswithinthedeliveryperiodspecifiedinClause3.SellershallnotifyBuyerinwritingoftheshipmentdetails,includingvesselname,voyagenumber,andestimatedtimeofarrivalatthedestinationport,notlaterthan[InsertNumber]dayspriortoshipment.InsuranceshallbecoveredbySellerfortheGoodsduringtransportationfromthetimetheypasstheship'srailatthePortofLoadingtothetimetheyaredeliveredtotheunloadingterminalatthePortofDischarge/oruntilfinaldeliverytoBuyerat[FinalDeliveryLocation],asapplicableunderthechosenIncotermsterm.TheinsuranceshallbearrangedwithreputableinsurersatSeller'scost.Theinsurancecoverageshallbeatleast[SpecifyInsuranceClause,e.g.,ICC(A)]withanindemnityupto110%oftheinvoicevalue.SellershallprovideBuyerwithacopyoftheinsurancepolicyuponrequest.6.ExportandImportRequirements:Sellershallberesponsibleforobtainingallnecessaryexportlicenses,permits,andapprovalsfromtheSeller'scountryfortheexportoftheGoodsunderthisContract.Buyershallberesponsibleforobtainingallnecessaryimportlicenses,permits,andapprovals,aswellasforpayingallapplicableimportduties,taxes,andfees(includingGermanVAT,currentlyatarateof[InsertCurrentVATRate]%unlessotherwiseagreed)relatedtotheimportationoftheGoodsintoGermany.SellerwarrantsthattheGoodswillnotviolateanylawsorregulationsoftheexportingorimportingcountries.7.InspectionandQualityCertificate:TheGoodsshallbemanufacturedandpackedinaccordancewiththespecificationssetforthinExhibitA.ArepresentativesampleoftheGoodsshallbetestedandinspectedby[SpecifyInspectionAuthority,e.g.,anindependentlaboratorydesignatedbyBuyer/Seller/both]at[SpecifyLocation,e.g.,Seller'sfacility/Buyer'sfacility]priortoshipment.Theinspectionauthorityshallissueaninspectionreportwithin[InsertNumber]daysaftercompletionoftheinspection.TheGoodsshallbedeemedtohavemetthecontractspecificationsiftheypasstheinspectionasperthereport.SellershallprovideBuyerwithanoriginalcertificateofquality/analysisconfirmingcompliancewiththespecificationsissuedbytheinspectionauthority/Seller,upondeliveryoftheGoods.BuyershallhavetherighttoconductafinalinspectionoftheGoodsatthedeliverylocationwithin[InsertNumber]daysafterdelivery.AnydiscrepanciesfoundmustbenotifiedtoSellerinwritingwithinthesaidperiod.IftheGoodsfailtomeetthecontractspecifications,Buyershallhavetherightto[ChooseOption:returntheGoodsandclaimarefund/requireSellertoreplacetheGoodsfreeofcharge/accepttheGoodsatadiscountedprice].8.Payment:TheTotalPriceshallbepaidbyBuyertoSellerwithin[InsertNumber,e.g.,30]daysafterthedateofSeller'spresentationoftheinvoice(s)andtherelevanttransportdocument(s)[Specifydocument(s),e.g.,BillofLadingOriginal(s)]totheBank[SpecifyBankNameandBranch],[InsertCity,Country]("PayeeBank"),by[SpecifyPaymentMethod,e.g.,irrevocableletterofcreditatsightissuedby[IssuingBankNameandBranch],[IssuingCity,Country]infavourofSeller,or100%T/Tinadvance].IfL/C,allbankingchargesoutsideGermanyshallbebornebytheIssuingBank.IfT/T,thefirstinstallmentof[InsertPercentage]%shallbepaiduponsigningthisContract,andthebalanceof[InsertPercentage]%shallbepaidbeforeshipment.Allpaymentsshallbemadein[PaymentCurrency].9.GoverningLawandDisputeResolution:ThisContractandanydisputearisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsoftheFederalRepublicofGermanywithoutregardtoitsconflictoflawprinciples.ThePartiesagreetosettleanydisputearisingoutoforinconnectionwiththisContractthrough[ChooseOption:Negotiationand/orMediation.IfNegotiation/Mediationfails,thedisputeshallbesubmittedtoArbitrationundertheRulesofArbitrationofthe[SpecifyArbitrationInstitution,e.g.,DeutscheIndustrie-undHandelskammerHamburg(DIAC)]effective[InsertDate],andthe仲裁shallbeheldin[SpecifyCity,Country].IfnoInstitutionisspecified,statethatthePartiesagreetosubmitthedisputetothecompetentcourtof[SpecifyCity,Country],Germany].ThelanguageofthisContractandanydocumentssubmittedinconnectionwiththedisputeresolutionshallbe[German/English].10.ForceMajeure:NeitherPartyshallbeliableforanyfailuretoperformitsobligationsunderthisContractifsuchfailureiscausedbyForceMajeure,definedasaneventbeyonditsreasonablecontrol,includingbutnotlimitedtowar,terrorism,riots,civilcommotion,flood,fire,earthquake,explosion,epidemicdisease,oractsofgovernment.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofForceMajeureandprovideawrittencertificatefromacompetentauthorityorareasonableexplanation.ObligationsunderthisContractshallbesuspendedduringtheperiodofForceMajeure.IftheForceMajeureconditioncontinuesformorethan[InsertNumber]days,eitherPartymayterminatethisContractwithoutliability.11.Confidentiality:EachPartyagreestokeepthetermsandconditionsofthisContract,thebusinessinformationexchangedduringnegotiationsandperformancethereof,andanyotherproprietaryinformationoftheotherPartyconfidential.Thisobligationshallnotapplytoinformationwhich:(a)isorbecomespubliclyknownwithoutbreachofthisContract,(b)waspubliclyknowntothereceivingPartypriortodisclosurebythedisclosingParty,(c)isobtainedbythereceivingPartyfromathirdpartywithoutbreachofsuchthirdparty'sobligationsofconfidentiality,or(d)isrequiredbylaworcourtordertobedisclosed.12.AmendmentandWaiver:AnyamendmentormodificationofthisContractmustbemadeinwritingandsignedbyauthorizedrepresentativesofbothParties.NowaiverbyeitherPartyofanybreachofthisContractshallbeconsideredasawaiverofanysubsequentbreach.FailureordelaybyeitherPartyinexercisinganyrightorremedyunderthisContractshallnotconstituteawaiverofsuchrightorremedy.13.EntireAgreement:ThisContract,includingExhibits,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetheroralorwritten.14.Severability:IfanyprovisionofthisContractisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,theremainingprovisionsshallremaininfullforceandeffect.15.Assignment:NeitherPartymayassignitsrightsordelegateitsobligationsunderthisContract,inwholeorinpart,withoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.16.Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedto
