员工保密协议（中文版）甲方（用人单位）：________________________统一社会信用代码：________________________地址：________________________联系方式：________________________乙方（员工）：________________________身份证号码：________________________住址：________________________联系方式：________________________鉴于乙方将入职甲方担任________________________岗位，在工作过程中可能接触、知悉甲方的商业秘密及保密信息，为保护甲方的合法权益，根据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》等相关法律法规，甲乙双方本着平等自愿、诚实信用的原则，达成如下协议，以资共同遵守：一、保密信息的定义及范围1.1本协议所称“保密信息”，是指甲方在生产经营过程中形成或获取的，不为公众所知悉、能为甲方带来经济利益、具有实用性并经甲方采取保密措施的技术信息、经营信息以及其他具有保密性质的信息。1.2技术信息包括但不限于：技术方案、技术图纸、技术数据、技术文档、软件源代码、算法、专利申请文件、研发记录、实验报告、技术诀窍等。1.3经营信息包括但不限于：客户名单、供应商信息、销售渠道、定价策略、营销方案、财务报表、成本数据、采购计划、招投标文件、商业谈判记录等。1.4其他保密信息：甲方内部管理制度、员工薪酬福利信息、未公开的重大决策、与第三方签订的保密协议及相关信息等。二、保密义务2.1乙方承诺，在任职期间及离职后______年内，对其接触、知悉的所有保密信息严格保密，不得向任何第三方泄露、披露、传播，不得为任何第三方使用或谋取利益。2.2乙方应妥善保管涉及保密信息的文件、资料、设备等，不得擅自复制、摘抄、留存或带出甲方工作场所。如需在工作中使用保密信息，应严格按照甲方的规章制度执行，确保保密信息的安全。2.3乙方在任职期间，应积极配合甲方采取的保密措施，包括但不限于遵守甲方的保密管理制度、签署相关保密文件、参加保密培训等。2.4如乙方发现保密信息可能或已经泄露，应立即采取有效措施防止泄露范围扩大，并第一时间向甲方相关负责人报告。三、保密信息的例外情形3.1法律法规或司法机关、行政机关的强制性规定要求乙方披露保密信息的，乙方应在披露前及时通知甲方，并在甲方的指导下进行披露，且仅披露符合规定的最小范围的信息。3.2甲方已经公开或可以通过公开渠道合法获取的信息，乙方无需承担保密义务。3.3乙方在未违反本协议的前提下，独立开发或获得的信息，或从第三方合法获取的、第三方有权披露的信息。四、违约责任4.1如乙方违反本协议约定，向第三方泄露、披露或使用甲方保密信息，应立即停止违约行为，并承担违约责任，向甲方支付违约金人民币______元。4.2如乙方的违约行为给甲方造成损失的，违约金不足以弥补损失的，乙方还应赔偿甲方的实际损失，包括但不限于直接经济损失、律师费、诉讼费、调查取证费等。4.3如因乙方违约导致甲方商业秘密被侵犯，甲方有权依据相关法律法规追究乙方的民事责任、行政责任，构成犯罪的，追究乙方的刑事责任。五、协议的生效与终止5.1本协议自双方签字或盖章之日起生效。5.2乙方离职后，本协议约定的保密义务仍然有效，直至保密信息成为公开信息为止。5.3本协议的终止不影响双方在本协议项下已经产生的权利义务。六、争议解决因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。七、其他7.1本协议未尽事宜，双方可另行签订补充协议，补充协议与本协议具有同等法律效力。7.2本协议一式两份，甲乙双方各执一份，具有同等法律效力。（以下无正文）甲方（盖章）：________________________法定代表人或授权代表人（签字）：________________________日期：______年______月______日乙方（签字）：________________________日期：______年______月______日

VersionPartyA(Employer):________________________UnifiedSocialCreditCode:________________________Address:________________________ContactInformation:________________________PartyB(Employee):________________________IDCardNumber:________________________ResidenceAddress:________________________ContactInformation:________________________WhereasPartyBwillbeemployedbyPartyAinthepositionof_____________,andmayhaveaccesstoandbecomeawareofPartyA'stradesecretsandconfidentialinformationinthecourseofwork.ToprotectPartyA'slegitimaterightsandinterests,inaccordancewiththeCivilCodeofthePeople'sRepublicofChina,theAnti-UnfairCompetitionLawofthePeople'sRepublicofChinaandotherrelevantlawsandregulations,bothparties,ontheprincipleofequality,voluntarinessandgoodfaith,reachthefollowingagreementtobejointlyobserved:1.DefinitionandScopeofConfidentialInformation1.1"ConfidentialInformation"asusedinthisAgreementreferstotechnicalinformation,businessinformationandotherinformationofaconfidentialnatureformedorobtainedbyPartyAinthecourseofproductionandoperation,whichisnotknowntothepublic,canbringeconomicbenefitstoPartyA,haspracticalapplicabilityandforwhichPartyAhastakenconfidentialmeasures.1.2Technicalinformationincludesbutisnotlimitedto:technicalschemes,technicaldrawings,technicaldata,technicaldocuments,softwaresourcecodes,algorithms,patentapplicationdocuments,R&Drecords,experimentalreports,technicalknow-how,etc.1.3Businessinformationincludesbutisnotlimitedto:customerlists,supplierinformation,saleschannels,pricingstrategies,marketingplans,financialstatements,costdata,procurementplans,biddingdocuments,businessnegotiationrecords,etc.1.4Otherconfidentialinformation:PartyA'sinternalmanagementsystems,employeesalaryandwelfareinformation,undisclosedmajordecisions,confidentialagreementssignedwiththirdpartiesandrelatedinformation,etc.2.ConfidentialityObligations2.1PartyBundertakesthatduringtheemploymentperiodandwithin______yearsafterresignation,itshallstrictlykeepconfidentialallconfidentialinformationithasaccessedtoorbecomeawareof,andshallnotdisclose,reveal,disseminatetoanythirdparty,oruseforanythirdpartyorseekbenefitsforanythirdparty.2.2PartyBshallproperlykeepdocuments,materials,equipmentandotheritemsinvolvingconfidentialinformation,andshallnotarbitrarilycopy,extract,retainortakethemoutofPartyA'sworkplace.Ifitisnecessarytouseconfidentialinformationinwork,itshallstrictlyimplementinaccordancewithPartyA'srulesandregulationstoensurethesecurityofconfidentialinformation.2.3Duringtheemploymentperiod,PartyBshallactivelycooperatewiththeconfidentialmeasurestakenbyPartyA,includingbutnotlimitedtocomplyingwithPartyA'sconfidentialmanagementsystems,signingrelevantconfidentialdocuments,participatinginconfidentialtraining,etc.2.4IfPartyBfindsthatconfidentialinformationmayorhasbeendisclosed,itshallimmediatelytakeeffectivemeasurestopreventtheexpansionofthedisclosurescopeandreporttotherelevantpersoninchargeofPartyAinatimelymanner.3.ExceptionstoConfidentialInformation3.1IflawsandregulationsormandatoryprovisionsofjudicialorgansoradministrativeorgansrequirePartyBtodiscloseconfidentialinformation,PartyBshallnotifyPartyAinadvancebeforedisclosure,anddiscloseinaccordancewithPartyA'sguidance,andonlydisclosetheminimumscopeofinformationthatmeetstherequirements.3.2InformationthathasbeenmadepublicbyPartyAorcanbelegallyobtainedthroughpublicchannels,PartyBhasnoobligationtokeepconfidential.3.3InformationindependentlydevelopedorobtainedbyPartyBwithoutviolatingthisAgreement,orinformationlegallyobtainedfromathirdpartythatthethirdpartyhastherighttodisclose.4.LiabilityforBreachofContract4.1IfPartyBviolatestheprovisionsofthisAgreementbydisclosing,revealingorusingPartyA'sconfidentialinformationtoathirdparty,itshallimmediatelystopthebreachofcontract,beartheliabilityforbreachofcontract,andpayPartyAaliquidateddamagesofRMB______.4.2IfthebreachofcontractbyPartyBcauseslossestoPartyA,andtheliquidateddamagesareinsufficienttocoverthelosses,PartyBshallalsocompensatePartyAfortheactuallosses,includingbutnotlimitedtodirecteconomiclosses,attorneyfees,litigationfees,investigationandevidencecollectionfees,etc.4.3IfPartyA'stradesecretsareinfringedduetoPartyB'sbreachofcontract,PartyAhastherighttopursuePartyB'scivilliabilityandadministrativeliabilityinaccordancewithrelevantlawsandregulations;ifacrimeisconstituted,PartyB'scriminalliabilityshallbepursued.5.EffectivenessandTerminationoftheAgreement5.1ThisAgreementshalltakeeffectonthedateofsignatureorsealbybothparties.5.2AfterPartyBresigns,theconfidentialityobligationsagreedinthisAgreementshallremainvaliduntiltheconfidentialinformationbecomespublicinformation.5.3TheterminationofthisAgreementshallnotaffecttherightsandobligationsalreadygeneratedbybothpartiesunderthisAgreement.6.DisputeResolutionAnydisputearisingfromorinconne
