Parties

ThisAgreementisenteredintoandmadeeffectiveasof[InsertDate],byandbetween[InsertFullLegalNameofPartyA],havingitsprincipalplaceofbusinessat[InsertAddressofPartyA]("PartyA"),and[InsertFullLegalNameofPartyB],havingitsprincipalplaceofbusinessat[InsertAddressofPartyB]("PartyB").

DefinitionsandInterpretations

ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:

1."PlantVariety".Meansavarietyofplant,otherthanabotanicalspecies,whichcanbedistinguishedfromothervarietiesbyoneormoredistinctivecharacteristicsandwhich,whenpropagated,retainssuchdistinguishingcharacteristics.

2."BredMaterial".Meanstheplantgeneticmaterial,includingseeds,seedlings,orotherplantparts,usedinthebreedingprocess.

3."Cultivation".Meanstheprocessofbreeding,improving,selecting,testing,anddemonstratingplantvarietiesorbreedingmaterials.

4."Improvement".MeanstheenhancementofthecharacteristicsoftheBredMaterial,suchasyield,diseaseresistance,adaptabilitytospecificenvironments,orqualityattributes.

5."ConfidentialInformation".Meansanynon-publicinformation,whethertangibleorintangible,disclosedbyeitherPartytotheother,includingbutnotlimitedtotechnicaldata,breedingplans,customerinformation,andbusinessstrategies.

6."IntellectualPropertyRights".Meansanyandallrights,title,andinterestinandtointellectualproperty,includingwithoutlimitationplantbreeders'rights,patents,copyrights,tradesecrets,andtrademarks.

ScopeofWork

PartyAentrustsPartyBtoundertakethefollowingcultivationtasks:

1.PartyBshallusetheprovidedBredMaterial(detailsspecifiedinExhibitAattachedhereto)tocarryoutthecultivationprojectaimingto[InsertSpecificBreedingObjective,e.g.,enhancedroughtresistanceandimproveyieldpotentialfortheXYvariety].

2.PartyBshallemployappropriatebreedingtechniques,whichmayinclude[Specifytechniques,e.g.,hybridization,marker-assistedselection,tissueculture],asdeterminedbyPartyBinconsultationwithPartyA.

3.PartyBshallprovideregularprogressreportsdetailingthebreedingactivities,selectionresults,andanychallengesencountered.Thereportsshallbesubmittedin[Specifyformat,e.g.,electronicform,quarterly]toPartyA.

4.PartyBshallconduct[Specifynumberortype,e.g.,two]cyclesoffieldtrialstoevaluatetheperformanceofthedevelopedlinesagainsttheobjectives.

5.PartyBshallselectandprovide[Specifyquantityortype,e.g.,100gramsofseeds]ofthebestperforminglinestoPartyAuponthecompletionoftheinitialcultivationphase.

6.PartyBshallmaintaindetailedrecordsofallbreedingactivities,trialresults,andselectedlines,andshallprovidetheserecordstoPartyAuponrequestoruponterminationofthisAgreement.

TermandTermination

1.ThisAgreementshallcommenceon[InsertStartDate]andshallcontinueforatermof[InsertDuration,e.g.,two]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.ThisAgreementmaybeterminatedbyeitherPartyupon[Insertnumber,e.g.,60]days'writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.

3.EitherPartymayterminatethisAgreementimmediatelyupontheoccurrenceofaneventofforcemajeure,asdefinedinthisAgreement.

4.UponterminationorexpirationofthisAgreement,PartyBshalldeliverallfinalreports,data,records,andremainingBredMaterialrelatedtothisAgreementtoPartyA.PartyBshallhavenofurtherobligationsunderthisAgreementupontermination.

PaymentTermsandConditions

1.PartyAshallpayPartyBatotalfeeof[InsertTotalAmount]fortheservicesrenderedunderthisAgreement.

2.Paymentshallbemadein[InsertCurrency,e.g.,USD]andshallbeduewithin[Insertnumber,e.g.,30]daysafterthereceiptbyPartyBofawritteninvoicefromPartyAindicatingthatthecorrespondingpaymentisdue.

3.Thepaymentscheduleshallbeasfollows:

*[Specifypercentage,e.g.,30%]ofthetotalfeeshallbepaiduponthesigningofthisAgreement.

*[Specifypercentage,e.g.,40%]shallbepaiduponthesuccessfulcompletionoftheinitialfieldtrialsandsubmissionofthefinalreportthereoftoPartyA.

*Theremaining[Specifypercentage,e.g.,30%]shallbepaidwithin[Insertnumber,e.g.,60]daysafterPartyBdeliversallfinaldeliverablestoPartyAandPartyA'sfinancialdepartmentprocessesthepayment.

4.Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim.

IntellectualPropertyRights

1.PriortothecommencementofthisAgreement,PartyAandPartyBeachholdthefollowingIntellectualPropertyRights:[DescribeexistingIPrightsofeachpartyrelatedtotheBredMaterial].

2.AllIntellectualPropertyRightsarisingfromthedevelopmentsmadebyPartyBsolelyduringthetermofthisAgreementshallbeownedbyPartyA,providedthatPartyBhasutilizedonlytheBredMaterialprovidedbyPartyAandhasnotintroducedanythird-partyIntellectualPropertyRightsintothebreedingprocess.

3.PartyBshallhavetherighttouseanyimprovedmaterialsdevelopedunderthisAgreementsolelyforthepurposeoffurtherdevelopingandmarketingproductsbasedonthosematerialsfor[Specifynumber,e.g.,three]yearsaftertheterminationofthisAgreement,providedsuchusedoesnotinfringeuponanyrightsofPartyA.

4.NeitherPartyshallassign,transfer,orlicenseanyofitsIntellectualPropertyRightsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.

Confidentiality

1.EachPartyagreestoholdinstrictconfidenceallConfidentialInformationobtainedfromtheotherPartyduringthetermofthisAgreementandforaperiodof[Insertnumber,e.g.,five]yearsthereafter.

2.EachPartyshallusetheConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylaworasnecessarytoenforcethetermsofthisAgreement.

3.UponterminationofthisAgreement,PartyBshallreturnordestroyallcopiesofConfidentialInformationbelongingtoPartyA.

LiabilityandIndemnification

1.NeitherPartyshallbeliabletotheotherPartyforanyindirect,consequential,special,orpunitivedamagesarisingoutoforinconnectionwiththisAgreement.

2.EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,liabilities,damages,andexpensesarisingfromorrelatedtothebreachofanyrepresentation,warranty,orobligationmadebysuchindemnifyingPartyunderthisAgreement.

3.EachPartyshallnotbeliableforanydelayorfailureinperformanceduetoforcemajeureevents.

QualityAssuranceandPerformanceStandards

1.Allcultivationactivitiesshallbeconductedinaccordancewithgenerallyacceptedindustrypracticesandstandards.

2.PartyBshallensurethatalltrialdataandresultsareaccuratelyrecordedandreportedtoPartyA.

3.ThefinaldeliverablesshallmeettheperformancestandardsagreeduponbybothParties,asdetailedinExhibitA.

GoverningLawandDisputeResolution

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina,withoutregardtoitsconflictoflawprinciples.

2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbefinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,ChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]inaccordancewiththeRulesofArbitrationofthe[SpecifyInstitution]forthetimebeinginforce.Theplaceofarbitrationshallbe[SpecifyCity,e.g.,Beijing],andthelanguageofarbitrationshallbe[SpecifyLanguage,e.g.,Chinese].

Miscellaneous

1.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andnegotiationsrelatingtothesubjectmatterofthisAgreement.

2.AnyamendmentormodificationofthisAgreementmustbemadeinwritingandsignedbyauthorizedrepresentativesofbothParties.
