船舶配件采购合同英文协议ThisContractismadeandenteredintoonthis______dayof__________,20__,byandbetween:[Buyer'sFullLegalName]havingitsprincipalplaceofbusinessat[Buyer'sAddress]("Buyer")and[Seller'sFullLegalName]havingitsprincipalplaceofbusinessat[Seller'sAddress]("Seller")("Parties")WHEREAS,theBuyerdesirestopurchaseandtheSellerdesirestosellcertainshipspareparts(the"Goods");NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:1.SubjectMatterTheSelleragreestosupplyandtheBuyeragreestopurchasethefollowingshipspareparts(the"Goods")pursuanttothisContract:*Description:[SpecificNameofSparePart,e.g.,MainEngineCylinderHeadGasket]*Model/Specification:[DetailedModelNumberorSpecificationReference,e.g.,TypeXYZ,conformingtoClassSocietyRulesABC]*Quantity:[SpecificQuantity,e.g.,Ten(10)pieces]*UnitofMeasure:[e.g.,Pieces]*Reference:[e.g.,AttachedScheduleA/PurchaseOrderPO-12345]ThetechnicalspecificationsfortheGoodsshallfullyconformtothedrawings,datasheets,andstandardsreferencedinScheduleAattachedheretoandforminganintegralpartofthisContract(the"TechnicalSpecifications").TheunitpricefortheGoodsis[InsertCurrency,e.g.,USD][Amount]per[UnitofMeasure,e.g.,piece].ThetotalpriceoftheGoods(the"ContractPrice")is[InsertCurrency][Amount][InsertCurrencysymbol],subjecttotermsspecifiedinSection6.2.QualityAssuranceTheGoodsshallbenew,unused,ofsuperiorquality,andfullyconformtotheTechnicalSpecificationsandapplicablequalitystandards[Specifystandards,e.g.,ABSClassApproval].TheGoodsshallbemanufacturedinaccordancewithinternationallyrecognizedgoodmanufacturingpractices.TheSellershallprovide,uponrequestandatBuyer'sexpense,allrelevantcertificatesofquality,conformity,andorigin.TheGoodsshallbewarrantedagainstdefectsinmaterialandworkmanshipforaperiodof[Number]monthsfromthedateofdeliverytotheBuyer'sdesignatedlocation(the"WarrantyPeriod").DuringtheWarrantyPeriod,theSellershall,atitsexpense,repairorreplaceanydefectiveGoodsupontheBuyer'swrittennoticeandproofofdefect.3.SupplyArrangements*DeliveryPeriod:TheSellershallarrangeforthedeliveryoftheGoodswithin[Number]daysfromthedateofreceiptbytheSelleroftheBuyer'swrittennoticeofreadinessforshipment,orwithin[Number]daysfromthedateoftheBuyer'sapprovaloftheSeller'squotation,whicheverislater(the"DeliveryPeriod").*DeliveryLocation:TheGoodsshallbedeliveredat[Buyer'sspecifiedport,shipname,orwarehouseaddress].*DeliveryMethod:Shipmentshallbemadeby[SpecifyIncoterm,e.g.,DDP][NamedPortofLoading]to[NamedPortofDestination/FinalDestinationAddress].AllcostsandchargesunderthechosenIncoterm,includingbutnotlimitedtotransportation,insurance,customsclearance,andunloadingatthedestination,shallbebornebytheSeller.*Packaging:TheGoodsshallbepackedinamannersuitableforsafetransitbysea,adequatelyprotectedagainstdampness,shock,anddamage.PackagingmaterialsshallbereusableifrequestedbytheBuyerattheBuyer'scost.4.InspectionandAcceptance*TheGoodsshallbeinspectedbytheSellerpriortoshipment,andtheSellershallberesponsibleforanydeficienciesfoundatthisstage.*TheBuyershallhavetherighttoinspecttheGoodsuponarrivalattheDeliveryLocationwithin[Number]daysafterarrival.TheBuyer'sinspectionshallbeconductedinaccordancewiththeTechnicalSpecifications.*TheBuyershallissueaninspectioncertificateconfirmingconformitywiththeContractwithin[Number]daysafterinspection.IftheGoodsfailtoconform,theBuyershallimmediatelynotifytheSellerinwritingdetailingthenon-conformities.TheSellershallhave[Number]daysfromreceiptofsuchnoticetorectifythedefectsorreplacethenon-conformingGoodsatitsownexpense.IftheSellerfailstorectifywithinthespecifiedtime,theBuyershallhavetherighttorejecttherelevantGoodsandclaimdamages.5.PaymentTermsTheContractPriceshallbepaidbytheBuyertotheSellerin[SpecifyCurrency][Amount][SpecifyCurrencysymbol]basedon[Specifymethod,e.g.,100%ofthetotalContractPrice].Paymentshallbemadeby[Specifymethod,e.g.,irrevocableLetterofCreditat100%sight]issuedandpayablein[City,Country]infavouroftheSeller.TheL/Cmustbeavailablefornegotiation[orsightpayment]notlaterthan[Dateorspecifyaftershipment].AllbankingchargesoutsidetheSeller'scountryshallbebornebytheBuyer.TheSellershallprovidetheBuyerwithaninvoiceandtherequiredshippingdocuments[asperL/Cterms]within[Number]daysaftershipment.FailuretoremitpaymentpromptlyuponpresentationofcompliantdocumentsshallentitletheSellertochargeinterestontheoverdueamountatarateof[Specifyrate,e.g.,LIBOR+1%]perannumcalculatedfromtheduedateofpayment.6.GoverningLawandDisputeResolutionThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction,e.g.,EnglandandWales]withoutregardtoitsconflictoflawprinciples.Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallbereferredtoandfinallysettledbyarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,LondonInternationalArbitrationCourt]inaccordancewiththe[SpecifyArbitrationRules,e.g.,ArbitrationRulesoftheLCIA]effectiveatthetimeofthedispute.Theplaceofarbitrationshallbe[SpecifyCity,Country].Thelanguageofthearbitrationshallbe[SpecifyLanguage,e.g.,English].ThePartiesheretoagreethattheTribunalshallrenderitsawardinwritingandshallconfirmtheawardasfinalandbindinguponbothParties.7.ForceMajeureNeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyaForceMajeureevent.AForceMajeureeventshallmeananyeventbeyondthereasonablecontroloftheaffectedParty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,strikes,fire,flood,explosion,epidemicdisease,governmentalactions(includingactsoflegislation,regulation,orpolicy),orfailureofessentialutilityservices.ThePartyaffectedbyForceMajeureshallpromptlynotifytheotherPartyinwritingofsucheventandshalltakeallreasonablestepstomitigateitseffects.TheaffectedPartyshallnotbeliableforanyfurtherdelayorfailurecausedbytheForceMajeureevent.IftheForceMajeureeventcontinuesformorethan[Number]consecutivedays,eitherPartyshallhavetherighttoterminatethisContractwithoutliability,providedpriorwrittennoticeofsuchintentionisgiventotheotherParty.8.ConfidentialityEachPartyacknowledgesthatduringthetermofthisContractandforaperiodof[Number]yearsthereafter,itmayobtainconfidentialinformationconcerningtheotherParty,itsbusiness,andthetermsofthisContract(the"ConfidentialInformation").EachPartyagreestoholdtheConfidentialInformationinstrictconfidenceandnottouseitforanypurposeotherthanfulfillingitsobligationsunderthisContract,andnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty.Thisobligationshallnotapplytoinformationwhich:(a)waspubliclyknownandmadegenerallyavailableintheParty'scountrypriortodisclosurebytheotherParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheotherPartytothepublic;(c)waslawfullyobtainedbythereceivingPartyfromathirdpartywithoutconfidentialityobligations;or(d)isindependentlydevelopedbythereceivingPartywithoutuseoforreferencetotheotherParty'sConfidentialInformation.9.IntellectualPropertyTheSellerwarrantsthatithasthefullright,power,andauthoritytomanufactureandselltheGoodsunderthisContractwithout侵犯任何第三方的知识产权.TheSellerrepresentsandwarrantsthattheGoodsdonotinfringeuponormisappropriateanyintellectualpropertyrightsofanythirdparty.TheBuyeracknowledgesthattheintellectualpropertyrightsintheGoodsremaintheexclusivepropertyoftheSeller.10.AmendmentsAnyamendmentormodificationtothisContractshallbeeffectiveonlyifmadeinwritingandsignedbyauthorizedrepresentativesofbothParties.11.EntireAgreementThisContract,includingtheSchedule(s)attachedhereto,constitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.12.SeverabilityIfanyprovisionofthisContractisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.13.AssignmentNeitherPartymayassignanyrightsordelegateanyobligationsunderthisContract,inwholeorinpart,withoutthepriorwrittenconsentoftheotherParty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.14.NoticesAllnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedgiven:(a)whendeliveredpersonally;(b)uponconfirmationofreceiptwhensentbyemail;(c)onebusinessdayafterdepositwithanationallyrecognizedovernightcourierservice;or(d)three(3)businessdaysaftermailingbyregisteredorcertifiedmail,postageprepaid,returnreceiptrequested,totheaddressessetforthaboveortosuchotheraddressaseitherPartymaydesignateinwriting.15.ForceMajeure(Reiteration)TheprovisionssetforthinSection7shallapplytot
