机电工程fidic合同纠纷案例

ThisStandardContractforMechanicalandElectricalEngineeringProjectsisbasedonFIDICConditionsofContractforConstruction(1999Edition),incorporatingConditionsofParticularApplicationagreeduponbytheParties.

ThisContractshallconsistofthefollowingdocuments,eachforminganintegralpartofthisContractintheordersetoutbelow:

1.ContractAgreement;

2.ConditionsofParticularApplication;

3.GeneralConditionsofContract(GCI);

4.ContractDocumentsspecifiedintheConditionsofParticularApplication(includingbutnotlimitedtoBillofQuantities,TechnicalSpecifications,Drawings,etc.).

1.ContractAgreement

ThisContractAgreementisenteredintoonthis______dayof______,20__,between[Owner'sFullLegalName],havingitsplaceofbusinessat[Owner'sAddress]("Owner"),and[Contractor'sFullLegalName],havingitsplaceofbusinessat[Contractor'sAddress]("Contractor").

WHEREAS,theOwnerdesirestoengagetheContractortoconstructanddelivertheWorksasdefinedherein,and

WHEREAS,theContractordesirestoaccepttheengagement;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesagreeasfollows:

1.1ThisContractshallcommenceonthedateofthesigningoftheContractAgreementbybothPartiesandshallcontinueuntilthecompletionandhandingoveroftheWorks,subjecttothetermsandconditionssetoutherein.

1.2TheContractorshallconstruct,equip,install,test,commissionanddelivertheWorksasdefinedinClause2.1inaccordancewiththeTechnicalSpecifications,DrawingsandBillofQuantitiesspecifiedintheContractDocuments.

1.3TheOwnershallhavetherighttoinspecttheWorksatanyreasonabletimeduringtheexecutionoftheWorks.

1.4TheContractorshallberesponsibleforthedesignoftheWorksunlessotherwisespecifiedintheConditionsofParticularApplication.

1.5TheContractorshallemploysuchpersonnelasitdeemsnecessarytoexecutetheWorksandshallberesponsiblefortheirconductandperformance.

1.6TheContractorshallberesponsibleforthesupervisionandcoordinationofanySubcontractorsitmayengage(seeClause16).

1.7TheContractorshallprovideandmaintainduringtheContractPeriodallnecessaryplant,materials,equipmentandlabourfortheproperexecutionandcompletionoftheWorks.

1.8TheContractorshallberesponsibleforthesafeexecutionoftheWorksandshallcomplywithallapplicablelaws,regulationsandstandards.

1.9TheContractorshallberesponsiblefortheremedyingofanydefectsintheWorkswhichshallbecomeapparentduringtheDefectsLiabilityPeriod(seeClause21).

1.10TheContractorshallberesponsibleforthepaymentofalltaxes,dutiesandleviesunlessotherwiseprovidedforintheConditionsofParticularApplication.

1.11TheContractorshallberesponsibleforinsuringtheWorks,plantandequipmentduringtheContractPeriodagainstallrisksoflossordamageasmayreasonablybeexpected.

1.12TheContractorshallbeentitledtoreceivepaymentfortheWorksfromtheOwnerinaccordancewiththetermsofthisContract.

1.13TheContractorwarrantsthatithasthefullright,powerandauthoritytoenterintothisContractandtoperformitsobligationshereunder.

1.14TheOwnerwarrantsthatithasthefullright,powerandauthoritytogranttheContractoraccesstotheSiteandtoperformitsobligationshereunder.

1.15ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandnegotiations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

2.ConditionsofParticularApplication

TheConditionsofParticularApplicationformanintegralpartofthisContractandshallbereadinconjunctionwiththeGeneralConditionsofContract.ThespecificprovisionsagreeduponbythePartiesaresetoutbelow:

2.1ScopeofWorks:[DetaileddescriptionoftheWorkstobeconstructed,equipped,installed,tested,commissionedanddelivered,includinglocation,quantities,standardsandperformancerequirements.]

2.2TechnicalSpecifications:[ReferencetothedetailedTechnicalSpecificationsformingpartoftheContractDocuments.]

2.3Drawings:[ReferencetotheDrawingsformingpartoftheContractDocuments.]

2.6CompletionDate:TheWorksshallbecompletedonorbefore______dayof______,20__,allowingforanestimatedconstructionperiodof[Number]daysfromtheCommencementDate.

2.7ContractPrice:ThetotalContractPricefortheWorksisagreedtobe[AmountinWords][AmountinFigures][Currency],subjecttoanyvariations,adjustmentsorextensionsoftimeasprovidedforinthisContract.

2.8PaymentArrangements:[Detailsofthepaymentschedule,includingprogresspayments,milestonepayments,paymentuponcompletion,retentionmoney,etc.]

2.9PriceAdjustment:[ProvisionforadjustmentoftheContractPriceinresponsetovariationsinthecostsofmaterials,labour,equipment,orothercostsasdefinedintheGeneralConditions(Clause69).]

2.10LiquidatedDamages:[Provisionforliquidateddamagesfordelayincompletion,ifapplicable(Clause14.2).]

2.11Insurance:[SpecificrequirementsforinsurancecoveragetobeprovidedbytheContractor(Clause1.9).]

2.12Subcontracting:[SpecificprovisionsregardingtheengagementofSubcontractors,includingtheirselection,approval,liabilityandpayment(Clause16).]

2.13SiteAccessandConditions:[DetailsregardingaccesstotheSite,existingconditions,accessrestrictions,etc.]

2.14SpecificRisks:[Identificationofanyspecificrisksparticulartotheprojectandtheintendedriskallocation.]

2.15DisputeResolution:[Provisionspecifyingthemethodandvenuefordisputeresolution(e.g.,arbitrationundertheArbitrationRulesofthe[InstitutionName]in[City,Country]orlitigationinthecourtsof[Jurisdiction]).]

2.16ApplicableLaw:Thelawsof[Jurisdiction]shallgoverntheinterpretationandexecutionofthisContract.

2.17OtherProvisions:[AnyotherspecificprovisionsagreeduponbytheParties.]

3.GeneralConditionsofContract(GCI)

TheGeneralConditionsofContract,publishedbytheFIDICInternationalFederationofConsultingEngineers,formanintegralpartofthisContractunlessexpresslyvariedormodifiedbytheConditionsofParticularApplication.[ThefulltextoftheGeneralConditionsofContract(1999Edition)shallapply,includingbutnotlimitedtoClauses1to71.]

4.ContractDocuments

TheContractDocumentsaretheContractAgreement,theConditionsofParticularApplication,theGeneralConditionsofContract,theContractDocumentsspecifiedintheConditionsofParticularApplication(includingbutnotlimitedtoBillofQuantities,TechnicalSpecifications,Drawings,etc.),andsuchotherdocumentsasmaybeaddedtothislistbyreferenceinanyoftheprecedingdocuments.Intheeventofanyconflictorinconsistencybetweenthedocuments,thedocumentsshallbeinterpretedinthefollowingorderofprecedence:

1.ContractAgreement;

2.ConditionsofParticularApplication;

3.GeneralConditionsofContract;

4.ContractDocumentsspecifiedintheConditionsofParticularApplication(intheorderlisted);

5.OtherContractDocuments(intheordertheyarereferenced).

5.Notices

Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonally,sentbyregisteredpost,airmailregisteredorsentbycertifiedorrecordeddeliverypost,orsentbyemail(providedtheemailisaddressedtothedesignatedemailaddressspecifiedintheContract),totheaddressspecifiedintherelevantClauseofthisContractforthepartytowhomdeliveryisintended,ortosuchotheraddressassuchpartymaydesignateinwritingbynoticetotheotherparty.

6.VariationofContract

Anyvariation,amendmentoradditiontothisContractshallonlybevalidifmadeinwritingandsignedbytheauthorizedrepresentativesofboththeOwnerandtheContractor.

7.Assignment

Neitherpartyshallassign,transferormortgage,inwholeorinpart,anyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.Anyattemptedassignmentwithoutsuchconsentshallbenullandvoid.

8.SeveranceClause

IfanyprovisionofthisContractisheldtobeinvalid,illegalorunenforceablebyacourtofcompetentjurisdiction,the
