XXV.FinalProvisions
A.SurvivalofClauses
Theagreementshouldstatethatcertainclauses,suchasconfidentialityandintellectualpropertyrights,willsurvivetheterminationorexpirationoftheagreement.
B.EntireAgreementClause(FinalReiteration)

Theagreementshouldclarifytheobligationsandrightsofthepartiesintheeventofaforcemajeureevent,includingtherighttoterminatetheagreementwithoutliabilityortherighttosuspendperformanceuntiltheforcemajeureeventhasbeenresolved.
XXIX.Non-CompeteClause(IfApplicable)
A.ScopeofNon-Compete
Iftheagreementincludesanon-competeclause,itshouldclearlydefinethescopeoftherestriction,includingtheterritory,duration,andthenatureofthecompetingactivitiesthatareprohibited.
