2026年车载转向系统测试协议PartiesClient:[ClientCompanyName],havingitsprincipalplaceofbusinessat[ClientAddress](“Client”)ServiceProvider:[ServiceProviderCompanyName],havingitsprincipalplaceofbusinessat[ServiceProviderAddress](“ServiceProvider”)RecitalsWHEREAS,Clientisengagedinthedevelopmentandmanufacturingofautomotivesteeringsystems;WHEREAS,ClientdesirestoengageServiceProvidertoperformcomprehensivetestingservicesonanewautomotivesteeringsystemintendedforthe2026modelyearvehicles;WHEREAS,ServiceProviderisequippedandexperiencedinprovidingautomotivetestingservices,includingsteeringsystemtesting;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thePartiesheretoagreeasfollows:1.SubjectMatterandRequirements1.1TestingObject:Thesubjectmatterofthisagreementisthetestingofthe[SpecificSteeringSystemModelName/Number]automotivesteeringsystem,includingbothhardwareandassociatedsoftware,developedbyClient.Thesystemisintendedforintegrationinto[SpecifyVehicleModel/Year,ifapplicable].1.2TestingPurpose:Theprimarypurposeofthetestingistoevaluatethefunctionalperformance,safety,reliability,andcomplianceoftheSteeringSystemwiththetechnicalspecificationsoutlinedinExhibitA,applicableindustrystandards(includingbutnotlimitedtoISO26262forfunctionalsafety,relevantFMVSS/ECEregulations),andClient’srequirementsforthe2026modelyear.1.3TestingScope:Thetestingshallencompass,butnotbelimitedto,thefollowingcategories:(a)FunctionalTesting:Verificationofallintendedfunctionsofthesteeringsystemundernormalandspecifiedoperationalconditions.(b)PerformanceTesting:Evaluationofkeyperformanceparametersincluding,butnotlimitedto,steeringangleresolution,steeringeffortcharacteristics(assistedandunassisted),responsetime,return-to-centerperformance,andlock-to-lockanglerange.(c)EnvironmentalTesting:Assessmentofsystemperformanceundervaryingtemperatures,humiditylevels,andvibrationconditions.(d)Durability/VibrationTesting:Evaluationofthesystem’sdurabilityundersimulatedreal-worlddrivingconditions,includingcyclictestingbasedon[SpecifyTestStandardorSpectrum,ifapplicable].(e)ElectromagneticCompatibility(EMC)Testing:VerificationofcompliancewithrelevantEMCstandards.(f)SafetyTesting:Includingfailuremodeanalysisandtestingofthefail-safestrategy,ifapplicable(e.g.,EPSsystembehaviorduringpowerloss).(g)NVH(Noise,Vibration,Harshness)Testing:Measurementandanalysisofaudiblenoiseandvibrationgeneratedduringsteeringoperations.1.4TestingBasis:ThetestingshallbeconductedinaccordancewiththeTestingPlanattachedasExhibitB,theTechnicalSpecificationDocumentattachedasExhibitA,andallreferencedstandardsandregulations.2.TestingMethodologyandEnvironment2.1TestingMethodology:ServiceProvidershallemployestablishedandindustry-acceptedtestingmethodologies.ThespecificmethodstobeusedforeachtestcategoryshallbedetailedintheTestingPlan(ExhibitB).Testingmayinclude,butnotbelimitedto,staticanddynamicbenchtestingusingacalibratedsteeringtestriganddynamictestingondesignatedprovinggroundsorpublicroadsasmutuallyagreeduponintheTestingPlan.2.2TestingEnvironment:(a)TestFacility:TestingshallbeconductedatlocationsdesignatedbyServiceProvider,whichpossessthenecessaryinfrastructure,safetymeasures,andenvironmentalcontrolcapabilitiesasspecifiedintheTestingPlan(ExhibitB).(b)Equipment:ServiceProvidershallutilizecalibratedtestequipment,measurementinstruments,anddataacquisitionsystemsmeetingorexceedingtherequirementsspecifiedintheTestingPlan(ExhibitB).ThecalibrationstatusofsuchequipmentshallbedocumentedandavailableuponClient’srequest.(c)EnvironmentalConditions:EnvironmentaltestingshallbeconductedwithinspecifiedtemperatureandhumidityrangesasdefinedintheTestingPlan(ExhibitB).(d)Safety:Alltestingactivitiesshallbeconductedinstrictaccordancewithestablishedsafetyprotocolstoprotectpersonnelandequipment.AcomprehensiveSafetyPlanshallbedevelopedbyServiceProviderandsubmittedtoClientforapprovalpriortocommencingcriticaltests.3.RightsandObligations3.1Client’sObligations:(a)ProvideServiceProviderwithallrelevanttechnicaldocumentation,designspecifications,sourcecode(ifapplicable),anddrawingsoftheSteeringSystempriortothecommencementoftesting,ensuringcompletenessandaccuracynecessaryfortestingexecution.(b)ProvidetherequirednumberofSteeringSystemprototypesorsamplesfortestingpurposesasspecifiedintheTestingPlan(ExhibitB).(c)ReviewandapprovetheTestingPlan(ExhibitB)priortoitsfinalexecutionbyServiceProvider.(d)DesignateasinglepointofcontactwithinClient’sorganizationtocoordinatethetestingactivitiesandserveastheprimaryrecipientfortestprogressreportsandcommunications.(e)ProvidenecessaryinputorclarificationfortestproceduresuponServiceProvider’srequest.(f)RemitallpaymentsdueunderthisAgreementpromptlyandinfull.(g)EnsurethattheSteeringSystem,priortotesting,conformstoapplicablesafetyregulationsandstandards.3.2ServiceProvider’sObligations:(a)ExecutethetestingservicesstrictlyinaccordancewiththeapprovedTestingPlan(ExhibitB)andtherequirementsofthisAgreement.(b)Assignqualifiedengineersandtechnicianswithappropriateexpertiseinautomotivesteeringsystemsandtestingprocedurestoperformthetestingservices.(c)ImplementandenforceallrelevantsafetyproceduresandmaintainasafetestingenvironmentasoutlinedintheSafetyPlan.(d)Accuratelyrecordallrawtestdatageneratedduringthetestingprocessusingstandardizedlogsheetsanddigitalsystems.(e)PrepareandsubmittestreportsandotherdeliverablesasspecifiedinSection7ofthisAgreement.(f)MaintaintheconfidentialityofallClientproprietaryinformationaccessedduringthetestingservices.(g)NotifyClientpromptlyintheeventofanypotentialrisks,issues,ordeviationsfromthetestingplanthatcouldimpactthetestingresultsortimeline.4.TestingProcessandScheduleManagement4.1TestingPlan:TheTestingPlanattachedasExhibitBconstitutesapartofthisAgreementandoutlinesthedetailedtestingstrategy,scope,methodology,resources,schedule,anddeliverables.BothPartiesconfirmtheiragreementwiththecontentsofExhibitB.4.2Schedule:Thescheduleforthetestingactivities,includingkeymilestonesanddeliverabledates,isoutlinedintheTestingPlan(ExhibitB).ServiceProviderisresponsibleformanagingthetestingschedule,andClientisresponsibleforprovidingnecessaryinputsandapprovalsasrequiredbytheschedule.4.3ChangeControl:AnyproposedchangestotheTestingPlan(ExhibitB)byeitherPartyshallbesubmittedinwritingtotheotherPartyatleast[Number,e.g.,30]dayspriortotheintendedimplementationdate.Anysuchchangesshallonlybeimplementeduponmutualwrittenagreement,andanyresultingcostsorscheduleadjustmentsshallbeagreeduponinwritingbybothParties.5.TestingReportandDeliverables5.1Deliverables:Uponcompletionofthetestingservices,ServiceProvidershallsubmitthefollowingdeliverablestoClient:(a)RawTestData:Acomprehensivesetoforiginaldatarecordscollectedduringalltestingactivities,formattedinamanneragreeduponwithClient(e.g.,Excel,CSV,orspecifictestmanagementsoftwareformat).(b)TestSummaryReport:Apreliminaryreportsummarizingthekeyfindings,observations,andinitialanalysisofthetestdata.(c)FinalTestReport:Adetailedfinalreportthatincludesacomprehensivepresentationoftestresults,analysisofdata,discussionofdeviationsfromspecifications,conclusionsregardingsystemperformanceandcompliance,andafinalrecommendation(e.g.,pass/failbasedonagreedcriteria).TheformatandcontentoftheFinalTestReportshallcomplywiththespecificationsoutlinedintheTestingPlan(ExhibitB).(d)ListofIssues:Adocumentedlistofanysignificantissues,anomalies,ordeviationsobservedduringtesting,alongwiththeiranalysisand,whereapplicable,recommendationsfordesignmodifications.(e)[Optional:Otherdeliverablesasmutuallyagreed,e.g.,testvideos,photos].5.2ReportStandards:TheFinalTestReportshallbeclear,concise,objective,andsupportedbytherawdata.Allcalculations,graphs,andtablesshallbeaccurateandproperlyreferenced.5.3ReportSubmission:TheFinalTestReportshallbesubmittedtoClientnolaterthanthedatespecifiedintheTestingPlan(ExhibitB).6.CostsandPayment6.1Fees:ThetotalcostforthetestingservicesprovidedunderthisAgreementshallbe[SpecifyTotalFeeAmount,e.g.,USDXXXX,ordescribecalculationbasis,e.g.,USDYYYYpertheTestingPlan(ExhibitB)].ThisfeecoversallactivitiesoutlinedintheTestingPlan(ExhibitB),includingpersonnel,equipmentusage,dataanalysis,andreportpreparation.6.2PaymentSchedule:Paymentshallbemadeasfollows:(a)InitialPayment:Anamountof[SpecifyAmount,e.g.,30%]ofthetotalfee,即[Amount],shallbedueuponexecutionofthisAgreementbybothParties.(b)ProgressPayment:Anamountof[SpecifyAmount,e.g.,50%]oftheremainingbalance,即[Amount],shallbedueuponsubmissionoftheFinalTestReporttoClient.(c)FinalPayment:Theremainingbalanceof[SpecifyAmount,e.g.,20%]ofthetotalfee,即[Amount],shallbeduewithin[Number,e.g.,30]daysafterClientissueswrittenacceptanceoftheFinalTestReport.6.3PaymentMethod:Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaimtothePartydesignatedinthisAgreementattheaddressspecifiedinSection1.Clientshallbeentitledtochargeinterestatarateof[SpecifyRate,e.g.,oneandone-halfpercentpermonth]onanylatepayment.6.4Invoices:ServiceProvidershallissueaninvoiceforeachpaymentdueunderthisAgreement,detailingtheservicesrenderedorpaymentdue.Invoicesshallbesubmitted[Number,e.g.,10]dayspriortotheduedateforeachpayment.7.TestingResultsandAcceptance7.1ResultEvaluation:TheacceptanceofthetestingresultsshallbebasedonthedatapresentedintheFinalTestReportandthecriteriaspecifiedintheTechnicalSpecificationDocument(ExhibitA)andtheapprovedTestingPlan(ExhibitB).7.2AcceptanceProcess:(a)ServiceProvidershallsubmittheFinalTestReporttothedesignatedClientrepresentativebythedatespecifiedinSection5.3.(b)ClientshallreviewtheFinalTestReportwithin[Number,e.g.,15]daysofreceiptandprovidewrittencommentsorrequestclarifications,ifany.(c)IfClientdoesnotobjecttothefindingsandconclusionsoftheFinalTestReportwithinthereviewperiod,Clientshallissueawrittenacceptanceletter,orthefailuretoobjectshallbedeemedacceptance.(d)IfClientidentifiessignificantissueswiththetestresultsorconclusions,Clientshallprovidedetailedwrittencommentswithinthereviewperiod.ServiceProvidershallhavetheopportunitytorespondtoClient’scommentsand,ifnecessary,conductadditionaltestsatServiceProvider’sexpensetoresolvetheissues.Thetestingandacceptanceprocessmayberepeateduntilanacceptableoutcomeisreached.(e)Client'sacceptancedoesnotconstituteanadmissionthatServiceProviderisfreefromliabilityforanynegligenceormisconduct.8.IntellectualPropertyRights8.1ClientIP:Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,tradesecrets,andknow-how,intheSteeringSystemandrelateddocumentationprovidedbyClientremainthesolepropertyofClient.ServiceProvideragreesnottouseClient’sIPexceptasnecessarytoperformitsobligationsunderthisAgreement.8.2ServiceProviderIP:Allintellectualpropertyrightsinthetestingmethodologies,dataanalysistechniques,andreportsdevelopedbyServiceProvidersolelyforthepurposesofthisAgreementshallremainthepropertyofServiceProvider.8.3ProprietaryInformation:BothPartiesagreetoholdinstrictconfidenceallproprietaryinformation,tradesecrets,andconfidentialdatadisclosedbytheotherPartyduringthetermofthisAgreement.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[Number,e.g.,threeorfive]yearsfromthedateoftermination.9.Confidentiality9.1EachParty(“DisclosingParty”)agreestokeepconfidential,atitssolediscretion,anyandallnon-publicinformation,data,designs,specifications,know-how,tradesecrets,businessplans,customerlists,andotherproprietaryorconfidentialmaterials(“ConfidentialInformation”)disclosedbytheotherParty(“ReceivingParty”)inconnectionwiththisAgreement.9.2TheReceivingPartyshallusetheConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreementandshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.9.3Theobligationsofconfidentialityshallnotapplytoinformationthat:(a)isorbecomespubliclyknownthroughnofaultoftheReceivingParty;(b)isindependentlydevelopedbytheReceivingPartywithoutuseoftheDisclosingParty’sConfidentialInformation;(c)isobtainedfromathirdpartywithoutbreachofsuchthirdparty’sobligationsofconfidentiality;or(d)isrequiredtobedisclosedbylaworcourtorder,providedtheReceivingPartygivestheDisclosingPartyreasonablenoticeofsuchrequirementsothattheDisclosingPartymayobtainappropriateprotectivemeasures.9.4UponterminationofthisAgreementorupontheDisclosingParty’srequest,theReceivingPartyshallreturnordestroyallcopiesoftheConfidentialInformation.9.5TheconfidentialityobligationssetforthinthisSection9shallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number,e.g.,threeorfive]yearsfromthedateoftermination.10.LiabilityandIndemnification10.1LimitationofLiability:ServiceProvider’stotalliabilityunderthisAgreementforanyclaims,damages,losses,orexpenses(includingreasonableattorneys’fees)arisingoutoforinconnectionwiththisAgreementshallbelimitedtothetotalfeespaidbyClientunderthisAgreement.Thislimitationshallnotapplytoclaimsofwillfulmisconduct,grossnegligence,ordirectdamagesresultingfromthebreachofamaterialrepresentationorwarranty.10.2ClientIndemnification:ClientshallindemnifyandholdharmlessServiceProviderfromandagainstanyandallclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfrom:(a)anyinaccuracy,omission,ormisrepresentationinthetechnicaldocumentationorspecificationsprovidedbyClient;(b)Client’suseoftheSteeringSysteminamannernotconsistentwiththeintendeddesignorspecifications;or(c)anythird-partyclaimsrelatedtotheproprietaryrightsofClient.10.3MutualIndemnification:EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,liabilities,damages,andexpenses(includingreasonableattorneys’fees)arisingoutoforresultingfromtheotherParty’sbreachofthisAgreementoritsnegligenceorwillfulmisconduct.11.ForceMajeure11.1Definition:“ForceMajeure”meansaneventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod(suchasfloods,earthquakes,hurricanes),war,terrorism,civildisturbance,bankruptcy,fire,explosion,oractsoromissionsofgovernmentalauthorities,whichpreventordelaytheperformanceofitsobligationsunderthisAgreement.11.2Notification:ThePartysufferingfromForceMajeureshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofsucheventanditsexpectedduration.ThenotifyingPartyshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureevent.11.3Effect:PerformanceoftheobligationsunderthisAgreementbytheaffectedPartyshallbesuspendedduringtheperiodofForceMajeure.UpontheterminationoftheForceMajeureevent,theaffectedPartyshallhaveanextensionoftime,equaltothedurationoftheForceMajeureevent,tofulfillitsobligations.11.4Termination:IfaForceMajeureeventcontinuesforaperiodofmorethan[Number,e.g.,90]days,eitherPartymayterminatethisAgreementbyprovidingwrittennoticetotheotherParty.NoliabilityshallarisefromtheterminationduetoForceMajeure.12.TermandTermination12.1Term:ThisAgreementshallcommenceuponthedateofexecutionbybothPartiesandshallcontinueuntilthecompletionofthetestingservicesandthefinalacceptanceoftheFinalTestReport,oruntilterminatedasprovidedherein.12.2TerminationforCause:ThisAgreementmaybeterminatedbyeitherPartyupon[Number,e.g.,30]dayswrittennoticetotheotherPartyiftheotherPartycommitsanymaterialbreachofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.12.3TerminationWithoutCause:EitherPartymayterminatethisAgreementwithoutcauseupon[Number,e.g.,30]dayswrittennoticetotheotherParty.Intheeventofterminationwithoutcause,ClientshallpayServiceProviderforalltestingservicesperformedandexpensesincurredpriortotheeffectivedateoftermination,butServiceProvidershallnotbeentitledtoanyfurtherpaymentsunderthisAgreement.12.4ConsequencesofTermination:UponterminationorexpirationofthisAgreement,bothPartiesshall:(a)ceaseallactivitiesunderthisAgreement;(b)returnordestroyallcopiesoftheotherParty’sConfidentialInformation;(c)performanypost-terminationobligations,includingpaymentofoutstandingamounts;and(d)executeanynecessarydocumentstoconfirmthetermination.13.DisputeResolution13.1Negotiation:ThePartiesagreetofirstattempttoresolveanydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementthroughgoodfaithnegotiationbetweenauthorizedrepresentativesoftheParties.13.2Mediation:Ifnegotiationfailstoresolvethedisputewithin[Number,e.g.,30]daysfromthetimethelaterPartydemandsmediation,thePartiesagreetousemediation.ThePartiesshallselectamutuallyagreed-uponmediator.Themediatorshallfacilitatenegotiationswiththeobjectiveofreachingamutuallyacceptableagreement.ThecostsofmediationshallbesharedequallybytheParties,unlessotherwiseagreed.13.3Arbitration:IfmediationisunsuccessfuloreitherPartyelectsnottomediate,thedisputeshallbesubmittedtofinalandbindingarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,AmericanArbitrationAssociation(AAA)]inaccordancewithitsthen-currentRulesforConsumerCommercialArbitration,exceptasmaybemodifiedbythePartiesinwriting.Thearbitrationshallbeheldin[SpecifyLocation,e.g.,thecitywhereClientislocatedoraneutralcity].ThePartiesagreethatthearbitrationawardshallbeenteredasajudgmentinanycourthavingjurisdictionthereof.Thecostsofarbitrationshallbedeterminedbythearbitratorandshallincludethearbitrator’sfeesandexpensesandthecostsofanyarbitrationadministrator,butshallnotincludeattorney’sfees.ThedecisionofthearbitratorshallbefinalandbindingonbothParties.14.GoverningLawandJurisdiction14.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[SpecifyState,e.g.,California]withoutregardtoitsconflictoflawprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.14.2Jurisdiction:AnylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbeinstitutedonlyinthefederalorstatecourtslocatedin[SpecifyCounty/City,e.g.,SantaClaraCounty,California],andeachPartyirrevocablyconsentstothepersonaljurisdictionandvenueofsuchcourtsandwaivesanyobjectiontotheexerciseofjurisdictionorvenuebysuchcourts.15.Miscellaneous15.1Notices:Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven:(a)whendeliveredpersonally;(b)uponconfirmatio
