2026年财务风险评估服务协议标准Parties:ThisServiceAgreement(the"Agreement")isenteredintoasof[Date],byandbetween:[FullNameofServiceProvider(Assessor/Consultant)],havingitsprincipalplaceofbusinessat[AddressofServiceProvider],("ServiceProvider"),and[FullNameofServiceAccepter(Client/AssessedEntity)],havingitsprincipalplaceofbusinessat[AddressofServiceAccepter],("ServiceAccepter").Background:ServiceAccepterdesirestoengageServiceProvidertoperformafinancialriskassessmentservices("Services")withrespecttoServiceAccepter'sfinancialsituation,andServiceProviderdesirestoperformsuchServicesforServiceAccepter.1.ServicesScopeandObjectives1.1TheprimaryobjectiveoftheServicesistoenableServiceAcceptertoidentify,analyze,andevaluatethefinancialrisksfacingitsbusinessasofaspecifiedassessmentdate(the"AssessmentDate"),whichshallbe[Date,e.g.,December31,2025],andtoproviderecommendationsformitigatingsuchrisks.1.2TheServicesshallinclude,butshallnotbelimitedto,thefollowing:a.ReviewofServiceAccepter'sfinancialstatementsfortheperiodendingontheAssessmentDateandfortheprecedingtwelve(12)months(the"AssessmentPeriod"),includingtheunderlyingassumptionsandaccountingpolicies;b.Analysisofkeyfinancialratiosandtrends;c.Identificationofsignificantfinancialrisks,including,butnotlimitedto,liquidityrisk,creditrisk,marketrisk,operationalrisk,compliancerisk,andstrategicrisk;d.Evaluationofthelikelihoodandpotentialimpactofidentifiedrisks;e.AssessmentoftheadequacyandeffectivenessofServiceAccepter'sinternalcontrolsoverfinancialreporting;f.ConductinginterviewswithrelevantpersonnelofServiceAccepter;g.Reviewingandanalyzingrelevantdocumentation,includingbusinessplans,budgets,forecasts,contracts,andlegalproceedings;h.Preparationofareportsummarizingthefindingsoftheassessmentandprovidingrecommendationsforriskmitigationstrategies(the"AssessmentReport").1.3TheServicesshallbeperformedinaccordancewithgenerallyacceptedriskassessmentprinciplesandpractices.2.ServicesProcess2.1TheServicesshallbeperformedinthree(3)phases:a.EngagementandPlanningPhase:ThisphaseshallinvolvetheexecutionofthisAgreement,initialmeetingsbetweentheparties,discussionofthescopeandobjectivesoftheServices,andthedevelopmentofadetailedworkplanbyServiceProvider.b.FieldworkPhase:Thisphaseshallinvolvetheperformanceoftheriskassessmentproceduresasoutlinedintheworkplan,includingdatacollection,analysis,interviews,andtestingofinternalcontrols.ServiceProvidershallhavetherighttoaccessallrelevantfinancialandoperationalrecordsandpersonnelofServiceAccepternecessarytoperformtheServices.c.ReportingPhase:ThisphaseshallinvolvethecompilationandfinalizationoftheAssessmentReportbasedonthefindingsofthefieldworkphase.ServiceProvidershallscheduleameetingwithServiceAcceptertodiscussthekeyfindingsandrecommendationsoftheAssessmentReport.3.ResponsibilitiesoftheParties3.1ResponsibilitiesofServiceProvider:a.ToperformtheServicesinaprofessionalandcompetentmannerconsistentwithapplicablelaws,regulations,andprofessionalstandards;b.ToapplyduediligenceandprofessionaljudgmentthroughouttheServices;c.ToassigncompetentpersonneltoperformtheServices;d.TomaintaintheconfidentialityofServiceAccepter'sinformationinaccordancewiththetermsofthisAgreement;e.TocompletetheServicesanddelivertheAssessmentReportwithinthetimeframesspecifiedinthisAgreement;f.TocoordinatewithServiceAcceptertoarrangenecessaryinterviewsandsitevisits.3.2ResponsibilitiesofServiceAccepter:a.ToprovideServiceProviderwithallnecessaryinformation,documentation,andaccesstopersonnelrequiredtoperformtheServiceswithinareasonabletimeframe;b.TodesignateasinglepointofcontactwithinitsorganizationtocoordinatewithServiceProvider;c.Toprovidetrue,accurate,andcompleteinformationandrepresentationstoServiceProvider;d.TocooperatewithServiceProviderthroughouttheServices,includingparticipatingininterviewsandprovidingnecessaryassistance;e.TopayServiceProviderthefeesfortheServicesasagreeduponinthisAgreement.4.FeesandPayment4.1ThetotalfeefortheServices(the"Fee")is[Amount][Currency](the"Fee"),payablebyServiceAcceptertoServiceProvider.4.2TheFeeshallbepaidasfollows:a.Twentypercent(20%)oftheFeeshallbedueuponexecutionofthisAgreement;b.Fiftypercent(50%)oftheremainingbalanceshallbedueuponcompletionofthefieldworkphase;c.Theremainingtwenty-fivepercent(25%)shallbedueupondeliveryofthefinalAssessmentReport.4.3Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim.4.4ServiceProvidershallbeentitledtochargeinterestonanyamountsdueunderthisAgreementatarateof[InterestRate]perannum,calculatedfromtheduedateuntilthedateofpayment.4.5Allfeesshallbequotedin[Currency]andpayableinaccordancewiththelawsofthe[Country]whereServiceProviderislocated.5.AssessmentReport5.1ServiceProvidershallprepareanddelivertheAssessmentReporttoServiceAccepterwithin[Number,e.g.,30]daysfollowingthecompletionofthefieldworkphase.5.2TheAssessmentReportshallsetforthinaclear,concise,andobjectivemannerthefindingsoftheriskassessment,includingadescriptionofthemethodologyused,thesignificantrisksidentified,ananalysisoftheirlikelihoodandpotentialimpact,andrecommendationsformitigatingsuchrisks.5.3ServiceProvidershallhavetherighttomakereasonablecopiesoftheAssessmentReportforitsownrecordsandinternaluse.6.Confidentiality6.1EachParty("DisclosingParty")shallholdinthestrictestconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherParty("ReceivingParty")inconnectionwiththeServices.Thisincludes,butisnotlimitedto,allfinancialdata,businessplans,operationalinformation,andtheAssessmentReport.6.2TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeofperformingtheServicesunderthisAgreementandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.6.3TheobligationsofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[Number,e.g.,three(3)]yearsfromthedateofdisclosure.6.4ThepartiesagreethatanyinformationdisclosedbyonepartytotheotherinconnectionwiththeServicesshallnotbeconsideredatradesecretoftheotherparty.7.TermandTermination7.1ThisAgreementshallcommenceontheEffectiveDateandcontinueforthedurationoftheServices,whichshallbecompletedwithin[Number,e.g.,90]daysfromtheEffectiveDate,orsuchotherperiodasmaybemutuallyagreeduponinwritingbytheparties.7.2ThisAgreementmaybeterminatedbyeitherpartyupon[Number,e.g.,thirty(30)]days'writtennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinthenoticeperiod.7.3UponterminationofthisAgreement,ServiceProvidershallpromptlyreturntoServiceAccepteralldocumentsandinformationbelongingtoServiceAccepter,exceptfortheAssessmentReport,whichshallremainthepropertyofServiceProvider.7.4ServiceProvidershallbeentitledtobepaidforallServicesperformeduptothedateoftermination.8.Liability8.1ServiceProvidershallnotbeliabletoServiceAccepterforanyindirect,incidental,consequential,orpunitivedamages,includinglossofprofits,lossofdata,orlossofuse,arisingoutoforinconnectionwiththisAgreement,regardlessofthelegaltheoryorbasisthereof.8.2ServiceProvider'stotalliabilityunderthisAgreementshallnotexceedtheFeepaidbyServiceAcceptertoServiceProviderfortheServices.8.3ServiceProvidershallbeliableforanydamagecausedtoServiceAccepterbyitsnegligenceorwillfulmisconduct.9.Indemnification9.1ServiceProvidershallindemnifyandholdharmlessServiceAccepterfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaimthatServiceAccepter'sinformationprovidedtoServiceProviderunderthisAgreementisinaccurateorincomplete.9.2ServiceAcceptershallindemnifyandholdharmlessServiceProviderfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithServiceProvider'sviolationofanythird-partyrights,includingintellectualpropertyrights,privacyrights,orotherlegalrights.10.GoverningLawandDisputeResolution10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthe[State/Country].10.2Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreement,includinganyquestionregardingitsexistence,validity,ortermination,shallbesubmittedtothe[ArbitrationInstituteoftheChamberofCommerceof[City],China]forarbitration(the"Arbitration")inaccordancewiththethen-currentRulesofArbitrationofthe[ArbitrationInstitute](the"Rules").Theplaceofarbitrationshallbe[City],[Country],andthelanguageofthearbitrationshallbe[Language,e.g.,Chinese].10.3TheArbitrationshallbeconductedinaccordancewiththeRules.TheTribunalshallconsistof[Number,e.g.,three(3)]arbitratorsappointedinaccordancewiththeRules.10.4Thearbitralawardshallbefinalandbindingontheparties.Thepartiesagreetoabidebythearbitralawardandshallbeentitled
