澳洲借款合同模板

THISLOANAGREEMENT("Agreement")ismadeandenteredintoasof[Day],[Month],[Year]("EffectiveDate"),byandbetween:

[FullLegalNameofLender],havingitsprincipalplaceofbusinessat[Lender'sAddress]("Lender"),and

[FullLegalNameofBorrower],havingitsprincipalplaceofbusinessat[Borrower'sAddress]("Borrower").

RECITALS

WHEREAS,LenderdesirestolendmoneytoBorrower,and

WHEREAS,BorrowerdesirestoborrowmoneyfromLender,subjecttothetermsandconditionssetforthinthisAgreement.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.LOANAMOUNT

LendershalllendtoBorrower,andBorrowershallreceivefromLender,theprincipalamountof[AmountinWords]AustralianDollars([AmountinFigures])("LoanAmount").

2.PURPOSEOFLOAN

TheLoanAmountshallbeusedsolelyforthepurposeof[Brieflydescribethepurposeoftheloan]("PurposeofLoan").

3.TERM

ThetermofthisLoanshallbe[Number][years/months],commencingontheEffectiveDateandendingon[EndDate]("Term").

4.INTEREST

InterestontheLoanAmountshallbeatarateof[Percentage]percentperannum,calculateddailybasedontheprincipalbalanceoutstanding.Theinterestrateshallbe[Fixed/Variable].IfVariable,theinterestrateshallbeadjusted[Frequency]basedon[ReferenceRate]+[Spread],effectiveonthefirstdayofeach[AdjustmentPeriod].

Allinterestshallbepayableonamonthlybasis,inadvance,onthelastdayofeachmonthduringtheTerm,togetherwithanyaccruedbutunpaidinterest.

5.FEES

BorroweragreestopaytoLenderthefollowingfees:

(a)Anarrangementfeeof[AmountinWords]AustralianDollars([AmountinFigures])upontheEffectiveDate.

(b)Anearlyrepaymentfeeequalto[Percentage]%ofany提前repaymentmadebyBorrowerbeforetheendoftheTerm,providedthattheprincipalbalanceoutstandingisreducedbyatleast[Amount].

6.REPAYMENTSCHEDULE

BorrowershallrepaytheLoanAmount,togetherwithallaccruedinterestandfees,in[Number]equalmonthlyinstallments("Installments")of[AmountinWords]AustralianDollars([AmountinFigures])each,commencingon[FirstPaymentDate]anddueonthelastdayofeachmonththereafter.EachInstallmentshallinclude[PrincipalAmount/InterestOnly].

7.PAYMENTMETHOD

AllpaymentsunderthisAgreementshallbemadebybanktransfertoLender'saccountnumber[AccountNumber]at[BankName],branch[BranchAddress].

8.GENDER

WhereverthemasculinegenderisusedinthisAgreement,itshallincludethefeminineandneutergenders,andwhereverthefemininegenderisused,itshallincludethemasculineandneutergenders.

9.GOVERNINGLAW

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[StateName],Australia.

10.DISPUTERESOLUTION

Anydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallbefinallysettledbyarbitrationadministeredbytheAustralianInternationalArbitrationCentre(AIA)undertheArbitrationRulesoftheAIA,effectiveasofthedateofinstitution.Theplaceofarbitrationshallbe[City,State],Australia.ThelanguageofthearbitrationshallbeEnglish.

11.NOTICES

Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgiven(a)whendeliveredpersonally,(b)upontransmissionconfirmationifsentbyemail,(c)one(1)businessdayafterdepositwithanationallyrecognizedovernightcourierservice,or(d)three(3)businessdaysaftermailingbyregisteredorcertifiedmail,returnreceiptrequested,totheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.

12.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweentheparties.

13.SEVERABILITY

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceablebyacourtofcompetentjurisdiction,suchprovisionshallbeeliminatedorlimitedtotheminimumextentsuchthattheremainingprovisionsoftheAgreementwillcontinueinfullforceandeffect.

14.ENFORCEMENT

ThisAgreementconstitutesasecurityagreementforthepaymentoftheLoanAmount.IntheeventofBorrower'sdefaultinperforminganyobligationhereunder,LendershallbeentitledtoexercisealloranyoftherightsandremediesavailableunderthisAgreementandunderthelawsofAustralia,including,butnotlimitedto,acceleratingtheentireoutstandingbalanceoftheLoan,declaringtheentireLoanimmediatelydueandpayable,andtakingpossessionof,selling,orleasingthecollateral(ifany).

15.WAIVER

NowaiverbyLenderofanybreachbyBorrowershallbedeemedawaiverofanysubsequentbreach.AnydelayorfailurebyLenderinexercisinganyrightorremedyhereundershallnotconstituteawaiverofsuchrightorremedy.

16.ASSIGNMENT

BorrowermaynotassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLender.LendermayassignitsrightsunderthisAgreementwithouttheconsentofBorrower.

17.SUCCESSORSANDASSIGNS

ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesandtheirrespectiveheirs,executors,administrators,successors,andpermittedassigns.

18.AMENDMENTS

ThisAgreementmayonlybeamendedormodifiedinwritingandsignedbyauthorizedrepresentativesofbothparties.

19.NOTICESOFDEFAULT

LendershallgiveBorrowerone(1)writtennoticeofdefau
