航空发动机维修服务合同（2026年）ThisContractisenteredintoasof[EffectiveDate],byandbetween[ClientName],havingitsprincipalplaceofbusinessat[ClientAddress]("Client"),and[ServiceProviderName],havingitsprincipalplaceofbusinessat[ServiceProviderAddress]("ServiceProvider").1.ScopeofWorkandSubjects1.1.TheServiceProvidershallprovidemaintenance,repair,andoverhaul("MRO")services,includingbutnotlimitedtoperiodicinspections,repairs,overhauls,Non-DestructiveTesting("NDT"),performancetesting,anddocumentationrelatedtothefollowingaircraftengines("Engines"):*EngineModel:[EngineModel1],SerialNumbers/RegistrationNumbers:[List]*EngineModel:[EngineModel2],SerialNumbers/RegistrationNumbers:[List]*[Addadditionalenginemodelsandidentifiersasapplicable]1.2.TheservicesshallbeperformedattheServiceProvider'sfacilitylocatedat[ServiceProviderMROLocation]inaccordancewiththeapplicableAirworthinessRegulations(including,butnotlimitedto,ICAOAnnex14,FAAParts21,43,65,EASAPartM,CS-21,CM-E,andCAACCAAC-12166AR-02),thepublishedmaintenancemanualsandapproveddataprovidedbytheEngines'OriginalEquipmentManufacturer(s)("OEM"),andthisContract.1.3.ThespecifictasksandmethodologyforeachserviceshallbedetailedintheWorkOrdersissuedbyClientoritsdesignatedrepresentative,subjecttothegeneralstandardsandproceduresoutlinedinthisContractandtheOEMinstructions.2.MaintenanceStandardsandProcedures2.1.ServiceProviderrepresentsandwarrantsthatitwillperformallservicesinaccordancewiththehighestindustrystandardsandallapplicablelegal,regulatory,andOEMrequirements.2.2.ServiceProvidershallutilizeonlycurrent,approveddata,publications,andproceduresprovidedbytheOEMsorderivedtherefrom,asrequiredbytheapplicableAirworthinessRegulationsandOEMagreements.2.3.ServiceProvidershallmaintaineffectiveQualityControlandAssurancesystems,certifiedtoatleastISO9001:2015orequivalent,andshallbesubjecttoauditsbyClientoritsauthorizedrepresentatives.2.4.ServiceProvidershallmaintainandoperateaneffectiveSafetyManagementSystem("SMS")compliantwithapplicableregulatoryrequirements(e.g.,ICAOSAR-Annex31,FAAPart5,EASAPart-CASR12149,CAACCCAR-12149)andshallcoordinatesafetyactivitieswithClient.3.Costs,PricingandPayment3.1.Thefeesfortheservicesshallbebasedonthefollowingstructure:[Specifystructure,e.g.,"Afixedfeeof[Amount]USDforServicePackage[PackageName],subjecttoadjustmentsunderSection3.6",or"ATimeandMaterialrateof[Rate]USDperapprovedmaintenanceman-hourforalltasksoutlinedinWorkOrders,plusthecostofgenuinepartsandmaterialssuppliedbyServiceProvideratprevailingprices",orahybridmodel].3.2.AllcostsincurredbyServiceProviderinconnectionwiththeperformanceofthisContract,includingbutnotlimitedtolabor,genuineparts,Consumables,toolingandequipmentrental,testingequipmentrental,transportation,andoverhead,shallbebilledtoClient,unlessotherwisespecifiedinaspecificWorkOrderoragreedinwritingbyClient'sauthorizedrepresentative.3.3.PricesmaybeadjustedbasedonchangesinmutuallyagreedexchangeratesforpaymentsmadeoutsidetheEuropeanUnion,significantfluctuationsintheglobalmarketpricesofkeyrawmaterialsdirectlyimpactingthecostofenginepartsorservices,ormandatorychangesinapplicablelaws,regulations,orfeesmandatedbyregulatoryauthorities,asspecifiedinSection3.6.3.4.ServiceProvidershallissueinvoiceswithin[Number,e.g.,15]daysfollowingthecompletionoftheworkspecifiedinaWorkOrderortheagreeddeliverydateforoverhaulservices.Invoicesshallbeintheformatmutuallyagreeduponbybothpartiesandshalldetailtheservicesperformed,quantities,rates,costs,andanyapplicableadjustments.3.5.Clientshallpaytheinvoiceswithin[Number,e.g.,60]daysfromthedateofinvoice,unlessotherwiseagreedinwriting.PaymentshallbemadebybanktransfertothebankaccountofServiceProviderspecifiedinthisContract.3.6.Interestshallaccrueonanyoverduepaymentsatarateof[Percentage,e.g.,1.5]%perannum,calculatedfromtheduedateuntilthedateofactualpayment.3.7.ServiceProvidermayrequireanPerformanceSecurity(PerformanceBond)intheamountof[Percentage,e.g.,10]%oftheestimatedtotalvalueoftheContract,oraRetentionRetainerof[Percentage,e.g.,10]%ofthevalueofindividualWorkOrders,asdeterminedbyClient,tobeprovidedbyServiceProviderpriortocommencingcertaintypesofworkoruponexecutionofthisContract,asmutuallyagreed.ThesecurityshallbeintheformofabankguaranteeacceptabletoClient.4.Client'sObligations4.1.ClientshallprovidetheEnginesformaintenanceinaconditionsuitableforwork,andshallmakeavailableallnecessarytechnicaldata,manuals,anddocumentationrelatedtotheEngines.4.2.ClientshallensurethattheEnginescomplywithallapplicableairworthinessrequirementspriortodeliverytoServiceProvider.4.3.ClientshalldesignateasinglepointofcontactandprovidenecessarycoordinationsupporttofacilitatetheperformanceofservicesbyServiceProvider.4.4.ClientshallprovideServiceProviderwithreasonableaccesstotheServiceProvider'sfacilityandnecessarysupportareasrequiredforthemaintenanceactivities.4.5.Clientshallpayallinvoiceswithinthespecifiedpaymentterms.4.6.Clientshallprovideanynecessaryauthorizations,approvals,ordocumentationrequiredbyServiceProviderorbytheapplicableAirworthinessAuthoritiestocompletemaintenanceandobtaincertifications.5.ServiceProvider'sObligations5.1.ServiceProvidershallperformallserviceswithdiligence,skill,andcare,inaccordancewiththetermsofthisContract,applicableregulations,OEMinstructions,andapproveddata.5.2.ServiceProvidershallemployonlyqualifiedandcertificatedpersonnelandmaintainadequatefacilities,equipment,andtoolsnecessarytoperformtheservices.5.3.ServiceProvidershallmaintaincompleteandaccuraterecordsofallmaintenanceperformed,includingworkdone,partsused,personnelinvolved,andtestresults,inaccordancewithapplicableregulationsandOEMrequirements.Clientshallhavetherighttoaccesstheserecordsduringandaftertheperformanceofservices.5.4.ServiceProvidershallensurethesafetyofitspersonnelandthepublicthroughoutthemaintenanceoperations.5.5.ServiceProvidershallnotifyClientpromptlyinwritingifitanticipatesanysignificantdelaysinthecompletionofmaintenanceoranyunforeseenissuesthatcouldimpactairworthinessortheagreedschedule.5.6.ServiceProvidershalldelivertheEnginestoClientinthecompletedandairworthycondition,followingthesuccessfulcompletionofallagreed-uponmaintenancetasksandtests.6.DeliveryandAcceptance6.1.ClientshallarrangeforthedeliveryoftheEnginestotheServiceProvider'sfacilityat[ServiceProviderAddress]atitsownexpense,ensuringcompliancewithalltransportregulations.6.2.ServiceProvidershallnotifyClientofitsreadinesstoaccepttheEnginesformaintenanceviawrittennotice.6.3.Uponcompletionofthemaintenancework,ServiceProvidershallnotifyClientandshalldelivertheEngines,allcompletedmaintenancerecords,documentation,andcertificatestoClientoritsdesignatedrepresentative.6.4.Clientshallconductanacceptancereviewwithin[Number,e.g.,30]daysofreceiptofthecompletedwork.AcceptanceshallbebasedonthesuccessfulcompletionofalltasksspecifiedintheWorkOrder(s),compliancewithapplicableregulationsandOEMstandards,andtheverificationofallrecordsanddocumentation.Anydiscrepanciesornon-conformitiesshallbereportedinwritingtoServiceProviderwithinthisperiod.6.5.ServiceProvidershallrectifyanydefectsornon-conformitiesidentifiedduringtheacceptancereviewwithinareasonabletimeframe,asagreeduponbybothparties.7.Inspection,TestingandAirworthinessCertification7.1.ServiceProvidershallperformallrequiredinspections(openinginspections,intermediateinspections,finalinspections)inaccordancewiththeapplicableregulationsandOEMinstructions.7.2.ServiceProvidershallconductallrequiredperformanceandfunctionaltestsinaccordancewiththeapplicableregulationsandOEMprocedures.7.3.ServiceProviderisresponsibleforcompletingallmaintenancetasksrequiredtorestoreormaintaintheairworthinessoftheEnginesandforobtainingallnecessaryAirworthinessCertificates,Approvals,orSupplementsfromtheapplicableRegulatoryAuthorities.ServiceProvidershallprovideClientwithcopiesofallsuchcertificatesuponissuance.ClientshallprovideanynecessarysupportordocumentationasrequiredbyServiceProviderortheRegulatoryAuthoritiestoobtainthesecertifications.8.DataUsageandManagement8.1.Bothpartiesrecognizetheimportanceofdatageneratedduringthemaintenanceactivities,particularlyEngineHealthMonitoring("EHM")dataandperformancedata.8.2.ClientshallretainownershipofdatadirectlyrelatedtoitsEnginesandthemaintenanceperformedthereon.8.3.ServiceProvidershallcollect,process,store,andtransmitdatageneratedduringmaintenanceactivitiesonlyforthepurposeofprovidingtheagreed-uponservices,improvingitsoperations,andfulfillingitscontractualobligations.8.4.ServiceProvidershallimplementrobustdatasecuritymeasures,includingencryption,accesscontrols,andregularsecurityaudits,toprotectallClientdatafromunauthorizedaccess,disclosure,alteration,ordestruction.ServiceProvidershallcomplywithallapplicabledataprotectionlawsandregulations(e.g.,GDPR,CCPA).8.5.ServiceProvidershallsharedatawithClientasagreedinwriting,specificallyforpurposessuchasEHManalysis,performancemonitoring,andfuturemaintenanceplanning,subjecttoconfidentialityobligations.Clientshallhaveaccesstoitsrelevantenginedatathroughmutuallyagreedsecurechannels.8.6.ServiceProvidershallensuretheconfidentialityofalldatasharedbyClientandshallnotusesuchdataforanypurposeotherthanperformingservicesunderthisContract,exceptasrequiredbylaworcourtorderwithpriornoticetoClient.9.IntellectualPropertyRights9.1.Clientretainsallintellectualpropertyrightsinitsproprietarydata,designs,andmaterialsprovidedtoServiceProvider.9.2.ServiceProviderretainsitsintellectualpropertyrightsinitsmaintenancemethods,tools,equipment,andsoftware,exceptasmaybenecessarytoperformitsobligationsunderthisContract.9.3.Neitherpartyshallmanufacture,distribute,orsellanyproductsorservicesderivedfromtheotherparty'sintellectualpropertywithouttheotherparty'spriorwrittenconsent.UseofOEMdataisgovernedbythespecificagreementsbetweenServiceProviderandtheOEMs.10.Confidentiality10.1.Eachparty("DisclosingParty")agreestoholdinstrictconfidenceallnon-publicinformation("ConfidentialInformation")disclosedbytheotherparty("ReceivingParty")duringthetermofthisContractandforaperiodof[Number,e.g.,5]yearsthereafter.10.2.ConfidentialInformationincludes,butisnotlimitedto,businessplans,financialdata,technicalinformation,maintenanceprocedures,pricing,customerlists,andEHMdata.10.3.TheReceivingPartyshalluseConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisContractandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty,exceptasrequiredbylaw,regulation,orcourtorder,inwhichcasetheReceivingPartyshallprovidereasonablenoticetotheDisclosingParty.10.4.Thisconfidentialityobligationshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailablepriortodisclosurebytheReceivingParty;(b)becomespubliclyknownafterdisclosurebytheReceivingPartythroughnoactionorinactionoftheReceivingParty;(c)isindependentlydevelopedbytheReceivingPartywithoutuseoftheDisclosingParty'sConfidentialInformation;or(d)isobtainedfromathirdpartywhoisnotunderaconfidentialityobligationtotheDisclosingParty.11.LiabilityandIndemnification11.1.ServiceProvider'stotalliabilityunderthisContractforanyclaims,damages,losses,orexpenses(includingbutnotlimitedtoconsequential,indirect,orpunitivedamages)arisingoutoforinconnectionwiththisContractshallbelimitedto[Specifylimit,e.g.,thetotalvalueoftheContract,oraspecificamountperEngineperyear].11.2.Thislimitationofliabilityshallnotapplytoclaimsresultingfrom:*ServiceProvider'sgrossnegligenceorwillfulmisconduct;*Breachofanyrepresentation,warranty,orundertakingmadebyServiceProviderinthisContract;*DamagetotheEnginesoranythirdpartypropertycausedbyServiceProvider'sfailuretocomplywithapplicableairworthinessregulationsorOEMinstructions;*DeathorpersonalinjurycausedbyServiceProvider'snegligence.11.3.ClientshallindemnifyandholdharmlessServiceProvider,itsaffiliates,officers,directors,employees,andagentsfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfrom:*Client'sbreachofanyrepresentation,warranty,orobligationunderthisContract;*Clientprovidingfalse,misleading,orincompleteinformationtoServiceProvider;*ActsoromissionsofClientoritsemployees,agents,orcontractors;*AnyuseoftheEnginesorparts维修edbyServiceProviderthatisnotincompliancewithapplicableregulationsorOEMinstructions,unlesssuchnon-complianceiscausedbyServiceProvider'snegligenceorwillfulmisconduct.11.4.Eachpartyshallindemnifytheotherforanyclaims,losses,damages,liabilities,costs,andexpensesincurredbytheindemnifiedpartyasaresultoftheindemnifyingparty'sviolationofthisindemnityobligation.12.ForceMajeure12.1."ForceMajeure"meansaneventbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod(suchasfire,flood,storm,earthquake),war,terrorism,insurrection,civilcommotion,bankruptcyorinsolvencyofasupplierorcustomer,actsoromissionsofgovernmentalauthorities,orpandemicsandrelatedgovernmentrestrictions.12.2.IfapartyispreventedordelayedinperformingitsobligationsunderthisContractduetoForceMajeure,itshallnotifytheotherpartyinwritingwithin[Number,e.g.,5]businessdaysaftertheeventoccurs,providingdetailsoftheeventanditsexpectedduration.12.3.TheaffectedpartyshallusereasonableeffortstomitigatetheeffectsofForceMajeure.NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsduetoForceMajeure,butshallnotifytheotherpartyiftheeventislikelytocontinueforanextendedperiod(exceeding[Number,e.g.,90]days),inwhichcaseeitherpartymayterminatethisContractwithoutliability.13.GoverningLawandDisputeResolution13.1.ThisContractandanydisputesarisingoutoforinconnectionwithitshallbegovernedbyandconstruedinaccordancewiththelawsofthe[SpecifyJurisdiction,e.g.,StateofNewYork]withoutregardtoitsconflictoflawsprinciples.13.2.Anydispute,controversy,orclaimarisingoutoforrelatingtothisContract,includinganyquestionregardingitsexistence,validity,ortermination,shallfirstbeattemptedtoberesolvedthroughgoodfaithnegotiationbetweentheauthorizedrepresentativesoftheparties.13.3.Ifthedisputecannotberesolvedbynegotiationwithin[Number,e.g.,30]daysfromtheinitiationofnegotiations,thepartiesshallmutuallyagreetosubmitthedisputetofinalandbindingarbitrationadministeredbythe[SpecifyArbitrationInstitution,e.g.,InternationalChamberofCommerce("ICC")]inaccordancewiththe[SpecifyArbitrationRules,e.g.,ICCRulesofArbitration]ineffectatthetimeofsubmission.Theseatofarbitrationshallbe[SpecifyCity,e.g.,Paris,France].The仲裁裁决shallbefinalandbindingonbothpartiesandshallbeenforceableinaccordancewiththelawsoftheplacewhereitisrendered.14.Notices14.1.Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:*(a)Whendeliveredpersonally;*(b)Onebusinessdayafterdepositwithanationallyrecognizedovernightcourierservice;or*(c)ThreebusinessdaysafterdepositwiththeUnitedStatesPostalServiceoritsequivalentforfirst-classorregisteredmail,returnreceiptrequested,postageprepaid.14.2.NoticesshallbeaddressedtothepartiesattheaddressessetforthinSection1oratsuchotheraddressoraddressesaseitherpartymaydesignateinwritingtotheotherparty.15.AmendmentsandEntireAgreement15.1.Noamendment,modification,orwaiverofanyprovisionofthisContractshallbeeffectiveunlessitisinwritingandsignedbyanauthorizedrepresentativeofbothClientandServiceProvider.15.2.ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,understandings,anddiscussi
