Thisagreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.

**X.Definitions**

Forthepurposesofthisagreement,thefollowingtermsshallhavethefollowingmeanings:

1.**“Payment”**:ReferstothetransferoffundsfromthePayingPartytothePayeeonbehalfofthePrincipalParty.

2.**“Dispute”**:Includesanycontroversy,claim,ordifferencebetweentheparties,whetheroflegalorfactualnature,arisingoutoforrelatingtothisagreement.

3.**“ConfidentialInformation”**:Includesallnon-publicinformation,includingbutnotlimitedtofinancialdata,businessstrategies,andcustomerinformation,thatisdisclosedtoonepartybytheotherparty.

**XI.ForceMajeure**

Neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisagreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,orgovernmentalactions.

**XII.Assignment**

Thisagreementmaynotbeassignedbyanypartywithoutthepriorwrittenconsentoftheotherparty,exceptthatthePayingPartymayassignthisagreementtoanysuccessorininterestinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.

**XIII.Waiver**

Thefailureofeitherpartytoexerciseanyrightprovidedforinthisagreementshallnotbedeemedawaiverofthatright.

**XIV.Severability**

Ifanyprovisionofthisagreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.

**XV.Execution**

ThisagreementshallbeexecutedinaccordancewiththelawsofthejurisdictionspecifiedbythePrincipalParty.Theagreementshallbedeemedexecutedwhenthelastofthepartiestobeboundhasexecutedandreturnedtheexecutedagreementtotheotherparties.

**XVI.CompliancewithLaws**

Thepartiesagreetocomplywithallapplicablelaws,regulations,andrulesintheperformanceoftheirobligationsunderthisagreement.

**XVII.Counterparts**

Thisagreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

**XVIII.NotarialCertificate**

Thepartiesmay,attheiroption,requirethatthisagreementbenotarized.Insuchcase,thenotarialcertificateshallbeattachedheretoasanexhibit.

**XIX.Headings**

Theheadingsinthisagreementareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofanyoftheprovisionshereof.

**XX.EntireAgreement**

Thisagreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.

**XXI.Execution**

**XXIII.Publicity**

Anyamendmenttothisagreementmustbemadeinwritingandsignedbyallparties.Nooralamendmentormodificationofthisagreementshallbebindingonanyparty.

**XXV.Language**

ThepartieshavereviewedthisagreementandconfirmthatitisdraftedintheEnglishlanguage.IntheeventofanydiscrepancybetweentheEnglishversionandanytranslation,theEnglishversionshallgovern.

**XXVI.JurisdictionandGoverningLaw**

ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedbythePrincipalParty.Anydisputesarisingoutoforinconnectionwiththisagreementshallbesubjecttotheexclusivejurisdictionofthecourtsofthatjurisdiction.

**XXVII.AcceptanceofTerms**

Thepartiesacknowledgethattheyhaveread,understood,andagreedtothetermsandconditionsofthisagreement.Thisagreementrepresentstheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal.

**XXIX.CompliancewithLawsandRegulations**

Thepartiesagreetocomplywithallapplicablelaws,rules,regulations,andstandardsintheperformanceoftheirobligationsunderthisagreement.Thisincludes,butisnotlimitedto,financialregulations,taxlaws,andexportcontrollaws.

**XXX.Non-Solicitation**

Duringthetermofthisagreementandforaperiodofone(1)yearfollowingtheterminationorexpirationofthisagreement,neitherpartyshallsolicitorattempttosolicitanyemployees,agents,orconsultantsoftheotherpartyforemploymentorengagementinanycapacitywithoutthepriorwrittenconsentoftheotherparty.

**XXXI.IndependentContractorStatus**

ThepartiesagreethatthePayingPartyisanindependentcontractorandnotanemployeeofthePrincipalPartyorthePayee.ThePayingPartyissolelyresponsiblefortheperformanceoftheirservicesandforanytaxes,insurance,andotherliabilitiesassociatedwiththeirwork.

**XXXII.NoAgencyRelationship**

Nothinginthisagreementshallbeconstruedtocreateanagency,partnership,orjointventurebetweentheparties.Eachpartyshallactindependentlyandsolelyintheirowninterestinrelationtotheotherparty.

**XXXIII.WaiverofBreach**

Thefailureofeitherpartytoenforceanyprovisionofthisagreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofthepartytoenforcesuchprovision.

**XXXIV.SurvivalofObligations**

Theobligationsofthepartiesunderthisagreementshallsurvivetheterminationorexpirationofthisagreementforsuchperiodasmaybenecessarytopermittheperformanceofallsuchobligations.

**XXXV.EntireAgreement**

Thisagreementcontainstheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.

**XXXVI.Execution**

Thisagreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

Amendmentstothisagreementmustbemadeinwritingandexecutedbyallparties.Nooralamendmentormodificationofthisagreementshallbebindingonanyparty.

**XL.FinalProvisions**

-Thisagreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

-Thisagreementmaybeexecutedsimultaneouslyintwoormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.

-Thepartiesherebyacknowledgethattheyhavehadtheopportunitytoreviewthisagreementandthattheyhavehadtheopportunitytoconsultwithlegalcounselregardingthisagreement.

**XLIII.NoticeofAmendments**

**XLIV.AssignmentofRightsandObligations**

Thepartiesagreethatanyassignmentoftheirrightsorobligationsunderthisagreementmustbeinwritingandshallnotbeeffectivewithoutthepriorwrittenconsentoftheotherparty,exceptthatthePayingPartymayassignthisagreementtoasuccessorininterestinconnectionwithamerger,acquisition,orsaleofallorsubstantiallyallofitsassets.

**XLV.Third-PartyBeneficiaries**

Thisagreementisnotintendedtoconferanyrightsorremediesuponanypersonorentityotherthanthepartiestothisagreement,andnothinginthisagreementshallbeconstruedtoconfersuchrightsorremediesuponanythirdparty.

**XLVI.GoverningLanguage**

ThegoverninglanguageofthisagreementisEnglish.IntheeventofanydiscrepancybetweentheEnglishversionandanytranslation,theEnglishversionshallprevail.

**XLVII.EntireAgreement**

Thisagreement,includingtheexhibitsattachedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisagreement.
