ThisEnglishTranslationServiceContractAgreement(the“Agreement”)ismadeandenteredintoasof[Date]byandbetweenthefollowingparties:

1.ScopeofServices

1.1TheTranslator/TranslationAgency(hereinafterreferredtoas“Translator”)agreestoprovidetranslationservicestotheClient.Thespecificscopeofservicesincludes,butisnotlimitedto,thetranslationof[describethetypesofdocuments,e.g.,businesscontracts,technicalmanuals,marketingmaterials,etc.]from[SourceLanguage]to[TargetLanguage].

1.2TheClientshallprovidetheTranslatorwithallnecessarymaterialsfortranslation,includingbutnotlimitedtotheoriginaldocuments,relevantglossaries,styleguides,andanyotherinformationthatmayassisttheTranslatorinaccuratelycompletingthetranslation.

1.3TheTranslatorshallreviewtheprovidedmaterialsand,ifnecessary,requestadditionalclarificationorinformationfromtheClienttoensuretheaccuracyandqualityofthetranslation.

2.QualityStandards

2.1TheTranslatorshallperformthetranslationservicesinaccordancewithindustry-recognizedstandardsofquality.Thetranslationshallbeaccurate,clear,andconsistentwiththestyleandtoneoftheoriginaldocument.

2.2TheTranslatorshallensurethatalltranslationsarefreefromgrammatical,spelling,andpunctuationerrors.Thetranslatedtextshallbeidiomaticandappropriatefortheintendedaudienceandpurpose.

2.3Incaseoftechnicalorspecializedterms,theTranslatorshallusethecorrectterminologyaspertheClient-providedglossaryorindustry-acceptedstandards.Ifnospecificglossaryisprovided,theTranslatorshallconsultwiththeClienttodeterminetheappropriateterms.

3.Delivery

3.1TheTranslatorshalldeliverthecompletedtranslationtotheClientby[DeliveryDate].Iftheprojectisdividedintomultipleparts,theTranslatorshallprovideadetailedscheduleofdeliveryforeachpartatthebeginningoftheproject.

3.2ThedeliveryshallbemadeintheformatspecifiedbytheClient,suchaselectronicfiles(e.g.,PDF,Word,Excel)orprintedcopies.Ifelectronicfilesareprovided,theTranslatorshallensurethatthefilesarevirus-freeandcompatiblewiththeClient’ssoftwaresystems.

3.3Incaseofanydelayindelivery,theTranslatorshallnotifytheClientinwritingassoonaspossible,statingthereasonsforthedelayandtheexpectednewdeliverydate.TheClientreservestherighttoterminatetheAgreementifthedelayexceeds[X]dayswithoutreasonablecause.

4.PaymentTerms

4.1Thetotalfeeforthetranslationservicesshallbe[TotalAmount]in[Currency].Thefeeiscalculatedbasedon[specifythecalculationmethod,e.g.,wordcount,pagecount,orproject-based].

4.2TheClientshallpaytheTranslatorinthefollowinginstallments:

-[Percentage]ofthetotalfeeshallbepaidasadepositwithin[X]daysafterthesigningofthisAgreement.

-Theremaining[Percentage]ofthetotalfeeshallbepaidwithin[X]daysaftertheClient’sacceptanceofthecompletedtranslation.

4.3Paymentshallbemadeby[PaymentMethod,e.g.,banktransfer,creditcard,PayPal].TheTranslatorshallprovidetheClientwiththenecessarypaymentinformation,includingbankaccountdetailsorpaymentlinks.

4.4IftheClientfailstomakethepaymentontime,theTranslatorshallbeentitledtochargealatepaymentfeeof[Percentage]perdayontheoverdueamount.

5.Confidentiality

5.1BothpartiesrecognizethatduringthecourseofperformingtheservicesunderthisAgreement,theymayhaveaccesstoconfidentialinformationoftheotherparty.Confidentialinformationincludes,butisnotlimitedto,theoriginalandtranslateddocuments,businesssecrets,customerinformation,andanyotherinformationmarkedasconfidentialorwhich,underthecircumstances,shouldreasonablybeconsideredconfidential.

5.2Eachpartyshallkeeptheotherparty’sconfidentialinformationstrictlyconfidentialandshallnotdisclose,use,orreproducesuchinformationwithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

5.3TheobligationofconfidentialityshallsurvivetheterminationofthisAgreementforaperiodof[X]years.

6.IntellectualPropertyRights

6.1TheClientshallretainallintellectualpropertyrightsintheoriginaldocumentsprovidedtotheTranslatorfortranslation.

6.2TheTranslatorshalltransferallintellectualpropertyrightsinthetranslateddocumentstotheClientuponfullpaymentofthetranslationfees.TheTranslatorwarrantsthatthetranslationisanoriginalworkcreatedbytheTranslatoranddoesnotinfringeupontheintellectualpropertyrightsofanythirdparty.

6.3TheTranslatorshallindemnifyandholdtheClientharmlessfromandagainstanyclaims,losses,damages,andexpensesarisingoutofanyinfringementofintellectualpropertyrightsinthetranslation.

7.RevisionandAmendments

7.1IftheClientrequestsrevisionstothetranslationwithin[X]daysafterreceivingthecompletedtranslation,theTranslatorshallmakethenecessaryrevisionsatnoadditionalcost,providedthattherevisionsareduetoerrorsoromissionsonthepartoftheTranslator.

7.2IftheClientrequestsrevisionsthatarenotduetotheTranslator’sfault,suchaschangesintheoriginaltextornewrequirements,theTranslatormaychargeanadditionalfeefortherevisions,whichshallbeagreeduponbybothpartiesinwriting.

7.3AnyamendmentstothisAgreementshallbemadeinwritingandsignedbybothparties.

8.LiabilityandIndemnification

8.1TheTranslatorshallbeliableforanylosses,damages,orexpensessufferedbytheClientasaresultoftheTranslator’snegligence,breachofthisAgreement,orfailuretoperformthetranslationservicesinaccordancewiththequalitystandardsspecifiedherein.

8.2TheClientshallindemnifyandholdtheTranslatorharmlessfromandagainstanyclaims,losses,damages,andexpensesarisingoutoftheClient’sfailuretoprovideaccurateorcompleteinformation,oranyunauthorizeduseofthetranslationbytheClient.

8.3Innoeventshalleitherpartybeliableforindirect,consequential,punitive,orspecialdamages,regardlessofthecauseofaction.

9.Termination

9.1EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.Thepartyinbreachshallhave[X]daystocurethebreachafterreceivingthenotice.Ifthebreachisnotcuredwithinthespecifiedtime,thenon-breachingpartymayterminatetheAgreement.

9.2ThisAgreementmayalsobeterminatedbymutualwrittenconsentofbothparties.

9.3UponterminationofthisAgreement,theTranslatorshalldelivertotheClientallcompletedandin-progresstranslationwork,andtheClientshallpaytheTranslatorfortheservicesrendereduptothedateofterminationinaccordancewiththepaymenttermsofthisAgreement.

10.GoverningLawandDisputeResolution

10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

10.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallbefirstattemptedtoberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,thepartiesagreetosubmitthedisputetoarbitrationin[ArbitrationLocation]inaccordancewiththerulesof[ArbitrationInstitution].Thearbitrationawardshallbefinalandbindinguponbothparties.

11.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriororalorwrittenagreementsandunderstandingsrelatingtot
