2026年电力工程合同协议模板PartiesThisPowerEngineeringContract(hereinafterreferredtoasthe"Contract")isenteredintoandmadeeffectiveasof[Date],[Year],in[City],[Province],byandbetween:PartyA(Owner/Developer):[FullLegalNameofOwner],havingitsprincipalplaceofbusinessat[AddressofOwner],andPartyB(Contractor):[FullLegalNameofContractor],havingitsprincipalplaceofbusinessat[AddressofContractor].DefinitionsandInterpretations1.1"Contract"meansthisPowerEngineeringContract,includingallexhibits,schedules,andamendmentstheretowhichareincorporatedbyreference.1.2"Owner"meansPartyA,theownerordeveloperoftheProject.1.3"Contractor"meansPartyB,thecontractorengagedtoperformtheWork.1.4"Project"meansthespecificpowerengineeringprojectdescribedherein,locatedat[ProjectAddress/Location].1.5"Work"meanstheconstruction,installation,testing,commissioning,and/ormaintenanceofthefacilitiesasdescribedintheScopeofWorksection.1.6"ScopeofWork"meansthedetaileddescriptionoftheWorktobeperformedunderthisContract,assetforthinSection[SectionNumber].1.7"Site"meansthelocationwheretheWorkistobeperformed.1.8"GoverningLaw"meansthelawsofthePeople'sRepublicofChinaasamendedfromtimetotime.1.9"Day"meansanydayexceptSundaysandpublicholidaysintheCityof[City],[Province].1.10"Milestones"meansthekeystagesoftheProjectasdefinedintheProjectSchedule.1.11"ForceMajeure"meanseventsbeyondthereasonablecontroloftheaffectedparty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,insurrection,strikes,lockouts,actsofgovernmentorgovernmentalagencies,andepidemics.ScopeofWork2.1TheContractorshallperformthefollowingWorkasdescribedintheattachedSchedule[ReferencetoNon-ExistentSchedule,describedinnarrative]:Theconstructionandinstallationof[SpecifyPlant/EquipmentType,e.g.,a300MWSolarPowerPlant],includingtheprocurementofmajorequipment[Specifykeyequipment,e.g.,solarpanels,inverters,transformers]asperthetechnicalspecificationsattachedheretoorreferencedtherein(Exhibit[ExhibitNumber]),thecivilworksnecessaryfortheinstallationoftheequipment,theconnectiontotheexistinggridper[SpecifyGridConnectionStandards/Protocol],systemtesting,andfinalcommissioningtoachievecommercialoperation.2.2TheWorkshallbeperformedinaccordancewiththedrawings,specifications,andstandardsprovidedbytheOwnerorreferencedinthisContract,includingbutnotlimitedto[Listkeystandards,e.g.,GB/T19001,IEC61724].2.3TheContractorshallhavetherighttoreceiveallnecessarypermitsandapprovalsfromgovernmentalauthoritiesfortheperformanceoftheWork,atitsownexpenseandrisk,andshallprovidetheOwnerwithcopiesuponrequest.ContractPriceandPaymentTerms3.1ThetotalContractPricefortheWorkisagreeduponat[AmountinCurrency,e.g.,RMB250,000,000],expressedin[SpecifyCurrency,e.g.,ChineseYuan(RMB)](the"ContractPrice").3.2ThisContractPriceisa[SpecifyPriceType,e.g.,fixed]priceandisfirmandnon-negotiable.3.3Paymentshallbemadeasfollows:(a)Anon-refundableadvancepaymentof15%oftheContractPrice,即RMB[Amount],shallbepaidbytheOwnertotheContractoruponthesigningofthisContractandtheContractor'ssubmissionofavalidtaxinvoice.(b)Progresspaymentsof60%oftheContractPrice,即RMB[Amount],shallbemadebytheOwnertotheContractorinequalinstallmentsof20%upontheContractor'scertificationthateach20%oftheWorkcorrespondingtothefollowingMilestoneshasbeensubstantiallycompletedandaccepted:Milestone[MilestoneLetter/Number],Milestone[MilestoneLetter/Number],andMilestone[MilestoneLetter/Number].(c)Theremaining25%oftheContractPrice,即RMB[Amount],shallbedeemedafinalpaymentandshallbepaidbytheOwnertotheContractorwithin30daysaftertheProjectisacceptedbytheOwner.3.4Allpaymentsshallbemadewithoutdeductionorset-offexceptasexpresslyprovidedforinthisContract.3.5AllpaymentsshallbemadetotheContractor'sdesignatedbankaccount:AccountName:[Contractor'sBankAccountName]Bank:[Contractor'sBankName]AccountNumber:[Contractor'sBankAccountNumber]3.6TheContractorshallprovideavalidtaxinvoiceforeachpaymentreceived.Failuretoprovideavalidtaxinvoiceshalldelaythepaymentonlytotheextentnecessarytoobtainit.ProjectScheduleandMilestones4.1TheestimateddurationforthecompletionoftheWorkis[Number]monthsfromtheCommencementDate.4.2ThekeyMilestonesareasfollows:(a)MilestoneA:CompletionofSitePreparationandFoundationWork–AcceptancebyOwnerwithin[Number]daysaftercompletion.(b)MilestoneB:CompletionofMajorEquipmentInstallation–AcceptancebyOwnerwithin[Number]daysaftercompletion.(c)MilestoneC:CompletionofSystemTestingandCommissioning–AcceptancebyOwnerwithin[Number]daysaftercompletion,leadingtocommercialoperation.4.3ThedetailedProjectSchedule,includingdatesforeachMilestoneandkeyactivities,isattachedheretoasExhibit[ExhibitNumber]andformspartofthisContract.4.4TheContractorshallprovidetheOwnerwithaprogressreportonaweeklybasisdetailingtheworkperformed,upcomingactivities,andanypotentialdelays.4.5AnyapprovedextensionoftheProjectScheduledueto原因beyondtheContractor'sreasonablecontrol,asdefinedinSection1.11,shallbeagreeduponinwritingbytheOwner.QualityAssuranceandAcceptance5.1TheWorkshallbeperformedtotheapplicablenationalandinternationalstandardsandthespecifictechnicalrequirementssetforthinthisContractandtheattachedSchedule/Exhibits.5.2TheContractorshallestablishandmaintainaneffectivequalitymanagementsystemcomplyingwithatleast[SpecifyStandard,e.g.,ISO9001]standards.5.3TheOwnershalldesignate[Number]AcceptanceRepresentativeswhoshallhavetheauthoritytoinspectandtesttheWorkandapproveorrejectit.5.4TheContractorshallberesponsibleforallrectificationworkatitsownexpenseiftheWorkdoesnotmeettheagreed-uponqualitystandardsandisrejectedbytheOwner'sAcceptanceRepresentatives.5.5ThefinalacceptanceoftheWorkshallbemadebytheOwneruponsuccessfulcompletionofalltestingandcommissioningaspertheScopeofWorkandtheContractor'scertification.5.6TheContractorshallprovideawarrantyperiodof[Number]yearsfromthedateoffinalacceptancefortheWorkandallequipmentinstalled,duringwhichtheContractorshallrectifyanydefectsatitsowncost.ChangesandVariations6.1AnychangetotheScopeofWork,specifications,orothertermsofthisContractmustberequestedinwritingbyeitherPartyandagreeduponinwritingbybothPartiesbeforeimplementation.6.2ThecostimpactandanyresultingchangetotheProjectScheduleduetoaChangeOrdershallbenegotiatedandagreeduponinwritingbytheOwnerandtheContractor.TheContractorshallsubmitadetailedcostbreakdownandscheduleimpactassessmentwithin[Number]daysofreceivingthechangerequest.6.3Unauthorizedchangesormodificationsshallbedeemednullandvoid,andtheContractorshallnotbeentitledtoanyadditionalpaymentorextensionoftimeforsuchunauthorizedchanges.RiskAllocation7.1TheOwnerassumestheriskofchangesinprojectscoperesultingfromOwner'srequirements,changesinlawsandregulationsaftertheContractissigned,andunforeseensiteconditionsthatarenottheContractor'sfault.7.2TheContractorassumestheriskofcompletingtheWorkaccordingtotheagreedscheduleandspecifications,managingprojectexecutionrisks,andperformingtheWorkwiththerequiredskillsandresources.TheContractorisalsoresponsibleforinsuringitsownemployeesandoperations.InsuranceandSecurity8.1TheContractorshall,atitsownexpense,procureandmaintainduringtheentiredurationofthisContractthefollowinginsurancecoverageswithreputableinsurancecompanies:(a)EngineeringAllRisksInsurancecoveringtheWorkandmaterialsinstalled,withanaggregatesuminsuredofnotlessthan[AmountinCurrency]RMB,extendedtotheOwner'spremisesuponcompletion.(b)Third-PartyLiabilityInsurancecoveringdamagestothirdpartiesortheirpropertycausedbytheWorkorContractor'soperations,withanaggregatesuminsuredofnotlessthan[AmountinCurrency]RMB.(c)Contractor'sLiabilityInsuranceforaccidentstopersonsordamagetopropertycausedbytheContractor'semployeesorsubcontractorsduringtheWork,withanaggregatesuminsuredofnotlessthan[AmountinCurrency]RMB.8.2TheContractorshallprovidetheOwnerwithcertificatesofinsurancewithin[Number]daysofobtainingthepoliciesandshallkeeptheinsuranceinfullforceandeffectthroughouttheContractperiod.8.3TheContractorshallprovidePerformanceSecuritytotheOwnerintheformof[SpecifyType,e.g.,abankguaranteeorperformancebond]intheamountof[AmountinCurrency]RMB,whichshallbecomeeffectiveuponthesigningofthisContractandshallbereleasedbytheOwneruponthefinalacceptanceoftheWork.8.4TheContractorshallensurethesafetyofitspersonnelontheSiteandcomplywithallrelevantsafetyregulationsandrequirementsoftheOwnerandlocalauthorities.TheContractorshallbefullyliableforanyinjuriestopersonneloraccidentsoccurringontheSite.ProjectManagementandCoordination9.1EachPartyshalldesignateaProjectManagerresponsiblefortheoverallcoordinationandmanagementoftheProject:(a)Owner'sProjectManager:[NameandTitleofOwner'sPM](b)Contractor'sProjectManager:[NameandTitleofContractor'sPM]9.2TheContractorshallberesponsibleforthedailymanagementandsupervisionoftheWorkontheSite.9.3TheContractorshallcoordinatewiththeOwner'spersonnel,the[SpecifyRole,e.g.,IndependentEngineer/Supervisor](ifapplicable),andotherpartiesinvolvedintheProjecttoensuretheWorkproceedssmoothly.9.4Regularcoordinationmeetingsshallbeheld,atleast[Number]timespermonth,betweentheOwner'sandContractor'sProjectManagerstodiscussprogress,issues,andplans.SiteAccessandConditions10.1TheOwnershallgranttheContractoraccesstotheSiteforthedurationoftheWork,subjecttothetermsofthisContractandapplicablelaws.10.2TheContractorshallberesponsibleforallnecessarydemobilizationandrestorationoftheSiteuponcompletionorterminationoftheContract,attheContractor'sownexpense.10.3TheOwnershallprovidetheContractorwithaccesstoutilityservices(e.g.,water,electricity)necessaryfortheWork,subjecttoexistingarrangementsandpaymentterms,asagreedinwriting.IntellectualPropertyRights11.1Alldrawings,designs,specifications,andtechnicaldatadevelopedbytheOwnerfortheProjectremainthepropertyoftheOwner.11.2TheContractorshallnotuseanyproprietaryinformationorintellectualpropertyoftheOwnerexceptasnecessarytoperformitsobligationsunderthisContract.11.3OwnershipofanyinventionsordevelopmentsmadebytheContractorspecificallyfortheProjectshallbeownedbytheContractorunlessotherwiseagreedinwritingbytheOwnerpriortothedevelopment.Confidentiality12.1EachPartyacknowledgesthatitmayobtainconfidentialinformationfromtheotherPartyduringthetermofthisContract,includingbutnotlimitedtobusinessinformation,technicaldata,andfinancialinformation.12.2EachPartyagreestoholdsuchconfidentialinformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofthedisclosingParty,exceptasrequiredbylaworcourtorder.12.3TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContractforaperiodof[Number]yearsaftertheendoftheContract.IndemnificationandLiability13.1TheContractorshallindemnify,defend,andholdharmlesstheOwnerfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeContractor'sbreachofthisContract,theWork,ortheContractor'snegligenceorwillfulmisconduct.13.2TheOwnershallindemnify,defend,andholdharmlesstheContractorfromandagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeOwner'sbreachofthisContract,theSiteconditions(totheextentknowntotheOwner),ortheOwner'snegligenceorwillfulmisconductaffectingtheWork.13.3Notwithstandingtheforegoing,neitherPartyshallbeliabletotheotherPartyforindirect,incidental,consequential,special,orpunitivedamages.13.4ThetotalliabilityofeachPartyunderthisContract,exceptforliabilityfordeathorpersonalinjurytotheextentcausedbyitsownnegligence,shallbelimitedtotheContractPrice.DisputeResolution14.1IncaseofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiationormediation.14.2Ifthedisputecannotberesolvedthroughnegotiationormediationwithin[Number]daysfromthedateofthelastattempt,thedisputeshallbesubmittedto[SpecifyArbitrationInstitution,e.g.,theChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)]forarbitration.Thearbitrationshallbeconductedinaccordancewiththerulesof[SpecifyArbitrationRules]ofthe[SpecifyArbitrationInstitution]andshallbeheldin[City].14.3Ifthepartieswishtosettlethedisputethroughlitigation,itshallbesubmittedtothecompetentpeople'scourtlocatedin[City],[Province].GoverningLawandJurisdiction15.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.15.2AnylegalactionorproceedingarisingoutoforinconnectionwiththisContractshallbebroughtexclusivelyinthecourtsof[City],[Province],andeachPartyherebyirrevocablyconsentstothepersonaljurisdictionandvenueofsuchcourts.ContractTermandTermination16.1ThisContractshallcommenceontheCommencementDateandshallcontinueuntilthecompletionoftheWork,finalacceptancebytheOwner,andthefullpaymentbytheOwnertotheContractor,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.16.2EitherPartymayterminatethisContractupon[Number,e.g.,30]days'writtennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisContractandfailstocuresuchbreachwithinthenotifiedperiod.16.3Intheeventoftermination,theContractorshallbepaidforallWorkperformedandcostsincurreduptothedateoftermination,subjecttothetermsofthisContract.TheContractorshallalsoberesponsibleforanydefaultinperformancethatexistedatthetimeoftermination.ForceMajeure17.1NeitherPartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractifsuchfailureordelayiscausedbyForceMajeure.17.2TheaffectedPartyshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofForceMajeureandshallproviderelevantsupportingdocuments.17.3TheaffectedPartyshalltakeallreasonablemeasurestomitigatetheeffectsofForceMajeure.17.4IftheForceMajeurecontinuesforaperiodofmorethan[Number,e.g.,90]consecutivedays,eitherPartyshallhavetherighttoterminatethisContractbygiving[Number,e.g.,30]days'writtennoticetotheotherParty.Notices18.1Allnotices,requests,demands,andothercommunicationsrequiredorpermittedunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygiven:(a)Whendeliveredpersonally;(b)Onebusinessd
