2026年音乐音乐软件开发合同协议PartiesThisSoftwareDevelopmentAgreement(the"Agreement")ismadeandenteredintoasof[EffectiveDate],byandbetween:[PartyAName],withitsprincipalplaceofbusinessat[PartyAAddress]("PartyA"),and[PartyBName],withitsprincipalplaceofbusinessat[PartyBAddress]("PartyB").Background/RecitalsWHEREAS,PartyAdesirestocommissionthedevelopmentofamusicsoftwareapplication(the"Software");andWHEREAS,PartyBhastheexpertiseandcapabilitiestodevelopsuchsoftware;andWHEREAS,thepartieswishtosetforththetermsandconditionsunderwhichPartyBshalldeveloptheSoftwareforPartyA.DefinitionsForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:1."MusicSoftware"meansacomputerprogramandrelateddocumentationdesignedforcreating,editing,arranging,performing,analyzing,synthesizing,orotherwisemanipulatingmusicalcontent,includingbutnotlimitedto[specificfeatures,e.g.,MIDIsequencing,digitalaudioworkstations(DAWs),virtualinstruments,musictheoryteachingtools],intendedforuseon[targetplatforms,e.g.,Windows,macOS,iOS,Android].2."DevelopmentTools"meansanysoftware,hardware,libraries,frameworks,andotherresourcesutilizedbyPartyBinthedevelopmentoftheMusicSoftware,includingwithoutlimitationsourcecoderepositories,developmentenvironments,andthird-partylicensedcomponentsusedtherein.3."IntellectualPropertyRights"meansallrights,title,andinterestsinandtoanyandallpatents,copyrights,trademarks,tradesecrets,Know-How,andotherintellectualpropertyrights,whetherpermissiveorproprietary,existingoracquired,inanyjurisdictionworldwide.4."Deliverables"meansallmaterials,includingsourcecode,objectcode,executableprograms,documentation(designdocuments,usermanuals,APIreferences,testreports),andanyotheritems,asspecificallydefinedandlistedinExhibitAattachedhereto(ifany),whicharetobedeliveredbyPartyBtoPartyAaspartofthedevelopmentoftheMusicSoftware.5."ConfidentialInformation"meansanynon-publicinformation,whethertangibleorintangible,disclosedbyeitherPartytotheother,includingwithoutlimitationtechnicaldata,specifications,sourcecode,algorithms,businessplans,customerlists,financialinformation,andprojections,andanyinformationderivedfromsuchdisclosedinformation.6."ProjectScope"meansthespecificfunctionalities,features,performancerequirements,userinterfacespecifications,technicalstandards,andotherrequirementsfortheMusicSoftwareasdetailedinExhibitAattachedhereto(ifany)andagreeduponinwritingbybothPartiesfromtimetotime.7."Milestones"meansthekeyphasesordeliverablesoftheproject,asoutlinedinExhibitAattachedhereto(ifany),eachrepresentingapotentialpointforprogressreviewandpotentialpaymentunderthisAgreement.ScopeofWorkPartyBshalldeveloptheMusicSoftwarebasedontheProjectScopeasdescribedinSection6andfurtherdetailedinExhibitA(ifany).TheDevelopmentProcessshallgenerallyinclude,butnotbelimitedto,thefollowingphases:1.RequirementAnalysis:ReviewingandanalyzingPartyA'srequirementsfortheMusicSoftware.2.SystemDesign:Designingthearchitecture,databaseschema(ifapplicable),userinterface,anduserexperienceoftheMusicSoftware.3.CodingandDevelopment:ImplementingtheMusicSoftwareaccordingtotheapproveddesigns.4.Testing:Conductingvariouslevelsoftesting,includingunittesting,integrationtesting,systemtesting,andUserAcceptanceTesting(UAT)uponrequest,toensuretheMusicSoftwaremeetsthespecifiedrequirementsandisfreeofsignificantdefects.5.Documentation:PreparingallnecessarydocumentationasspecifiedintheProjectScope.6.Delivery:DeliveringthefinalMusicSoftwareandallassociatedDeliverablestoPartyA.PartyAshallprovidePartyBwiththenecessaryinput,feedback,andaccesstoresourcesrequiredforthesuccessfulcompletionoftheMusicSoftwareaspertheProjectScope.FeesandPaymentSchedule1.TotalFee:ThetotalfeeforthedevelopmentoftheMusicSoftwareunderthisAgreement(the"TotalFee")is[Amount][Currency],payableinaccordancewiththePaymentSchedulesetforthbelow.2.PaymentSchedule:PartyAshallpayPartyBthefollowingamountsuponthesuccessfulcompletionandacceptanceofthecorrespondingMilestonesbyPartyA:*[Percentage]%oftheTotalFee,即[Amount],uponexecutionofthisAgreement(Prepayment).*[Percentage]%oftheTotalFee,即[Amount],uponthedeliveryandacceptanceofMilestone[Number/Name]byPartyA(MilestonePayment1).*[Percentage]%oftheTotalFee,即[Amount],uponthedeliveryandacceptanceofMilestone[Number/Name]byPartyA(MilestonePayment2).*[Percentage]%oftheTotalFee,即[Amount],uponfinaldeliveryandacceptanceofthecompletedMusicSoftwarebyPartyAfollowingtheUAT(FinalPayment).3.PaymentTerms:Allpaymentsshallbemadewithoutdeduction,set-off,orcounterclaim,andshallbepaidwithin[Number,e.g.,30]daysafterthedatePartyAreceivesavalidinvoicefromPartyB.PaymentsshallbemadetotheaddresssetforthinPartyB'sSection1ortoanaccountdesignatedbyPartyBinwriting.4.Expenses:PartyBshallberesponsibleforallcostsincurredintheperformanceofthisAgreement,includingbutnotlimitedtosoftwarelicensesnecessaryfordevelopment,third-partyconsultants,andreasonabletravelexpensesdirectlyattributabletotheproject.Suchexpensesshallbebilledseparatelyifagreedinwriting,subjecttoPartyA'spriorapprovalforsignificantamountsexceeding[Amount].DevelopmentProcessandTimeline1.Timeline:PartyBshallcompletethedevelopmentoftheMusicSoftwarewithinatotaltimeframeof[Number,e.g.,12,24]monthsfromtheEffectiveDate,subjecttothetimelyprovisionofnecessaryinputsbyPartyAandexcludinganydelaycausedbyPartyA'sfailure,anymaterialbreachofthisAgreementbyPartyA,orForceMajeure.2.Milestones:TheprojectshallbedividedintothefollowingkeyMilestones,asdetailedinExhibitA(ifany):[ListMilestones].PartyBshallnotifyPartyAofthecompletionofeachMilestoneandprovidethecorrespondingDeliverablesforacceptance.3.ChangeControl:AnyproposedchangestotheProjectScopebyPartyAshallbesubmittedinwritingtoPartyBasaChangeRequest.PartyBshallreviewtherequestandprovideawrittenresponsewithin[Number,e.g.,15]days,indicatingitsagreement,disagreement,orcounter-proposal.Anyagreed-uponchangesshallbedocumentedinwritingandmayincuradditionalfeesand/orextendtheprojecttimeline,subjecttomutualagreement.OwnershipandIntellectualPropertyRights1.OwnershipofDeliverables:UponthefinalacceptanceoftheMusicSoftwarebyPartyA,PartyBshallgranttoPartyAanon-exclusive,perpetual,irrevocable,worldwide,royalty-freelicensetousethefinalDeliverables,includingtheSoftware(includingsourcecode,ifdelivered)andallassociateddocumentation,solelyforinternalbusinesspurposesandinconnectionwithPartyA'sownbusinessactivities.PartyBshallretainallownershipandIntellectualPropertyRightsinanymodifications,enhancements,ornewdevelopmentsmadebyPartyBthatarenotderivedfromtheoriginalspecificationsprovidedbyPartyA.2.IPAssignment:PartyBherebyirrevocablyassignsandtransferstoPartyA,withoutfurtherconsideration,allright,title,andinterestinandtoanyIntellectualPropertyRightscreatedordevelopedbyPartyBspecificallyfortheMusicSoftwareunderthisAgreement,includingbutnotlimitedtoanypatents,copyrights,andtradesecretsarisingfromthecode,design,anddocumentationdeliveredtoPartyAuponacceptance.ThisassignmentshallbeeffectiveupontheclosingofthebooksofaccountfortheprojectoruponfinalacceptanceoftheSoftwarebyPartyA,whicheveroccursfirst.3.LicensesofThird-PartyComponents:PartyBrepresentsandwarrantsthatithasthenecessaryrightsandlicensestouseallthird-partysoftware,libraries,andcomponentsincorporatedintotheMusicSoftware.PartyBshallprovidePartyAwithcopiesofallapplicablethird-partylicensesuponrequest.PartyA'slicenseunderSection11.1shallbesubjecttothetermsandconditionsofsuchthird-partylicenses.TestingandAcceptance1.Testing:PartyBshallperformthoroughtestingoftheMusicSoftwareatitsownexpense.PartyAshallhavetherighttoconductUAToftheMusicSoftwareupondeliveryofthefinalversion.PartyAshallprovidePartyBwithwrittenfeedbackwithin[Number,e.g.,10]daysofreceivingtheSoftwareforUAT.PartyBshallhavetherighttorectifyanyidentifieddefectswithinareasonableperioduponreceivingsuchfeedback.2.AcceptanceCriteria:TheMusicSoftwareshallbedeemedacceptedbyPartyAuponPartyA'swrittennoticeofacceptanceissuedafterthecompletionoftheUATandtherectificationofallminordefectsidentifiedbyPartyA.MajordeviationsfromtheagreedProjectScopeshallbesubjecttopriorwrittenagreementbetweentheparties.Confidentiality1.Obligations:EachParty("DisclosingParty")shallholdtheConfidentialInformationoftheotherParty("ReceivingParty")instrictconfidenceandshallusesuchConfidentialInformationsolelyforthepurposeoffulfillingitsobligationsunderthisAgreement.TheReceivingPartyshallnotdiscloseanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty,exceptasrequiredbylaworregulation,ortoitsemployees,contractors,oragentswhohaveaneed-to-knowandareboundbyconfidentialityobligationsnolessstringentthanthoseherein.2.PermittedDisclosures:Thisconfidentialityobligationshallnotapplytoinformationthat:(a)waspubliclyknownandmadegenerallyavailableinthepublicdomainpriortodisclosurebytheReceivingParty;(b)becomespubliclyknownandmadegenerallyavailableafterdisclosurebytheReceivingPartythroughnobreachofthisAgreementbytheReceivingParty;(c)isindependentlydevelopedbytheReceivingPartywithoutaccesstotheDisclosingParty'sConfidentialInformation;or(d)isobtainedfromathirdpartywhoisnotunderaconfidentialityobligationtotheDisclosingParty.3.Duration:TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[Number,e.g.,three(3)]yearsfromthedateofdisclosure,orforsuchlongerperiodastheConfidentialInformationremainsnon-public,whicheverislonger.4.ReturnorDestruction:UpontheterminationofthisAgreementortheDisclosingParty'srequest,theReceivingPartyshallpromptlyreturnordestroyallcopiesoftheConfidentialInformation,andcertifysuchdestructioninwritingtotheDisclosingParty.MaintenanceandSupport1.MaintenancePeriod:FollowingthefinalacceptanceoftheMusicSoftware,aMaintenancePeriodof[Number,e.g.,twelve(12)]monthsshallcommence.Duringthisperiod,PartyBshallprovidemaintenanceservicesasfollows:*BugFixes:RectificationofminorbugsreportedbyPartyAwithin[Number,e.g.,5]businessdaysofreceiptofthereport.*TechnicalSupport:ProvidePartyAwithlimitedtechnicalsupportvia[method,e.g.,email,designatedhotline]toassistwiththeinstallation,configuration,anduseoftheMusicSoftware,subjecttostandardservicelevelagreementsdefinedinwriting.2.MaintenanceFees:MaintenanceservicesshallbeprovidedfreeofchargeduringtheMaintenancePeriod.FormaintenanceservicesrequiredoutsidetheMaintenancePeriodorforservicesbeyondthescopeofthestandardmaintenance,feesshallbenegotiatedinwritingbetweenthepartiesbasedonthespecificservicesrequested.LiabilityandIndemnification1.LimitationofLiability:PartyB'stotalliabilityunderthisAgreementshallbelimitedtotheTotalFeepaidbyPartyAunderthisAgreement.Exceptasexpresslystatedherein,neitherPartyshallbeliabletotheotherforanyindirect,incidental,consequential,special,orpunitivedamages,includinglossofprofits,data,orgoodwill,arisingoutoforinconnectionwiththisAgreement,regardlessofthecauseofaction.2.Indemnification:EachPartyshallindemnifyandholdharmlesstheotherPartyfromandagainstanyandallclaims,losses,liabilities,damages,judgments,awards,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfrom:(a)anybreachofthisAgreementbytheindemnifyingParty;or(b)theindemnifiedParty'suseoforrelianceupontheDeliverablesifsuchuseorrelianceresultsinaclaimagainsttheindemnifiedPartybyathirdparty.PartyBshallindemnifyPartyAagainstclaimsbasedonPartyB'sinfringementofthird-partyIntellectualPropertyRightsonlyifsuchinfringementisdirectlycausedbytheuseofPartyA'sprovidedspecificationsormaterialsandPartyBwasnotnotifiedofsuchpotentialinfringementpriortotheuse.PartyAshallindemnifyPartyBagainstclaimsbasedonPartyA'sprovidedspecificationsormaterials.ForceMajeure1.Definition:"ForceMajeure"meansaneventorcircumstancebeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,strikes,labordisputes,fire,flood,earthquake,explosion,orfailureorinterruptionofutilityservices,governmentalactions(includingmoratoriumsorregulations),orepidemicdiseases,whichpreventordelayperformanceofitsobligationsunderthisAgreement.2.Effects:IfapartyispreventedordelayedinperformingitsobligationsunderthisAgreementduetoForceMajeure,suchpartyshallpromptlynotifytheotherpartyinwriting,providingdetailsoftheeventanditsexpectedduration.ThepartyshallusereasonableeffortstomitigatetheeffectsoftheForceMajeureevent.Performanceoftheparty'sobligationsunderthisAgreementshallbesuspendedduringtheperiodofForceMajeure.UpontheterminationoftheForceMajeureevent,thesuspendedobligationsshallresume.NeitherpartyshallbeliableforanyfailureordelayresultingfromForceMajeure.3.Duration:IftheForceMajeureeventcontinuesformorethan[Number,e.g.,90]days,eitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherparty.Termination1.TerminationforCause:ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherpartyiftheotherpartycommitsamaterialbreachofanytermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number,e.g.,30]daysafterreceivingwrittennoticeofthebreach.2.TerminationforConvenience:EitherpartymayterminatethisAgreementatanytimeuponwrittennoticetotheotherpartywithoutcause.3.ConsequencesofTermination:UponterminationorexpirationofthisAgreement,PartyBshall:(a)ceaseallworkunderthisAgreement;(b)returntoPartyAallConfidentialInformationandallcopiesoftheMusicSoftwareandrelatedDeliverables;(c)destroyallothermaterialsderivedfromPartyA'sConfidentialInformation;and(d)providePartyAwithafinalinvoiceforanyoutstandingfeesdueunderthisAgreement.PartyAshallpayallamountsduetoPartyBpriortotermination.IftheAgreementisterminatedforPartyA'sbreach,PartyAshallbeliableforallfeesincurredbyPartyBuptothepointoftermination.GoverningLawandDisputeResolution1.GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof[State]withoutregardtoitsconflictoflawsprinciples.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG)shallnotapplytothisAgreement.2.DisputeResolution:Thepartiesagreethatanydispute,controversy,orclaimarisingoutoforrelatingtothisAgreement,includingitsbreach,termination,orinvalidity,shallfirstbeattemptedtoberesolvedamicablythroughgoodfaithnegotiationsbetweenauthorizedrepresentativesoftheparties.Ifthedisputecannotberesolvedthroughnegotiationwithin[Number,e.g.,30]days,thedisputeshallbesubmittedtotheexclusivejurisdictionofthe[County/City]Courtof[County/City],[County],[State].[Alternatively:Thedisputeshallbesubmittedtofinalandbindingarbitrationinaccordancewiththerulesofthe[SpecifyArbitrationInstitution,e.g.,AmericanArbitrationAssociation]effectiveon[Date],administeredby[SpecifyArbitrationInstitution],andheldin[Location].Thedecisionofthearbitratorshallbefinalandbindingupontheparties.]EntireAgreementThisAgreement,includingExhibitA(ifany),constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.AmendmentsNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessmadeinwriting
