海运代理合同-中英文对照(2026版)THISMARINECARGOAGENCYCONTRACT(hereinafterreferredtoas"theContract")ismadeandenteredintoon[Date](the"EffectiveDate"),byandbetween:PartyA(Principal):[FullNameofPartyA],withitsregisteredaddressat[Address],representedby[NameofRepresentative],holdingthepositionof[Title](hereinafterreferredtoas"PartyA");PartyB(Agent):[FullNameofPartyB],amarinecargoagencylegallyregisteredandqualifiedtooperatein[Country/Region],withitsregisteredaddressat[Address],representedby[NameofRepresentative],holdingthepositionof[Title](hereinafterreferredtoas"PartyB").1.委托事项（EntrustedMatters）1.1PartyAherebyirrevocablyentrustsPartyBasitsexclusivemarinecargoagenttohandlethefollowingmattersrelatedtoPartyA’simportandexportcargotransportationbysea:(1)Bookingshippingspacewithcarriers,issuingshippingorders,andconfirmingcargoloadingarrangements;(2)Handlingcustomsdeclaration,inspectionandquarantineformalities,includingbutnotlimitedtopreparingandsubmittingrelevantdocuments,payingdutiesandfeesonbehalfofPartyA(withpriorwrittenconsent);(3)Arrangingcargopickup,delivery,warehousing,stuffing,unstuffingandotherinlandlogisticsservices;(4)Providingreal-timeupdatesoncargotransportationstatus,includingvesselarrival/departuretimes,cargotracking,andhandlingabnormalsituationssuchascargodamageordelay;(5)AssistingPartyAincomplyingwithinternationalmaritimeenvironmentalregulations,includingbutnotlimitedtotheInternationalMaritimeOrganization(IMO)’scarbonemissionreductionrequirements.1.2甲方不可撤销地委托乙方作为其独家海运货物代理，处理甲方进出口货物海运相关的以下事宜：(1)向承运人订舱、签发托运单、确认货物装载安排；(2)办理报关、检验检疫手续，包括但不限于准备和提交相关文件、经甲方书面同意后代缴税费；(3)安排货物提送、仓储、装箱、拆箱及其他内陆物流服务；(4)实时更新货物运输状态，包括船舶到离港时间、货物追踪，处理货物损坏或延误等异常情况；(5)协助甲方遵守国际海运环保法规，包括但不限于国际海事组织（IMO）的碳排放削减要求。2.双方权利与义务（RightsandObligationsofBothParties）2.1RightsandObligationsofPartyA:(1)ProvidePartyBwithcomplete,accurateandtimelydocumentsandinformationrelatedtothecargo,includingbutnotlimitedtocommercialinvoices,packinglists,billsoflading,andcustomsdeclarationforms;(2)PayallagencyfeesandrelatedexpensesinaccordancewiththetermsspecifiedinClause3ofthisContract;(3)CooperatewithPartyBinhandlinganyemergencyorabnormalsituationduringcargotransportation,andprovidenecessaryauthorizationandsupport;(4)Bearalllossescausedbyfalse,incompleteordelayedinformationprovidedbyPartyA.2.2甲方的权利与义务：(1)向乙方提供与货物相关的完整、准确、及时的文件和信息，包括但不限于商业发票、装箱单、提单、报关单；(2)按照本合同第3条规定的条款支付所有代理费用及相关开支；(3)配合乙方处理货物运输过程中的任何紧急情况或异常状况，提供必要的授权和支持；(4)承担因甲方提供虚假、不完整或延迟信息造成的全部损失。2.3RightsandObligationsofPartyB:(1)Performtheentrustedmattersdiligentlyandprofessionallyinaccordancewithrelevantlaws,regulationsandindustrystandards;(2)KeepconfidentialallbusinessinformationandcargodetailsprovidedbyPartyA,exceptasrequiredbylaworwithPartyA’swrittenconsent;(3)NotifyPartyAimmediatelyofanyabnormalsituationduringcargotransportation,andproposefeasiblesolutionsforPartyA’sdecision;(4)Ensurethatallservicesprovidedcomplywiththelatestinternationalmaritimeregulations,includingenvironmentalprotectionandsafetyrequirements;(5)ProvidePartyAwithdetailedexpenseinvoicesandsettlementstatementswithin[X]workingdaysafterthecompletionofeachbatchofcargotransportation.2.4乙方的权利与义务：(1)按照相关法律法规和行业标准，勤勉、专业地履行委托事项；(2)对甲方提供的所有商业信息和货物细节予以保密，除非法律要求或经甲方书面同意；(3)一旦发现货物运输过程中的异常情况，立即通知甲方，并提出可行解决方案供甲方决策；(4)确保提供的所有服务符合最新的国际海运法规，包括环保和安全要求；(5)在每批货物运输完成后[X]个工作日内，向甲方提供详细的费用发票和结算报表。3.费用与支付（FeesandPayment）3.1Theagencyfeesandrelatedexpensesshallbecalculatedinaccordancewiththefeescheduleagreedbybothparties(attachedasSchedule1,whichisanintegralpartofthisContract).PartyBshallhavetherighttoadjustthefeeswith[X]days’priorwrittennoticetoPartyAifthereisachangeinmarketconditionsorrelevantregulations.3.2代理费用及相关开支按照双方约定的费用表（附件1，为本合同不可分割的一部分）计算。若市场情况或相关法规发生变化，乙方有权提前[X]天书面通知甲方调整费用。3.3PartyAshallpayallfeestoPartyBwithin[X]daysfromthedateofreceivingPartyB’sinvoice.Paymentshallbemadevia[PaymentMethod]tothebankaccountspecifiedbyPartyB.3.4甲方应在收到乙方发票之日起[X]天内，将所有费用支付给乙方。付款方式为[支付方式]，支付至乙方指定的银行账户。3.5IfPartyAdelayspaymentbeyondtheagreeddeadline,itshallpayalatefeeatarateof[X]%perdayontheoverdueamount,startingfromthefirstdayafterthedeadline.3.6若甲方逾期付款，应从到期日次日起，按逾期金额每日[X]%的比例向乙方支付滞纳金。4.违约责任（LiabilityforBreach）4.1IfeitherpartyfailstoperformitsobligationsunderthisContract,itshallcompensatetheotherpartyforalldirectlossescausedbysuchbreach,includingbutnotlimitedtotransportationcosts,storagefees,andcompensationpaidtothirdparties.4.2任何一方未履行本合同项下的义务，应赔偿对方因该违约造成的全部直接损失，包括但不限于运输费用、仓储费用、向第三方支付的赔偿金。4.2IfPartyBfailstoperformtheentrustedmattersduetoitsintentionalmisconductorgrossnegligence,itshallbearalllossescausedtoPartyA,includingindirectlossessuchaslossofbusinessopportunities.4.3若乙方因故意行为或重大过失未能履行委托事项，应承担给甲方造成的全部损失，包括商业机会损失等间接损失。4.3IfPartyAfailstoprovidenecessaryinformationorauthorizationintime,resultingindelaysorlossesincargotransportation,PartyAshallbearallcorrespondingresponsibilities.4.4若甲方未及时提供必要信息或授权，导致货物运输延误或损失，甲方应承担全部相应责任。5.合同期限与终止（ContractTermandTermination）5.1ThisContractshallbevalidfromtheEffectiveDateandshallremaininforcefor[X]years.EitherpartymayproposetorenewtheContractbygiving[X]days’writtennoticetotheotherpartybeforetheexpirationdate.5.2本合同自生效之日起生效，有效期为[X]年。任何一方可在合同到期前[X]天书面通知对方，提出续签合同。5.2EitherpartymayterminatethisContractimmediatelybywrittennoticeiftheotherpartycommitsamaterialbreachandfailstorectifyitwithin[X]daysafterreceivingthenoticeofbreach.5.3若一方发生重大违约，且在收到违约通知后[X]天内未予纠正，另一方有权立即以书面通知终止本合同。5.3UponterminationofthisContract,bothpartiesshallsettlealloutstandingfeesandcompleteanyremainingentrustedmattersrelatedtocargoalreadyintransit.5.4本合同终止后，双方应结清所有未付费用，并完成已运输货物的剩余委托事项。6.不可抗力（ForceMajeure）6.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisContractduetoforcemajeureevents,includingbutnotlimitedtonaturaldisasters,wars,governmentregulations,strikes,orportclosures.6.2任何一方因不可抗力事件（包括但不限于自然灾害、战争、政府法规、罢工、港口关闭）未能或延迟履行本合同项下的义务，不承担责任。6.2Theaffectedpartyshallnotifytheotherpartyoftheforcemajeureeventinwritingwithin[X]daysaftertheoccurrence,andproviderelevantsupportingdocumentswithin[X]daysthereafter.6.3受影响方应在不可抗力事件发生后[X]天内书面通知对方，并在其后[X]天内提供相关证明文件。6.3Uponthecessationoftheforcemajeureevent,bothpartiesshallnegotiatetoresumetheperformanceofthisContractassoonaspossible.6.4不可抗力事件终止后，双方应协商尽快恢复履行本合同。7.争议解决（DisputeResolution）7.1AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationbetweenbothparties.Ifnegotiationfails,thedisputeshallbesubmittedtothe[ArbitrationInstitution]locatedin[City,Country]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.7.2因本合同产生或与本合同有关的任何争议，应通过双方友好协商解决。协商不成的，应提交位于[国家城市]的[仲裁机构]，按照其仲裁规则进行仲裁。仲裁裁决为终局裁决，对双方均具有约束力。8.适用法律（GoverningLaw）8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Countr
